a) les services n'ont pas d'effet direct ou ont un effet peu significatif, séparément ou dans leur ensemble, sur les comptes annuels contrôlés;
b) l'appréciation de l'effet sur les comptes annuels contrôlés est documenté et expliqué de manière complète dans le rapport complémentaire destiné au comité d'audit visé à l'article 11 du règlement (UE) n° 537/2014;
In accordance with Article 5(4) of Regulation (EU) No 537/2014, the statutory auditor of a public-interest entity referred to in Article 1:12 and, where the statutory auditor belongs to a network referred to in Article 3:56, any member of that network may provide non-audit services that are not prohibited to that public-interest entity, to its parent company or to the undertakings that it controls, provided that the audit committee gives its approval. The audit committee’s approval is not required for carrying out the assurance of sustainability reporting.
The audit committee issues guidelines, where applicable, with regard to the services referred to in paragraph 4.

Where a member of the network referred to in Article 3:56 to which the statutory auditor belongs provides any of the non-audit services referred to in paragraph 2 or 3 to an undertaking having legal personality in a country that does not form part of the European Union or of the European Economic Area and that is controlled by the audited company, the statutory auditor assesses whether its independence would be compromised by that provision of services by the network member.
If its independence is compromised, the statutory auditor applies safeguards, where applicable, in order to mitigate the threats caused by that provision of services in a country that is not a member of the European Union. The statutory auditor may continue to carry out the statutory audit of the public-interest entity only if it can justify that that provision of services does not affect its professional judgement or the audit report.
For the purposes of this paragraph:
a) being involved in the decision-making process of the audited company and providing the services referred to in paragraph 2, 1° to 3°, are in all cases deemed to affect that independence in a way that cannot be mitigated by any safeguards;
b) the provision of services other than those referred to in paragraph 2, 1° to 3°, is deemed to affect that independence and therefore to require measures to mitigate the threats caused by that provision of services.

a) le fait d'être associé au processus décisionnel de la société soumise au contrôle légal et de fournir les services visés au paragraphe 2, 1° à 3°, est toujours considéré comme une atteinte à cette indépendance qui ne peut être atténuée par des mesures de sauvegarde;

1° during the period between the beginning of the period audited and the publication of the assurance report on sustainability reporting; and
2° during the financial year immediately preceding the period referred to in 1°, as regards the services referred to in Article 3:63, § 2, 3°.

If his or her independence is likely to be compromised, the registered auditor applies safeguards to mitigate the threats resulting from the provision of those services in a third country.

In public-interest entities, the statutory auditor may not, without prejudice to the prohibitions arising from Article 3:63, perform services other than the engagements entrusted to the statutory auditor by law or by European Union rules, in so far as the total amount of the fees for those services would exceed seventy per cent of the total amount of the fees referred to in Article 3:65, § 2.

At the request of the statutory auditor, the Belgian Audit Oversight Board (Collège de supervision des réviseurs d’entreprises) referred to in Article 32 of the Law of 7 December 2016 on the organisation of the profession and the public oversight of registered auditors may, on an exceptional basis, allow the statutory auditor to be exempted from the prohibition referred to in paragraph 1, for a maximum period of two financial years.
In that case, the derogation and the reasons for it are stated:
a) in the notes to the consolidated accounts or, where there are no consolidated accounts, in the notes to the annual accounts of the company that makes use of the exemption provided for in Article 3:26, unless that company is a subsidiary of a Belgian company that makes use of that exemption,
b) in the notes to the annual accounts of the company that is not a parent company or is exempt from preparing consolidated accounts under Article 3:25 and whose statutory auditor has obtained the derogation from the prohibition referred to in this paragraph, unless that company is a subsidiary of a Belgian company.
If the company does not state that information in the notes to the annual accounts, the statutory auditor itself states that information in its audit report.

For companies that are not considered public-interest entities but that form part of a group required to prepare and publish consolidated accounts, and without prejudice to the prohibitions arising from Article 3:63, the statutory auditor may not perform services other than the engagements entrusted to the statutory auditor by law or by European Union rules, in so far as the total amount of the fees for those services would exceed the total amount of the fees referred to in Article 3:65, § 2.

The additional prohibition provided for in paragraph 3 may be derogated from in each of the following cases:
1° following a favourable deliberation of the audit committee of the company concerned or of the audit committee of another company that controls it, if that company is a company governed by Belgian law or a company incorporated under the law of another Member State of the European Union or of the Organisation for Economic Co-operation and Development. If the company is required by law to set up an audit committee, that deliberation is taken by the audit committee referred to in Article 7:99. Where the tasks assigned to the audit committee are performed by the board of directors as a whole, the approval of the independent director or, if more than one has been appointed, of the majority of them, is nevertheless required;
2° if, at the request of the statutory auditor, the Belgian Audit Oversight Board referred to in Article 32 of the Law of 7 December 2016 on the organisation of the profession and the public oversight of registered auditors authorises, on an exceptional basis, the statutory auditor to derogate from the prohibition referred to in paragraph 3, for a maximum period of two financial years;
3° where the company is not required by law to set up an audit committee, if a collegial body of statutory auditors independent of one another has been set up within the company.
In the cases referred to in the first subparagraph, the derogation and the reasons for it are stated:
a) in the notes to the consolidated accounts or, where there are no consolidated accounts, in the notes to the annual accounts of the company that makes use of the exemption provided for in Article 3:26, unless that company is a subsidiary of a Belgian company that makes use of that exemption;
b) in the notes to the annual accounts of the company that is not a parent company or is exempt from preparing consolidated accounts under Article 3:25 and whose statutory auditor has obtained the derogation from the prohibition referred to in this paragraph, unless that company is a subsidiary of a Belgian company.
If the company does not state that information in the notes to the accounts, the statutory auditor itself states that information in its audit report.

1° sur délibération favorable du comité d'audit, de la société concernée ou du comité d'audit d'une autre société qui la contrôle, si cette société est une société de droit belge ou est une société constituée selon le droit d'un autre Etat membre de l'Union européenne ou de l'Organisation de coopération et de développement économiques. Si la société est tenue de constituer un comité d'audit en vertu de la loi, la délibération précitée est prise par le comité d'audit visé à l'article 7:99. Au cas où les tâches confiées au comité d'audit sont exercées par le conseil d'administration dans son ensemble, l'approbation de l'administrateur indépendant, ou, s'il en a été nommé plusieurs, de la majorité de ceux-ci, est cependant requise;
2° si, à la demande du commissaire, le Collège de supervision des réviseurs d'entreprises visé à l'article 32 de la loi du 7 décembre 2016 portant organisation de la profession et de la supervision publique des réviseurs d'entreprises autorise, à titre exceptionnel, que le commissaire puisse déroger à l'interdiction visée au paragraphe 3 et ce pour une période maximale de deux exercices sociaux;
a) en annexe aux comptes consolidés ou, à défaut de comptes consolidés, en annexe aux comptes annuels de la société qui fait usage de l'exemption prévue à l'article 3:26, sauf si cette société est filiale d'une société belge qui fait usage de l'exemption précitée;
For the application of paragraphs 3 and 4, services consisting of verifying economic and financial data relating to a third-party undertaking that the company or one of its subsidiaries proposes to acquire or has acquired are not taken into account.
The ratio between the fees for the statutory audit and the other fees, as referred to in paragraphs 1 to 4, is to be assessed for the whole formed by the audited company, its parent company and its subsidiaries, it being understood that the fees for the statutory audit of foreign parent companies or subsidiaries are those arising from the statutory and/or contractual provisions applicable to those parent companies or subsidiaries.
The assessment of the ratio of the fees referred to in the second subparagraph is to be understood as being carried out by comparing, on an aggregate basis, over the duration of three financial years of the statutory auditor’s mandate:
- on the one hand, the total fees relating to three financial years for services other than the engagements entrusted to the statutory auditor by law or by European Union legislation, awarded on an aggregate basis during the three financial years by the audited company, its parent company and its subsidiaries to the statutory auditor, and
- on the other hand, the total fees referred to in Article 3:65, § 2, relating to the three financial years, awarded on an aggregate basis during the three financial years by the audited company, its parent company and its subsidiaries to the statutory auditor.

Article 3:65Statutory auditors’ fees: setting, disclosure and restrictions
For the purposes of this Article:
1° “person affiliated with the statutory auditor” means any person belonging to the network referred to in Article 3:56 of which the statutory auditor forms part, and any company or person affiliated with the statutory auditor referred to in Article 1:20;
2° “equivalent mandate” means a mandate held in a company governed by foreign law that is similar to that of statutory auditor in a Belgian company.
1° "personne liée au commissaire": toute personne qui relève du réseau visé à l'article 3:56 dont le commissaire fait partie ainsi que toute société ou personne liée au commissaire visée à l'article 1:20;
The statutory auditors’ fees are set by the general meeting at the beginning of their mandate. Those fees consist of a fixed sum guaranteeing compliance with the auditing standards. They may be changed only with the consent of the parties. They are disclosed in the notes to the annual accounts.
The fees must be sufficient to enable the statutory auditor to perform his or her engagement in complete independence and in compliance with the professional standards and recommendations approved in accordance with Article 31 of the Law of 7 December 2016 on the organisation of the profession and the public oversight of registered auditors.

The amounts of the fees relating to exceptional services or special engagements performed within the company whose annual accounts the statutory auditor audits, referred to in Article 3:77, by the statutory auditor, on the one hand, and by a person affiliated with the statutory auditor, on the other hand, are disclosed in the notes to the annual accounts according to the following categories:
1° other attestation engagements;
2° tax advisory engagements; and
3° other engagements outside the audit engagement.
Note. In paragraph 3, the reference to Article 3:77, which governs the audit of consolidated accounts, appears to be an error: the paragraph concerns the audit of the annual accounts of the company itself, and paragraph 6 describes the same company (“the company whose annual accounts he or she audits”) by reference to Article 3:73, which entrusts the audit of the annual accounts to the statutory auditors and is evidently meant. The translation follows the official text.

1° in the notes to the consolidated accounts or, in the absence of consolidated accounts, in the notes to the annual accounts of the company that makes use of the exemption provided for in Article 3:26, unless that company is a subsidiary of a Belgian company that makes use of that exemption;

Apart from those fees, the statutory auditors may not receive any benefit from the company, in any form whatsoever. Where engagements are performed by the statutory auditor or by a member of the network referred to in Article 3:56 to which the statutory auditor belongs, in a company in which the statutory auditor is responsible for the statutory audit or in a company that controls it or that it controls within the European Union, neither the statutory auditor nor a member of the network to which he or she belongs may perform any engagement for contingent fees, whatever safeguards are in place.

Article 3:66Dismissal and resignation of the statutory auditor
On pain of damages, the statutory auditor may be dismissed during his or her mandate only for just cause, by the general meeting. In particular, a difference of opinion on an accounting treatment or an audit procedure does not in itself constitute just cause for dismissal.
In the case of the statutory audit of a public-interest entity referred to in Article 1:12, an action for the dismissal of the statutory auditor may, where there are valid grounds for doing so, be brought before the enterprise court by:
1° any shareholder representing at least five per cent of the voting rights or of the capital;
2° the Belgian Audit Oversight Board (Collège de supervision des réviseurs d’entreprises) referred to in Article 32 of the Law of 7 December 2016 on the organisation of the profession and the public oversight of registered auditors.
Except for serious personal reasons, the statutory auditor may resign during his or her mandate only at a general meeting and after having reported to it in writing on the reasons for his or her resignation.

1° tout actionnaire représentant au moins cinq pour cent des droits de vote ou du capital;

If the management body fails to hand over those documents to him or her or to them within the statutory time limit referred to in the third subparagraph, an assurance deficiency report is drawn up and addressed to the management body, in so far as the statutory auditor or the registered auditor is unable to comply with the time limits laid down by this Code for making his or her assurance report available.
It is prohibited to require assurance of sustainability reporting for information provided by companies that, as entities, form part of the value chain of the companies and entities referred to in Article 3:6/1 but are not themselves subject to the obligations to publish sustainability reporting.
