Title 1 – Introductory provisionsTITRE 1er – Dispositions introductives

Article 4:1Simple partnership: definition and internal partnership

Amended by: Law of 28 April 2020

Art. 4:1#

A simple partnership (société simple) is the contract by which two or more persons agree to pool their contributions with a view to distributing to its partners, or procuring for them, a direct or indirect financial benefit. It is entered into in the common interest of the parties.

A simple partnership is “internal” where it is agreed that it is managed by one or more managers, whether or not partners, acting in their own name.

Unless otherwise agreed, it is entered into in consideration of the identity of the partners.

Article 4:2Lawful object and profit-sharing exclusion clauses

Art. 4:2#

Every simple partnership must have a lawful object.

An agreement that would give one of the partners all the profits, or exclude one or more partners from sharing in the profits, is void unless it can be given another legal characterisation that would make it valid or allow it to survive in part.

Article 4:3Duration of the simple partnership

Art. 4:3#

If the agreement does not specify the duration of the simple partnership, it is deemed to have been entered into for an indefinite period.

A simple partnership whose object is a specific transaction is deemed to have been entered into for the time that transaction is to last.

Title 2 – Partnership sharesTITRE 2 – Les parts d'associé

Article 4:4Partners’ shares in profits, losses and assets

Art. 4:4#

The agreement determines the partners’ shares in the profits and losses and in the partnership’s assets in the event of dissolution.

Where the agreement does not determine them, each partner’s share is in proportion to that partner’s contribution to the partnership. For a partner who has contributed only services (apport en industrie), the share is fixed as if that contribution had been equal to the smallest contribution other than a contribution in services.

Article 4:5Determination of shares by a third party or partner

Art. 4:5#

The partners may agree to leave the determination of their shares to a third party or even to one of themselves.

The decision of that third party or that partner is binding.

It may be annulled only in the event of gross error or fraud or if it is manifestly inequitable.

An action for annulment is not admissible if the partner bringing it has not expressly contested the determination within three months of becoming aware of it or if that partner has begun to perform the determination without reservation.

Article 4:6Non-transferability of partnership shares

Art. 4:6#

Unless otherwise agreed, the shares are not transferable.

Each partner may nevertheless, without the consent of the other partners, associate a third party with his or her share in the partnership.

Article 4:7Form and effect of a transfer of shares

Art. 4:7#

A transfer of shares, where permitted by the agreement, may be made only in accordance with the forms of civil law.

It has no effect as regards the partnership’s obligations that arose before it became enforceable against third parties.

Title 3 – Management of the partnership’s affairsTITRE 3 – L'administration des affaires sociales

Article 4:8Managers and their powers

Art. 4:8#

The partnership is managed by one or more managers, whether or not partners, who act as agents and whose powers are determined by the instrument appointing them.

Unless the agreement or the instrument appointing them provides that they must act jointly, these agents may perform separately the acts that fall within their mandate.

Article 4:9Dismissal of managers

Art. 4:9#

For as long as the partnership lasts, a manager entrusted with management by a special clause of the partnership agreement may be dismissed only for just cause, left to the assessment of the court, or by a decision of the partners taken unanimously or, if the agreement so provides, under the majority conditions laid down in it.

In other cases, the manager may be dismissed like an ordinary agent.

Article 4:10Default rule: mutual authority to manage

Art. 4:10#

Failing special provisions on the manner of management, the partners are deemed to have given each other reciprocal authority to manage on each other’s behalf.

Acts of management performed by one of the partners bind the others unless one of them objects before the transaction is concluded.

Article 4:11Partners bound only within the limits of powers

Art. 4:11#

The partners are bound towards third parties by the act of one of them or of a manager only in so far as that person acted within the limits of his or her powers.

Title 4 – Decisions of the partners in meetingTITRE 4 – Les décisions des associés réunis en assemblée

Article 4:12Partners’ decisions: unanimity and majority clauses

Art. 4:12#

The partners in meeting take unanimously any decision that concerns the partnership or whose purpose is to amend the agreement, unless the agreement provides that their decisions will be taken by majority.

A clause allowing the partners to amend the agreement by majority does not extend to an amendment of the partnership’s essential object.

Decisions taken by a majority of the partners under the conditions laid down in the agreement bind all the partners, save in the case of fraud or abuse of rights.

Title 5 – The partnership’s assets and the rights of creditorsTITRE 5 – Le patrimoine social et les droits des créanciers

Article 4:13Partnership assets held in undivided ownership

Art. 4:13#

The property contributed to the partnership and the property resulting from the partnership’s activity form assets held in undivided ownership by the partners.

The property making up the partnership’s assets is allocated to the partnership’s activity.

The partners may not claim to exercise over that property rights that conflict with its allocation.

Article 4:14Partnership creditors and partners’ personal liability

Amended by: Law of 21 April 2024

Art. 4:14#

Creditors whose claim arises from the partnership’s activity may have recourse against all the partnership’s assets. The partners are personally and jointly and severally liable to them with their own assets.

Where a partner has not been informed of, or is not aware of, the proceedings in which the simple partnership was ordered to pay the claim in question, the decision may be enforced against that partner only if it has been served on him or her. That partner may lodge an objection in the manner and within the time limit laid down by the Judicial Code, even if the decision is open to appeal.

By way of derogation from the first subparagraph, if the partnership is internal, third parties have recourse only against the partner or manager who dealt with them in his or her own name. Third parties have no direct action against the other partners.

Article 4:15Limited recourse of partners’ personal creditors

Amended by: Law of 28 April 2022

Art. 4:15#

Without prejudice to Article 5.242 of the Civil Code, the personal creditors of the partners whose claim is unrelated to the partnership’s activity, and those who dealt with a partner who had no power to represent the others, have recourse only against that partner’s share and the profits distributed to that partner.

They may not attach the property making up the partnership’s assets or exercise any right over it.

Title 6 – Dissolution of the partnership, withdrawal and expulsion of a partnerTITRE 6 – La dissolution de la société, le retrait et l'exclusion d'un associé

Article 4:16Grounds for dissolution

Art. 4:16#

The partnership is dissolved:

- on expiry of its term;

- by the physical or legal loss of the thing or by the completion of the transaction, if the partnership was formed exclusively for the exploitation of that thing or the performance of that transaction;

- by the death, incapacity, liquidation, bankruptcy or insolvency (déconfiture) of one of the partners;

- by a decision of the partners taken unanimously or, where applicable, by the majority laid down in the agreement;

- or by the fulfilment of a resolutive condition in their agreement.

Original (French)

La société est dissoute:

- par l'expiration du terme;

- par la perte matérielle ou juridique de la chose ou par la réalisation de l'opération si elle a été créée exclusivement en vue de l'exploitation de cette chose ou l'accomplissement de cette opération;

- par la mort, l'incapacité, la liquidation, la faillite ou la déconfiture d'un des associés;

- par la décision des associés prise à l'unanimité ou, le cas échéant, à la majorité prévue par la convention;

Article 4:17Termination by notice and judicial dissolution

Art. 4:17, § 1#

Where the partnership is entered into for an indefinite period, each partner may terminate it unilaterally by giving reasonable notice, provided that the termination is made in good faith and not at an inopportune time.

Art. 4:17, § 2#

Dissolution of a partnership for a fixed term may be applied for by one of the partners, for just cause, to the president of the enterprise court of the partnership’s registered office, sitting as in summary proceedings.

Just cause exists not only where a partner seriously fails to perform his or her obligations or where his or her infirmity makes it impossible for that partner to perform them, but also in all other cases that make the normal continuation of the partnership’s affairs impossible, such as serious and lasting disagreement between the partners.

Article 4:18Continuation clauses on the death of a partner

Art. 4:18, § 1#

The agreement may provide that the death of one of the partners does not result in the dissolution of the partnership, but that the partnership continues either with that partner’s heirs or legatees or with the surviving partners only. In the first case, this is referred to as a continuation clause with the heirs; in the second, as a continuation clause among the remaining partners.

Art. 4:18, § 2#

If the agreement contains a continuation clause with the heirs, the heirs or legatees exercise all the rights of the deceased partner in proportion to their rights in the deceased partner’s estate and are bound, in the same proportion, to honour all the deceased partner’s commitments.

The agreement may limit the continuation clause to one or some of the heirs or legatees of the deceased partner, in which case the excluded heirs or legatees are entitled, as against the partnership, to the value of the deceased partner’s share in the partnership, as provided for in paragraph 3, in proportion to their rights in the deceased partner’s estate.

The agreement may also make the application of the continuation clause subject to the admission of the heirs and legatees of the deceased partner as partners, if they are not already partners. The agreement determines the majority by which, and the period within which, the heirs and legatees must be admitted as partners. That period may not, however, exceed three months from the death. Failing a decision within that period, admission is deemed to have been refused. Unless the agreement provides otherwise, the heirs and legatees must be admitted unanimously by the other partners.

Heirs and legatees who are not admitted as partners are entitled, as against the partnership, to the value of the deceased partner’s share in the partnership, as provided for in paragraph 3, in proportion to their rights in the deceased partner’s estate.

If none of the heirs and legatees is admitted as a partner, the partnership is automatically dissolved in accordance with Article 4:16, without prejudice to the application of a continuation clause among the remaining partners.

Art. 4:18, § 3#

If the agreement contains a continuation clause among the remaining partners, the heirs and legatees of the deceased partner are entitled only to the value of that partner’s share in the partnership at the time of death, without sharing in any subsequent increase in the partnership’s assets, unless that increase is a necessary consequence of what was done before the death of the person from whom they inherit.

Article 4:19Withdrawal and expulsion of a partner

Art. 4:19#

The agreement may give a partner the option of withdrawing from the partnership under the conditions it lays down without the partnership coming to an end as regards the remaining partners.

The agreement may give the partners, deciding by the majority it specifies, the option of terminating the membership of one of them on the grounds it lays down, or even without grounds, subject to reasonable notice.

Where the agreement does not lay down the arrangements for the repayment or buy-out of his or her share, a partner who withdraws or in respect of whom the partnership comes to an end is entitled to the value of that share at the time he or she ceases to be a partner. That entitlement is satisfied by the other partners buying back the share or by a partial division of the partnership’s assets as they stood at the time of departure, without sharing in subsequent rights or obligations unless these are the necessary consequence of what was done before the departure.

Article 4:20Termination for breach in respect of one partner

Art. 4:20#

In the event of a breach by a partner, the other partners may apply for the agreement to be terminated in respect of that partner only, provided that the partnership can continue without that partner and that the achievement of its object does not become impossible.

Article 4:21Liquidation of the simple partnership

Art. 4:21#

The partnership’s assets are deemed to continue to exist for the purposes of its liquidation until the liquidation is closed. Any interested party may apply to the president of the enterprise court of the partnership’s registered office, sitting as in summary proceedings, for the appointment of one or more liquidators. Article 2:97, §§ 1 and 3, first subparagraph, applies.

Title 7 – Specific provisions on the general partnership and the limited partnershipTITRE 7 – Dispositions spécifiques à la société en nom collectif et la société en commandite

Article 4:22General and limited partnerships: legal personality and definitions

Art. 4:22#

A simple partnership whose partners agree that it will have legal personality takes the form of a general partnership (SNC) or a limited partnership (SComm).

A partnership is a general partnership where all the partners are jointly and severally liable without limit for the partnership’s obligations.

A partnership is a limited partnership where it is formed by one or more partners who are jointly and severally liable without limit for the partnership’s obligations, referred to as general (managing) partners, and one or more other partners who only make contributions in cash or in kind and do not take part in management, referred to as limited partners.

In general and limited partnerships, the manager or managers constitute the management body.

Article 4:23Rules applicable to general and limited partnerships

Art. 4:23#

General partnerships and limited partnerships are subject to Book 2 and to Titles 1 to 6 of this Book, with the exception of Articles 4:13, first subparagraph, 4:14, second subparagraph, and 4:21.

Article 4:24Limited partners’ liability and creditors’ action

Art. 4:24#

Limited partners are personally liable only up to the amount of the sums and assets they have promised to contribute.

The partnership’s creditors have a right of action against them to compel them to pay up their contributions and to repay to the partnership the dividends they have received if those dividends were not paid out of the partnership’s actual and realised profits, without prejudice to any recourse the limited partners may have against the managers in the event of fraud, bad faith or gross negligence on the managers’ part.

Article 4:25Limited partners barred from acts of management

Art. 4:25, § 1#

A limited partner may not perform any act of management, even under a power of attorney.

Opinions and advice, acts of supervision and authorisations given to the managers for acts outside their powers do not, however, constitute acts of management within the meaning of the first subparagraph.

Art. 4:25, § 2#

A limited partner is jointly and severally liable towards third parties for all the partnership’s obligations in which he or she took part in breach of the prohibition in paragraph 1.

A limited partner is jointly and severally liable towards third parties, in the same way as the general partners, for all the partnership’s obligations if he or she has habitually managed the partnership’s affairs or if his or her name forms part of the partnership’s name.

Article 4:26Judgment against partners and enforcement against them

Amended by: Law of 21 April 2024

Art. 4:26#

No judgment personally ordering the partners in a general partnership or a limited partnership to pay in respect of the partnership’s obligations may be given before judgment has been given against the partnership.

Where a partner has not been informed of, or is not aware of, the proceedings in which the partnership was ordered to perform such an obligation, the decision may be enforced against that partner only if it has been served on him or her. That partner may lodge an objection in the manner and within the time limit laid down by the Judicial Code, even if the decision is open to appeal.

Article 4:27Managers’ liability where all unlimited partners are companies

Art. 4:27#

The managers of a general partnership or a limited partnership all of whose partners with unlimited liability are Belgian or foreign companies in which the partners’ liability is limited are jointly and severally liable towards the partnership for all damage resulting from breaches of the provisions of Book 3, Title 1.

Article 4:28Provisional administrator where the manager cannot act

Art. 4:28#

If it has been stipulated that the general partnership or limited partnership is to continue in the event of the death, liquidation, incapacity or any other impediment of the manager, the president of the enterprise court of the partnership’s registered office may, unless the agreement provides otherwise, appoint, at the request of any interested party, a provisional administrator, whether or not a partner, and determine that administrator’s powers and term of office.

The provisional administrator – even if a limited partner – is liable only for the performance of his or her mandate.
