Article 7:85Board of directors: composition, term and dismissal

Amended by: Law of 28 March 2024

Art. 7:85, § 1#

The company is managed by a collegial management body, called the board of directors, which has at least three directors, who are natural or legal persons.

Except in listed companies, the board of directors may consist of two directors as long as the company has fewer than three shareholders. As long as the board of directors has only two members, any provision granting a member of the board of directors a casting vote automatically ceases to have effect.

Directors may not, in that capacity, be bound to the company by an employment contract.

Art. 7:85, § 2#

Directors are appointed by the general meeting of shareholders; the first directors are appointed in the deed of incorporation. They are appointed for a maximum of six years, but their mandate may be renewed without limit.

Unless the articles of association provide otherwise or the general meeting decides otherwise at the time of their appointment, their mandate runs from the general meeting that appointed them until the ordinary general meeting held in the financial year during which their mandate ends according to the appointment resolution.

Art. 7:85, § 3#

The general meeting may at any time, with immediate effect and without giving reasons, terminate the mandate of any director. However, unless the articles of association provide otherwise, the general meeting may in all cases set, at the time of dismissal, the date on which the mandate will end, or grant a severance payment.

By way of derogation from the first subparagraph, the articles of association may provide that a director’s mandate may be terminated only subject to a notice period or the grant of a severance payment.

The general meeting may nevertheless in any event terminate the mandate of a director for just cause, without notice or compensation.

Art. 7:85, § 4#

Any director may resign by simple notice to the board of directors. At the company’s request, the director remains in office until the company can reasonably provide for a replacement. The director may personally do everything necessary to make the end of the mandate enforceable against third parties under the conditions laid down in Article 2:18.

Article 7:86Gender balance and eligibility of board members

Amended by: Law of 28 April 2020; Law of 28 March 2024

Art. 7:86, § 1#

In listed companies and in the public-interest entities referred to in Article 1:12, 2°, at least one third of the members of the board of directors must be of a different gender from that of the other members; the minimum number required is rounded to the nearest whole number. If a director is a legal person, its gender is determined by that of its permanent representative.

If, for any reason whatsoever, the composition of the board of directors does not meet, or no longer meets, the conditions laid down in the first subparagraph, the first general meeting that follows must constitute a board of directors that meets those requirements, without prejudice to the regularity of the composition of the board of directors up to that date. Any other appointment is void.

If, after the general meeting referred to in the second subparagraph, the composition of the board of directors does not comply with the first and second subparagraphs, any benefit, financial or otherwise, accruing to the directors by virtue of their mandate is suspended from that time until at least one third of the members of the board of directors are of a different gender from that of the other members.

The composition of the board of directors of companies whose securities are listed for the first time must comply with the first subparagraph from the first day of the sixth year following the listing.

Art. 7:86, § 2#

Directors of listed companies and of the public-interest entities referred to in Article 1:12, 2°, may not be in any of the situations referred to in Article 20 of the Law of 25 April 2014 on the status and supervision of credit institutions.

Article 7:86/1At least three independent directors in listed companies

Art. 7:86/1#

In listed companies, at least three directors must be independent within the meaning of Article 7:87.

If, for any reason whatsoever, the composition of the board of directors does not meet, or no longer meets, the condition laid down in the first subparagraph, the first general meeting that follows must constitute a board of directors that meets that requirement, without prejudice to the regularity of the composition of the board of directors up to that date. Any other appointment is void.

If, after the general meeting referred to in the second subparagraph, the composition of the board of directors does not comply with the first and second subparagraphs, any benefit, financial or otherwise, accruing to the directors by virtue of their mandate is suspended from that time until the composition of the board of directors complies once again.

Article 7:87Independence of directors of listed companies

Amended by: Law of 28 March 2024

Art. 7:87, § 1#

A director of a listed company is considered independent if the director has no relationship with the company or with a significant shareholder of the company that is liable to jeopardise the director’s independence. If the director is a legal person, independence must be assessed in respect of both the legal person and its permanent representative.

In order to verify whether a candidate director meets this condition, at least the criteria laid down in the Belgian corporate governance code designated by the King in accordance with Article 3:6, § 2, fourth subparagraph, are applied. The King ensures that this code contains a list of appropriate criteria. (…)

Where the board of directors proposes the candidacy of an independent director to the general meeting, it must expressly confirm that it has no indication of any element that could call into question the independence referred to in the first subparagraph.

Where the board of directors proposes to the general meeting the candidacy of an independent director whose independence referred to in the first subparagraph could be called into question, it must explain the indication or indications concerned and set out the reasons that lead it to consider that the candidate is in fact independent within the meaning of the first subparagraph.

An independent director who ceases to meet the aforementioned conditions must immediately inform the board of directors thereof, through its chair.

Art. 7:87, § 2#

In undertakings in which a works council has been established pursuant to the Law of 20 September 1948 on the organisation of the economy, the names of the independent directors proposed must be communicated to the works council before their appointment by the general meeting. The same procedure applies when a mandate is renewed.

Article 7:88Co-option of directors to fill a vacancy

Amended by: Law of 28 April 2020; Law of 28 March 2024

Art. 7:88, § 1#

Where a director’s position becomes vacant, the remaining directors are entitled to co-opt a new director, unless the articles of association exclude this.

The first general meeting that follows must confirm the mandate of the co-opted director; upon confirmation, the co-opted director completes the predecessor’s mandate, unless the general meeting decides otherwise. Failing confirmation, the mandate of the co-opted director ends after the general meeting, without prejudice to the regularity of the composition of the board of directors up to that date.

Art. 7:88, § 2#

If the composition of the board of directors of a listed company or of a public-interest entity referred to in Article 1:12, 2°, no longer meets the conditions laid down in Article 7:86, § 1, first subparagraph, because a director’s position has become vacant, the board of directors that uses its power of co-option must ensure that its composition again meets those requirements, without prejudice to the regularity of the composition of the board of directors up to that time. Any other appointment is void.

Article 7:86, § 1, third subparagraph, applies by analogy from the time when the board of directors has used its power of co-option without bringing its composition into line with Article 7:86, § 1, first subparagraph.

Art. 7:89/1, § 3#

The remuneration policy must be approved by the general meeting. The remuneration policy must be submitted to the general meeting for approval whenever there is a material change and in any event at least every four years.

The shareholders’ vote on the remuneration policy at the general meeting is binding. Companies may pay remuneration to directors, other executives and persons in charge of day-to-day management only in accordance with a remuneration policy approved by the general meeting.

Where no remuneration policy has yet been approved and the general meeting does not approve the proposed policy, the company may continue to remunerate its directors, other executives and persons in charge of day-to-day management in accordance with its existing practices, and it must submit a revised remuneration policy for approval to the next general meeting.

Where an approved remuneration policy exists and the general meeting does not approve the proposed new policy, the company must continue to remunerate its directors, other executives and persons in charge of day-to-day management in accordance with the existing approved policy, and it must submit a revised remuneration policy for approval to the next general meeting.

Art. 7:89/1, § 4#

After the vote on the remuneration policy at the general meeting, the policy, together with the date and the result of the vote, must be made public without delay on the company’s website and must remain available to the public free of charge, at least for as long as the remuneration policy applies.

Art. 7:89/1, § 5#

The company may temporarily derogate from the remuneration policy, provided that:

1° the derogation is justified by exceptional circumstances in which such a derogation is necessary to serve the long-term interests and sustainability of the company as a whole or to ensure its viability; and

2° the derogation is granted in accordance with the procedure laid down in the remuneration policy approved by the general meeting in accordance with this Article and relates only to the elements of the remuneration policy from which that policy permits derogation.

Art. 7:89/1, § 6#

This Article applies without prejudice to Articles 7:91 and 7:92 and to the statutory provisions laid down in special laws.

Article 7:90Criteria for executive directors’ variable remuneration

Art. 7:90#

In a listed company, the criteria that make the award of remuneration to an executive director variable are laid down in the provisions governing the legal relationship concerned.

Such variable remuneration may be paid only if the criteria have been met for the period specified.

If the criteria have not been laid down or if payment is not linked to compliance with the criteria set, such variable remuneration is not taken into account in calculating the severance payment of the executive director concerned.

Article 7:91Share vesting and multi-year criteria for variable remuneration

Amended by: Law of 28 April 2020

Art. 7:91#

In a listed company, unless the articles of association provide otherwise or the general meeting gives its express approval, a director may not, by way of remuneration, definitively acquire shares or exercise share options or any other rights to acquire shares until a period of at least three years has elapsed after they were awarded.

Unless the articles of association provide otherwise or the general meeting gives its express approval, at least one quarter of the variable remuneration of an executive director in a listed company must be based on predetermined and objectively measurable performance criteria over a period of at least two years, and at least another quarter must be based on predetermined and objectively measurable criteria over a period of at least three years.

The obligation laid down in the second subparagraph does not apply if the variable remuneration is equal to or less than one quarter of the annual remuneration.

For the purposes of this provision, “annual remuneration” means all the elements whose disclosure in the management report is required under Article 3:6, § 3, third subparagraph, 1°.

Article 7:92Approval of severance payments and variable remuneration

Amended by: Law of 28 April 2020

Art. 7:92#

If an agreement concluded with an executive director or another executive referred to in Article 3:6, § 3, third subparagraph, or with a person in charge of day-to-day management of a listed company provides for a severance payment exceeding 12 months’ remuneration as referred to in Article 3:6, § 3, third subparagraph, 1°, that agreement is always concluded, notwithstanding any provision of the articles of association or contractual clause to the contrary, subject to the suspensive condition of its approval by the general meeting. If the severance payment exceeds 18 months’ remuneration as referred to in Article 3:6, § 3, third subparagraph, 1°, the general meeting may approve it only on the basis of a binding and reasoned opinion of the remuneration committee.

The request for approval by the general meeting of a severance payment referred to in the first subparagraph is communicated, thirty days before the date of publication of the convening notice of the first general meeting that follows, to the works council or, failing that, to the employee representatives on the committee for prevention and protection at work or, failing that, to the trade union delegation. At the request, as the case may be, of one of the parties to the works council, of the trade union delegation or of the employee representatives on the committee for prevention and protection at work, that body gives its opinion to the general meeting. The request for an opinion must be submitted at least twenty days before the date of publication of the convening notice. The opinion is given and published on the company’s website no later than the day on which the convening notice is published.

The works council, the trade union delegation or the employee representatives on the committee for prevention and protection at work may not disclose the personal data communicated to them except for the sole purpose of the opinion to the general meeting referred to in the second subparagraph.

An agreement with a non-executive director of a listed company who is not independent that provides for variable remuneration is always concluded, notwithstanding any provision of the articles of association or contractual clause to the contrary, subject to the suspensive condition of approval by the general meeting. No variable remuneration may be granted to an independent director.

The second and third subparagraphs apply by analogy to the fourth subparagraph.

Art. 7:95#

The minutes of meetings of the board of directors are signed by the chair and by those directors who so wish; copies to be issued to third parties are signed by one or more directors having the power of representation.

Where the board of directors is called upon to take a decision or to rule on a transaction within its competence in which a director has a direct or indirect financial interest that conflicts with the interest of the company, that director must inform the other directors before the board of directors takes a decision. The director’s declaration and explanations of the nature of this conflicting interest must be recorded in the minutes of the meeting of the board of directors that is to take that decision. The board of directors may not delegate its decision.

The board of directors describes, in the minutes, the nature of the decision or transaction referred to in the first subparagraph and its financial consequences for the company, and justifies the decision taken. That part of the minutes is included in full in the management report or in a document filed at the same time as the annual accounts.

If the company has appointed a statutory auditor (commissaire), the minutes of the meeting are communicated to the statutory auditor. In the report referred to in Article 3:74, the statutory auditor assesses, in a separate section, the financial consequences for the company of the decisions of the board of directors, as described by the board, in respect of which there is a conflicting interest as referred to in the first subparagraph.

The director who has a conflict of interest as referred to in the first subparagraph may not take part in the deliberations of the board of directors concerning those transactions or decisions, or take part in the vote on that matter. Where all the directors have a conflict of interest, the decision or transaction is submitted to the general meeting; if the general meeting approves the decision or transaction, the management body may carry it out.

Art. 7:96, § 2#

Without prejudice to the right of the persons referred to in Articles 2:44 and 2:46 to seek the nullity or suspension of the decision of the management body, the company may seek the nullity of decisions taken or transactions carried out in breach of this Article if the other party to those decisions or transactions was or should have been aware of that breach.

Art. 7:96, § 3#

Paragraph 1 does not apply where the decisions or transactions within the competence of the board of directors concern decisions or transactions concluded between companies one of which holds, directly or indirectly, at least 95% of the votes attached to all the securities issued by the other, or between companies in each of which at least 95% of the votes attached to all the securities issued are held by another company.

Article 7:97Related-party transactions of listed companies

Amended by: Law of 28 April 2020; Law of 28 March 2024

Art. 7:97, § 1#

For any decision or transaction in implementation of a decision that falls within the competence of the board of directors of a listed company and concerns a party related to the listed company within the meaning of the international accounting standards adopted in accordance with Regulation (EC) No 1606/2002, the board of directors applies the procedure laid down in paragraphs 3, 4 and 4/1. Decisions or transactions concerning a subsidiary of the listed company do not require the application of that procedure, unless the natural or legal person who holds direct or indirect control of the listed company holds, directly or indirectly, through natural or legal persons other than the listed company, a participating interest representing at least 25% of the capital of the subsidiary concerned or entitling that person, in the event of a distribution of profits by that subsidiary, to at least 25% of those profits.

(…)

The unlisted subsidiaries of the listed company referred to in the first subparagraph may not, without the prior consent of the board of directors of that listed company, take decisions or carry out transactions that concern their relations with a related party. The first sentence does not apply where the related party is that listed company or one of its subsidiaries, unless the natural or legal person who holds direct or indirect control of the listed company holds, directly or indirectly, through natural or legal persons other than the listed company, a participating interest representing at least 25% of the capital of the subsidiary concerned or entitling that person, in the event of a distribution of profits by that subsidiary, to at least 25% of those profits.

This paragraph does not apply:

1° to decisions and transactions that are ordinary for the listed company or its subsidiaries and that are made on the conditions and with the guarantees normally prevailing on the market for transactions of the same kind;

2° to decisions and transactions representing less than 1% of the net assets of the listed company, as shown by the consolidated accounts;

3° to decisions and transactions concerning the remuneration of the directors, the other executives and the persons in charge of day-to-day management of the company, or certain elements of their remuneration;

4° in cases where the supervisory authority exempts the credit institution from the application of paragraph 1, to decisions and transactions of a credit institution carried out in application of measures adopted by the supervisory authority referred to in Article 134 of the Law of 25 April 2014 on the status and supervision of credit institutions and stockbroking firms in order to safeguard its stability.

The exemption referred to in the third subparagraph, 4°, may in particular be granted for reasons relating to the stability of the institution concerned or, more generally, to financial stability;

5° to the acquisition or disposal of own shares, the distribution of interim dividends and capital increases under the authorised capital without limitation or cancellation of the pre-emption right of existing shareholders.

For the decisions and transactions referred to in the third subparagraph, 1°, the board of directors establishes an internal procedure to assess periodically whether those conditions are fulfilled. Related parties do not take part in that assessment.

Decisions or transactions concerning the same related party that have been made during any twelve-month period and that, considered individually, fall within the scope of the third subparagraph, 2°, are aggregated for the purpose of calculating the threshold referred to in the third subparagraph, 2°.

1° aux décisions et aux opérations habituelles pour la société cotée ou ses filiales, intervenant dans des conditions et sous les garanties normales du marché pour des opérations de même nature;

2° aux décisions et aux opérations représentant moins d'1 % de l'actif net de la société cotée, tel qu'il résulte des comptes consolidés;

3° aux décisions et les opérations concernant la rémunération des administrateurs, des autres dirigeants et des délégués à la gestion journalière de la société, ou certains éléments de la rémunération de ceux-ci;

La dispense visée à l'alinéa 3, 4°, peut notamment être octroyée pour des raisons touchant à la stabilité de l'établissement concerné ou, plus généralement, à la stabilité financière;

Art. 7:97, § 2#

The procedure laid down in paragraphs 3, 4 and 4/1 also applies to the decision of the board of directors of a listed company to submit to the general meeting for approval:

1° a proposal for a contribution in kind, including a contribution of a universality of assets or of a branch of activity, by a party related to that listed company;

2° a proposal for a merger, a division or a transaction treated as equivalent within the meaning of Article 12:7 with, or for the contribution of a universality of assets to, a party related to that listed company;

3° a proposal for a transfer of assets within the meaning of Article 7:151/1 concerning a party related to that listed company.

The first subparagraph does not apply where the party related to the listed company is a subsidiary of that company, unless the natural or legal person who holds direct or indirect control of the listed company holds, directly or indirectly, through natural or legal persons other than the listed company, a participating interest representing at least 25% of the capital of the subsidiary concerned or entitling that person, in the event of a distribution of profits by that subsidiary, to at least 25% of those profits.

1° une proposition d'apport en nature, y compris un apport d'universalité ou de branche d'activité, par une partie liée à cette société cotée;

2° un projet de fusion, de scission, d'opération assimilée au sens de l'article 12:7 avec, ou l'apport d'une universalité à, une partie liée à cette société cotée;

Art. 7:97, § 3#

All decisions or transactions referred to in paragraphs 1 and 2 must first be submitted for assessment to a committee composed of three independent directors, which is assisted, if it considers it necessary, by one or more independent experts of its choice. The expert is remunerated by the company.

The committee gives the management body a detailed, reasoned written opinion on the proposed decision or transaction, covering at least the following elements: the nature of the decision or transaction, a description and an estimate of the financial consequences, a description of any other consequences, and the resulting advantages and disadvantages for the company, including, where applicable, in the longer term. The committee places the proposed decision or transaction in the context of the company’s strategy and indicates whether it is detrimental to the company, whether it is offset by other elements of that strategy, or whether it is manifestly abusive. Where applicable, the expert’s comments are incorporated into the committee’s opinion or annexed to it.

Art. 7:97, § 4#

After taking note of the opinion of the committee referred to in paragraph 3, and without prejudice to Article 7:96, the board of directors deliberates on the proposed decision or transaction.

Where the decision or transaction involves a director, that director takes part neither in the deliberation nor in the vote. If all the directors are involved, the decision or transaction is submitted to the general meeting. If the general meeting approves the decision or transaction, the board of directors may carry it out.

The board of directors confirms in the minutes of the meeting that the procedure described above has been followed and, where applicable, states the reason why it departs from the committee’s opinion.

The statutory auditor (commissaire) assesses whether the financial and accounting data contained in the minutes of the management body and in the committee’s opinion are free of material inconsistencies with the information available to the statutory auditor in the course of its engagement. That assessment is annexed to the minutes of the management body.

Section 2 – The sole directorSection 2 – L'administrateur unique

Article 7:101Sole director: appointment, liability and dismissal

Amended by: Law of 28 April 2020

Art. 7:101, § 1#

The articles of association may provide that the company is managed by a sole director, who may be appointed in the articles of association.

In a listed company, or where a provision of law requires collegial management, the sole director must be a public limited company managed by a collegial body.

If the sole director is a public limited company with a one-tier administration, Articles 7:89, 7:89/1, 7:90, 7:91, 7:92, first, second and third subparagraphs, 7:93 and 7:94 apply by analogy to the sole director. Section 1 applies to its management body and to the members of that body, with the exception of Article 7:96.

If the sole director is a public limited company with a two-tier administration, Articles 7:89, 7:89/1, 7:90, 7:91, 7:92, first, second and third subparagraphs, 7:93 and 7:94 apply by analogy to the sole director. Section 3 applies to its supervisory board and its executive board and to their members, with the exception of Article 7:115.

The articles of association may appoint a successor to the sole director.

Art. 7:101, § 2#

The articles of association may provide that the sole director is jointly and severally liable, without limit, for the obligations of the company. In that case, no judgment may be given against the director personally in respect of the company’s obligations until judgment has been given against the company itself.

Art. 7:101, § 3#

The articles of association may provide that the consent of the sole director is required for any amendment of the articles of association, for any distribution to the shareholders or for the sole director’s dismissal.

Art. 7:101, § 4#

The death, legal incapacity, insolvency (déconfiture), bankruptcy and liquidation of the sole director, and any other cause stated in the articles of association, automatically bring the sole director’s functions to an end.

Even if, under a provision of the articles of association, the consent of the sole director is required for the sole director’s dismissal, the general meeting may terminate the sole director’s mandate without that consent, for just cause, under the quorum and majority conditions required for an amendment of the articles of association.

Holders of shares with voting rights who represent at least 10% or, in a listed company, 3% of the capital may nevertheless unanimously appoint a special proxy holder, whether or not a shareholder, to bring an application for the dismissal of the sole director for just cause. That application is brought before the president of the enterprise court of the company’s registered office, sitting as in summary proceedings. The writ of summons states the identity of the special proxy holder, with whom domicile is elected.

The company must be summoned so that the judgment is declared binding on it.

Failing this, the president adjourns the case to an early date on which the company will be summoned. The costs of the proceedings are borne by the company, unless the court expressly decides otherwise.

Article 7:102Conflicts of interest of the sole director

Amended by: Law of 28 April 2020

Art. 7:102, § 1#

Where the sole director is called upon to take a decision or to rule on a transaction within its competence in which the sole director has a direct or indirect financial interest that conflicts with that of the company, the sole director submits that decision or transaction to the general meeting; if the general meeting approves the decision or transaction, the management body may carry it out.

Where the sole director is a legal person with a collegial management body and is called upon to take a decision or to rule on a transaction in which a member of that management body has a direct or indirect financial interest that conflicts with the interest of the company, Article 7:96 applies in the case of a one-tier administration and Article 7:117 in the case of a two-tier administration. Where all the members of the sole director’s management body called upon to decide on the conflict of interest have a conflicting interest, the decision or transaction is submitted to the general meeting; if the general meeting of the managed company approves the decision or transaction, the management body or, in the case of a two-tier administration, the executive board may carry it out.

If the sole director is also the sole shareholder, the sole director may take the decision or carry out the transaction personally.

Amended by: Law of 28 April 2020; Law of 28 March 2024

Art. 7:116, § 1#

For any decision or transaction in implementation of a decision that falls within the competence of the supervisory board of a listed company and concerns a party related to the listed company within the meaning of the international accounting standards adopted in accordance with Regulation (EC) No 1606/2002, the supervisory board applies the procedure laid down in paragraphs 3, 4 and 4/1.

(…)

The unlisted subsidiaries of the listed company referred to in the first subparagraph may not, without the prior consent of the supervisory board of that listed company, take decisions or carry out transactions that concern their relations with a related party.

1° to decisions and transactions that are ordinary for the listed company or its subsidiaries and that are made on the conditions and with the guarantees normally prevailing on the market for transactions of the same kind;

2° to decisions and transactions representing less than one per cent of the net assets of the listed company, as shown by the consolidated accounts;

3° to decisions and transactions concerning the remuneration of the members of the executive board and of the supervisory board, of the other executives and of the persons in charge of day-to-day management of the company, or certain elements of their remuneration;

That exemption may in particular be granted for reasons relating to the stability of the institution concerned or, more generally, to financial stability;

5° to the acquisition or disposal of own shares, the distribution of an interim dividend and capital increases under the authorised capital without limitation or cancellation of the pre-emption right of existing shareholders.

For the decisions and transactions referred to in the third subparagraph, 1°, the supervisory board establishes an internal procedure to assess periodically whether those conditions are fulfilled.

1° aux décisions et aux opérations habituelles pour la société cotée ou ses filiales intervenant dans des conditions et sous les garanties normales du marché pour des opérations de même nature;

Art. 7:116, § 2#

Art. 7:116, § 3#

All decisions or transactions referred to in paragraphs 1 and 2 must first be submitted for assessment to a committee composed of three independent members of the supervisory board, which is assisted, if it considers it necessary, by one or more independent experts of its choice.

Art. 7:116, § 4#

Where the decision or transaction involves a member of the supervisory board, that member takes part neither in the deliberation nor in the vote. If all the members are involved, the decision or transaction is submitted to the general meeting. If the general meeting approves the decision or transaction, the supervisory board may carry it out.

The supervisory board confirms in the minutes of the meeting that the procedure described above has been followed and states, where applicable, the reasons for which it departs from the committee’s opinion.

The statutory auditor (commissaire) assesses whether the financial and accounting data contained in the minutes of the management body and in the committee’s opinion are free of material inconsistencies with the information available to the statutory auditor in the course of its engagement. That assessment is annexed to the minutes of the supervisory board.

Section 4 – Day-to-day managementSection 4 – Gestion journalière

Article 7:121Delegation and scope of day-to-day management

Amended by: Law of 28 March 2024

Art. 7:121#

The board of directors, the sole director or, in the two-tier structure, the executive board may entrust one or more persons, each acting individually, jointly or as a collegial body, with the day-to-day management of the company and with the representation of the company in respect of that management. The management body that appointed the day-to-day management body is responsible for supervising it.

Day-to-day management of the company comprises both the acts and decisions that do not go beyond the needs of the company’s everyday business and the acts and decisions which, either because of their minor importance or because of their urgency, do not justify the intervention of the board of directors, the sole director or the executive board.

The provision under which day-to-day management is entrusted to one or more persons each acting individually, jointly or as a collegial body is enforceable against third parties under the conditions laid down in Article 2:18. However, restrictions on the power of representation of the body in charge of day-to-day management are not enforceable against third parties, even if they are published.

In a listed company, Articles 7:90, 7:91 and 7:92 apply by analogy to each member of the day-to-day management body and to the other executives referred to in Article 3:6, § 3, third subparagraph.

The persons in charge of day-to-day management and the other executives referred to in Article 3:6, § 3, third subparagraph, of listed companies and of public-interest entities referred to in Article 1:12, 2°, may not be in any of the situations provided for in Article 20 of the Law of 25 April 2014 on the legal status and supervision of credit institutions.
