A local director, an address and filings that are never late

We give your Luxembourg or Dutch company what they look for: resident directors who decide, a proper registered address, books, VAT, accounts and returns on time, and board minutes that prove it all. What we do

Two jobs: prove the company is real, and keep it in good standing

Substance protects treaty access, bank accounts and the exemptions your structure was built for. Compliance keeps the company out of fines, late-filing surcharges and permit problems.

Substance

Directors and address

Resident directors who meet, decide and sign, and a registered address from a licensed provider, or a real office when the activity needs one.

  • Resident directors with real decision power
  • Licensed domiciliation in Luxembourg
  • Dedicated desk or office for operating companies
Compliance

Books, filings and returns

Everything the company owes the state each month and year, filed on time, in one team.

  • Bookkeeping and annual accounts
  • Corporate tax, VAT and net wealth tax returns
  • UBO register, RCS or KvK filings, board minutes
Service builder

Build your service list

Four questions. You see the services grouped, the rules that apply in your country, what we need from you, and can send it for a fixed annual quote.

1. Where is the company?

2. What kind of company?

3. Your situation

4. What do you need?

The rules

What each country expects

Statutory rules, not our fees. They decide which services your company cannot do without.

Luxembourg: addressOnly licensed professionals may domicile a company, under a written agreement. A domiciliation does not satisfy the business permit of an operating company.
Luxembourg: filingsAccounts approved within 6 months and filed within 7; corporate, municipal and net wealth tax returns; minimum net wealth tax from EUR 535; late-filing surcharges from EUR 50.
Luxembourg: financing companiesCircular 56/1 expects qualified people and decisions in Luxembourg.
Netherlands: addressA Dutch establishment address where the company is reachable and managed; a PO box is not accepted.
Netherlands: filingsAccounts drawn up within 5 months (extendable), filed at the KvK within 12; corporate tax return 5 months after year-end; VAT usually quarterly.
Netherlands: financing companies70%+ group interest or royalties: Dutch board majority, bank account run from NL, EUR 100,000 wages and own office, or reporting to the source country.
Both: directorsBoard meetings held and minuted in the country, by directors who decide. Tax residence and treaty access follow the decisions.

How we work

Substance you can show, not just claim

A signature from a stranger is not substance. Decisions, records and people are.

Directors who read before they sign

Every decision prepared, discussed and minuted. That is what a tax audit asks to see.

Deadlines owned by us

We track every filing date and send reminders before, not surcharges after.

One team for both countries

Luxembourg and Dutch companies in the same group, run the same way.

FAQ

Corporate services questions

Can you take over a company from another provider?+

Yes. We collect the documents and access from your current provider, file the change of address and directors, and take over the books from the next period. Most handovers take one to three weeks.

Do your directors really take decisions?+

Yes, and that is the point. They review what they sign, meet in the country and keep minutes. A director who signs blindly protects nothing in an audit.

Is a registered address enough?+

For a holding in Luxembourg a licensed domiciliation usually is. An operating company needs a real place of business for its permit, and financing companies need more substance. The service builder shows what applies to you.

We are behind on our filings. Can you help?+

Yes. We catch up on the missing accounts and returns first, then run the company on time. The sooner, the smaller the surcharges.

How is the fee set?+

After a free call we send a fixed annual quote for the agreed services. It changes only if the scope changes.
