In short

  • Every company and other entity registered with the Trade and Companies Register (RCS) must file its beneficial owners with the RBE, except sole traders (Art. 1).
  • Thirteen data items per beneficial owner: name, nationality, date and place of birth, country of residence, address, identification number, and the nature and extent of the interest held (Art. 3). Listed companies file only the name of their market.
  • Changes must be filed within one month of the time the entity knew or should have known of them. The notary who drew up the deed may file too (Art. 4). LBR registers within three working days (Art. 6).
  • Since 1 February 2025 the register is no longer open to the general public. Authorities, AML professionals and self-regulatory bodies have access, and so do persons who show a legitimate interest, case by case (Art. 11, Art. 12, Art. 15bis).
  • If LBR finds wrong or missing data and the entity does not put it right within 30 days, sanctions escalate: a public “verification in progress” flag, certificates of failure, a €40 daily penalty, then striking off (Art. 9).
  • Knowingly failing to file, or filing false data, carries a criminal fine of €1,250 to €1,250,000 (Art. 20, Art. 21).

Who it affects

  • Managers and directors of Luxembourg S.à r.l., S.A., SCSp, SCS and other RCS-registered entities: they file and keep the UBO file at the registered office.
  • Foreign founders and holding shareholders: their personal data, including a foreign identification number, are filed in Luxembourg.
  • Banks, notaries, accountants, auditors and domiciliation agents: they must consult the RBE and report discrepancies within 30 days.
  • Journalists, NGOs and prospective business partners: since 2025 they need to apply and show a legitimate interest to see an entry.

BCA commentary

Who is the beneficial owner

The RBE Law does not define the beneficial owner itself. It points to Article 1(7) of the amended Law of 12 November 2004 on the fight against money laundering: in short, the natural person who ultimately owns or controls the entity, where holding more than 25% of the shares or voting rights is an indication of ownership. If no one meets the test, the senior managing officials are filed instead. For a holding chain, look through every level to the individuals at the top.

Filing in practice

The filing is made online with LBR (Art. 6). A non-resident beneficial owner without a Luxembourg national number is filed with a foreign identification number (Art. 3, point 11°). The one-month clock in Art. 4 runs from the moment the entity knew or ought to have known of the change, so a share transfer upstairs in the group counts even if nobody told the Luxembourg manager. The file and supporting documents must also be kept at the registered office (Art. 17).

Discrepancies and the sanctions ladder

Banks, notaries, auditors and other professionals compare the RBE with their own customer due diligence and must report any mismatch (Art. 8). That report triggers the procedure in Art. 9: a registered letter, 30 days to answer, then a public flag on the file from the second month, certificates of failure from the third, a €40 daily penalty from the seventh to the ninth month, and striking off of the entity’s file from the twelfth. Striking off does not dissolve the company or end its legal personality, but it is not an entry any bank likes to see.

Who can see the register since 2025

After the Court of Justice ruled on 22 November 2022 that general public access breached the Charter of Fundamental Rights, LBR closed public consultation. The Law of 23 January 2025 put the new rules on a statutory footing. Authorities, AML professionals and self-regulatory bodies have direct access (Art. 11, Art. 12). Everyone else must apply under Art. 15bis, show a legitimate interest and accept that LBR asks a consultative commission first (Art. 15ter). Searches by professionals and authorities are not disclosed to the entity or its owners (Art. 13).

Restricting access

A beneficial owner exposed to a disproportionate risk of fraud, kidnapping, blackmail, extortion, harassment, violence or intimidation, or who is a minor or legally incapable, can ask LBR to limit access to authorities, banks, financial institutions, bailiffs and notaries (Art. 15). The restriction lasts at most three years and is renewable. It is meant for exceptional cases; ordinary privacy wishes do not qualify.

What is not in this register

Trusts and fiducies are covered by a separate register under the Law of 10 July 2020 (the Register of Fiducies and Trusts, RFT). The EU Anti-Money Laundering Regulation (EU) 2024/1624 applies from 10 July 2027 and, together with Directive (EU) 2024/1640, will reshape beneficial ownership rules across the EU, so expect further amendments to this Law.

Data used to produce statistics are considered confidential where they allow a natural person or a registered entity to be identified, directly or indirectly, or involve a risk of disclosure of individual information.
