Legal forms

Which Belgian company do you need?

Most of our clients need an SRL. Since the 2019 Companies and Associations Code it has no minimum capital, but the founders must contribute sufficient initial equity and give the notary a two-year financial plan. If the company goes bankrupt within three years and that equity was manifestly insufficient, founders can be held liable.

FormMinimum capitalBest for
SRL / BVNone; sufficient equity and a financial planMost founders: trading and service companies, holdings of a family or a small team
SA / NVEUR 61,500, paid up in fullLarger projects, outside investors, certain regulated activities
SC / CVNone; financial plan requiredGenuine cooperative projects with members joining and leaving
BranchNone; the foreign company is liableA foreign company testing the Belgian market before setting up a subsidiary

The SRL, SA and SC are created by notarial deed. A branch is registered by filing the foreign company's documents with the enterprise court registry. Deeds and filings are in the language of the region: Dutch in Flanders, French in Wallonia (German in the German-speaking municipalities), French or Dutch in Brussels.

Is it right for you?

A Belgian company suits some businesses far better than others

A good fit if

  • ✓

You sell into Belgium or France

Belgian customers, public buyers and French-speaking markets expect a local enterprise number.

  • ✓

You live in Belgium and run a business

A Belgian company is usually the clean answer; a foreign one managed from Belgium is often taxed in Belgium anyway. Belgian residents with a Luxembourg company.

  • ✓

You want limited liability without locking up capital

The SRL needs no minimum capital, only sufficient equity and a sound plan.

Probably not for you if

  • ✕

You only need a holding for a group

The Netherlands or Luxembourg are usually simpler. Compare the three.

  • ✕

A non-EU founder will manage it from Belgium next month

A professional card is generally needed first and takes around three months, unless a resident manager runs the company.

  • ✕

Nobody will draw a real salary

Without EUR 50,000 of director pay, the 20% rate falls away after the first four years.

FAQ

Questions before you start

Is there a minimum capital for a Belgian SRL?+

No. Since the 2019 Companies and Associations Code the SRL has no minimum capital. The founders must contribute sufficient initial equity for the planned business and give the notary a financial plan covering at least two years. If the company goes bankrupt within three years and the equity was manifestly insufficient, founders can be held liable. An SA needs EUR 61,500, paid up in full.

Do I need to travel to Belgium?+

No. You sign a power of attorney before a notary at home, apostilled where required, and the Belgian notary executes the deed. Some banks ask for a video call or an identification step, which is usually the slowest part for non-residents.

How long does it take?+

Usually one to three weeks from a complete file to the enterprise number. Regulated activities need their own licences, and a non-EU founder who will manage the company in Belgium generally needs a professional card first, which takes around three months.

Can a non-EU citizen own and run a Belgian company?+

Owning shares needs no permit. Managing the company in Belgium as a self-employed director generally needs a professional card, unless the person is exempt, for example through their residence status. Appointing a Belgian-resident manager avoids the wait.

What tax does a Belgian company pay?+

Corporate tax of 25%, or 20% on the first EUR 100,000 for qualifying small companies. From year five, at least one director must be paid EUR 50,000 a year, or at least the taxable profit if that is lower. Dividends carry 30% withholding; qualifying VVPRbis shares pay a reduced rate, 18% on dividends paid from 1 July 2026.

Does a new Belgian company have to use e-invoicing?+

Yes, once it is VAT-registered. Invoices between Belgian VAT-registered businesses must be structured e-invoices since 1 January 2026, in practice sent over Peppol. We set this up with the accounting.

How much does it cost?+

The fee depends on the form, the founders and the add-ons. We send a fixed quote after a short call, and it does not change once we start. The notary's fees and publication costs are separate and set by the notary; the enterprise counter charges EUR 111.50 per establishment unit in 2026.
