Article 1:1Definition of a company

Art. 1:1#

A company is formed by a legal act whereby one or more persons, called partners, make a contribution. It has assets of its own and its object is the pursuit of one or more specified activities. One of its purposes is to distribute or provide to its partners a direct or indirect financial benefit.

Article 1:2Definition of an association

Art. 1:2#

An association is formed by an agreement between two or more persons, called members. It pursues a disinterested purpose in the context of carrying on one or more specified activities that constitute its object. It may not distribute or provide, directly or indirectly, any financial benefit whatsoever to its founders, its members, its directors or any other person, except for the disinterested purpose specified in the articles of association. Any transaction in breach of this prohibition is void.

Article 1:3Definition of a foundation

Amended by: Law of 28 April 2020

Art. 1:3#

A foundation is a legal person without members, formed by a legal act by one or more persons, called founders. Its assets are allocated to the pursuit of a disinterested purpose in the context of carrying on one or more specified activities that constitute its object. It may not distribute or provide, directly or indirectly, any financial benefit whatsoever to its founders, its directors or any other person, except for the disinterested purpose specified in the articles of association. Any transaction in breach of this prohibition is void.

Article 1:4Indirect distribution of a financial benefit

Art. 1:4#

For the purposes of Articles 1:2 and 1:3, an indirect distribution of a financial benefit means any transaction by which the assets of the association or foundation decrease or its liabilities increase and for which it receives either no consideration or consideration that is manifestly too low in relation to its own performance.

The prohibition referred to in Articles 1:2 and 1:3 does not prevent an association from providing its members free of charge with services that fall within its object and are consistent with its purpose.

Art. 1:24, § 2#

Exceeding, or ceasing to exceed, more than one of the criteria referred to in paragraph 1 has effect only if it occurs for two consecutive financial years. In that case, the resulting consequences apply from the financial year following the financial year in which more than one of the criteria were exceeded, or ceased to be exceeded, for the second time.

Art. 1:24, § 3#

For companies starting their activities, the criteria laid down in paragraph 1 are applied on the basis of a good-faith estimate made at the start of the financial year. If that estimate shows that more than one of the criteria will be exceeded during the first financial year, this must be taken into account from that first financial year.

Art. 1:24, § 4#

Where a financial year is exceptionally shorter or longer than twelve months, its duration not exceeding twenty-four months less one calendar day, the amount of net turnover excluding value added tax referred to in paragraph 1 is multiplied by a fraction whose denominator is twelve and whose numerator is the number of months in the financial year concerned, any month begun being counted as a full month.
