Article 2:34Nullity of a company by court decision

Art. 2:34#

The nullity of a company must be pronounced by a court decision.

That nullity takes effect from the date of the decision pronouncing it.

However, it is enforceable against third parties only from the publication required by Articles 2:7, 2:13 and 2:35.

The extract of the court decision that has become final (res judicata) or is provisionally enforceable pronouncing the nullity of the company, as well as the extract of the court decision reversing that provisionally enforceable judgment, are filed and published in accordance with Articles 2:7 and 2:13.

That extract contains:

1° the name and registered office of the company;

Article 2:36Nullity for formal defects and third parties

Art. 2:36#

The nullity of a company for a formal defect may not be invoked against third parties by the company or by a partner or shareholder, even by way of defence, unless it has been established by a court decision published in accordance with Article 2:35.

Article 2:37Consequences of nullity: liquidation and commitments

Art. 2:37#

The nullity of a company pronounced by a court decision in accordance with Article 2:34 entails the liquidation of the company as in the case of dissolution.

Nullity does not in itself affect the validity of the commitments of the company or of those entered into towards it, without prejudice to the effects of the state of liquidation.

The courts may appoint the liquidators. They may determine the manner of liquidation of the annulled company among the partners or shareholders, except where the nullity is pronounced on the basis of Articles 2:5, 5:13, 1° or 2°, 6:14, 1° and 2°, or 7:15, 1° or 2°.

Article 2:38Time limit for regularisation of the company

Section 2 – Procedure for and effects of the nullity of associations and foundationsSection 2 – Procédure et effets de la nullité des associations et fondations

Article 2:40Nullity of associations and foundations

Amended by: Law of 28 April 2020

Art. 2:40, § 2#

Without prejudice to Articles 2:9, 2:10, 2:11 and 2:18, the nullity takes effect from the date of the decision pronouncing it.

The decision pronouncing the nullity of the association or foundation entails its liquidation in accordance with Articles 2:109 to 2:133 or 2:134 to 2:135.

The nullity of the association or foundation does not in itself affect the validity of its commitments or of the commitments entered into towards it, without prejudice to the effects of the state of liquidation.

Note. The reference to “Articles 2:109 to 2:133 or 2:134 to 2:135” does not match the structure of the Code: Articles 2:109 to 2:114 govern dissolution, the liquidation of ASBLs and AISBLs is governed by Articles 2:115 to 2:139 and that of foundations by Articles 2:115 to 2:117 and 2:140 to 2:141, while Articles 2:134 and 2:135 concern only the closure of the liquidation of ASBLs and AISBLs and dissolution and liquidation in a single deed. The reference appears not to have been updated and is reproduced as it stands in the official text.

Section 1 – Rules on deliberationSection 1re – Règles de délibération

Article 2:41Ordinary rules of deliberative assemblies apply

Art. 2:41#

In the absence of provisions to the contrary in the articles of association, the ordinary rules of deliberative assemblies apply to the collegial bodies and meetings provided for by this Code, unless this Code provides otherwise.

Section 2 – Nullity of decisions of bodies, of decisions of the general meeting of bondholders and of votesSection 2 – Nullité des décisions des organes, des décisions de l'assemblée générale des obligataires et des votes

Article 2:42Grounds for nullity of decisions of bodies

Art. 2:42#

A decision taken by a body of a legal person or by the general meeting of bondholders is void:

1° where that decision was adopted irregularly, if the claimant proves that the irregularity may have influenced the deliberation or the vote or was committed with fraudulent intent;

2° in the event of abuse of rights, abuse of power, excess of power or misuse of power;

3° where voting rights were exercised while they were suspended under a statutory provision not contained in this Code and, without those unlawfully exercised voting rights, the quorum or majority requirements for decisions of the general meeting would not have been met;

4° on any other ground provided for in this Code.

1° lorsque cette décision a été adoptée de manière irrégulière, si le demandeur prouve que cette irrégularité a pu avoir une influence sur la délibération ou le vote ou a été commise dans une intention frauduleuse;

2° en cas d'abus de droit, d'abus, d'excès ou détournement de pouvoir;

3° lorsque des droits de vote ont été exercés alors qu'ils étaient suspendus en vertu d'une disposition légale non reprise dans le présent code et que, sans ces droits de vote illégalement exercés, les conditions de quorum ou de majorité requis pour les décisions d'assemblée générale n'auraient pas été réunis;

Article 2:43Nullity of votes and minority abuse of voting rights

Art. 2:43#

The grounds for nullity of a vote are the same as those of a legal act. The nullity of a vote entails the nullity of the decision taken if the claimant proves that the void vote may have influenced the deliberation or the vote.

Where a minority of those voting abuses its voting right in such a way that a meeting is unable to take a decision by the majority required by law or the articles of association, the court may, at the request of a member of the meeting concerned or of the legal person, give its own decision the force of a vote cast by that minority.

Section 3 – Procedure for and effects of the nullity and suspension of decisions of a body or of the general meeting of bondholdersSection 3 – Procédure et effets de la nullité et de la suspension des décisions d'un organe ou de l'assemblée générale des obligataires

Article 2:44Nullity action: competent court and standing

Art. 2:44#

The enterprise court pronounces the nullity of a decision at the request of the legal person or of any person who has an interest in compliance with the rule of law that has been infringed.

A person who voted in favour of the contested decision may not invoke the nullity, unless his or her consent was vitiated; nor may a person who has expressly or tacitly waived the right to rely on it, unless the nullity results from a rule of public policy.

Shareholders may not invoke the nullity of a decision of the general meeting of bondholders.

Article 2:45Parties to the nullity action; bondholders’ representative

Art. 2:45#

The action for nullity is brought against the legal person.

If a representative of the bondholders has been appointed in accordance with Articles 5:51, 6:48 and 7:63, the action for nullity of a decision of the meeting of bondholders may be brought by that representative against the company or by the company against that representative. A bondholder may also bring an action for nullity against the company, in which case the company must inform the other bondholders.

Article 2:46Suspension of a decision in summary proceedings

Art. 2:46#

In cases that he or she considers urgent, the president of the enterprise court may, at the request of the legal person or of any person who has an interest in compliance with the rule of law that has been infringed, order in summary proceedings the suspension of a decision if the grounds relied on are capable of justifying, prima facie, the annulment of the contested decision. Article 2:45, second subparagraph, applies by analogy.

Article 2:47Effects and publication of nullity and suspension

Art. 2:47, § 1#

The judgment pronouncing nullity and the suspension order have effect with regard to all persons. With regard to persons who are not parties to the proceedings, the judgment pronouncing nullity and the suspension order take effect only from the publication of the decision in the manner laid down in the following paragraphs, without prejudice to the right of those persons to lodge third-party opposition (tierce opposition).

Art. 2:47, § 2#

The extract of the court decision that has become final (res judicata) or is provisionally enforceable pronouncing the suspension or nullity of a decision, as well as the extract of the court decision reversing that provisionally enforceable judgment, are filed and published in accordance with Articles 2:7 and 2:13.

That extract contains:

1° the name and registered office of the legal person;

2° the date of the decision and the court that delivered it.

Cet extrait contient:

1° la dénomination et le siège de la personne morale;

Article 2:48Nullity and third parties acting in good faith

Art. 2:48#

Without prejudice to the claimant’s right to damages where appropriate, the nullity may not be invoked against third parties who, on the basis of the decision, have acquired rights vis-à-vis the legal person and who neither knew nor ought to have known of the defect affecting the decision. The nullity may, however, always be invoked against members of the management bodies who, in that capacity, have acquired rights vis-à-vis the legal person on the basis of the annulled decision.

Article 2:50General meeting sets terms of directors’ mandates

Art. 2:50#

Without prejudice to mandatory statutory provisions, and notwithstanding any provision of the articles of association conferring that power on another body, the general meeting, the meeting of partners or the general meeting of members has the power to determine the conditions, in particular the financial conditions, on which the mandate of a member of the management body is granted and exercised, as well as the conditions on which that mandate is terminated.

Article 2:52Duty to deliberate when continuity is threatened

Original (French)

Article 2:53Statement of capacity next to the signature

Art. 2:53#

Article 2:54Election of domicile at the registered office

Art. 2:54#

Each member of a management body and each person in charge of day-to-day management may elect domicile at the registered office of the legal person for all matters concerning the exercise of his or her mandate. That election of domicile is enforceable against third parties under the conditions laid down in Article 2:18.

Original (French)

Article 2:55Legal person as director: permanent representative

Amended by: Law of 28 April 2020

Art. 2:55#

Where a legal person holds a mandate as a member of a management body or as a person in charge of day-to-day management, it must appoint a natural person as permanent representative responsible for performing that mandate in the name and on behalf of that legal person. That permanent representative must meet the same conditions as the legal person and incurs, jointly and severally with it, the same civil and criminal liability as if he or she had performed that mandate in his or her own name and on his or her own behalf. The rules on conflicts of interest applicable to managers and members of the management body apply, where appropriate, to the permanent representative. The permanent representative may not sit on the body concerned either in a personal capacity or as representative of another legal person that is a director. The legal person may not terminate the permanent representation without simultaneously appointing a successor.

The publication rules on the appointment and termination of the mandate of the legal person also apply to its permanent representative.

The permanent representative of a legal person that is a director and partner in a general partnership (SNC) or a limited partnership (SComm), or that is the sole director of a public limited company (SA) whose articles of association provide that the director is jointly, severally and without limitation liable for the obligations of the company, incurs no personal liability in respect of the commitments of the legal person.

If, apart from the legal person that is a director, there are no other directors in the legal person administered, the legal person that is a director may appoint, in addition to the permanent representative, an alternate permanent representative who acts if the permanent representative is unable to act. The provisions of this Article also apply to that alternate permanent representative.

Chapter 2 – Liability of directorsCHAPITRE 2 – Responsabilité des administrateurs

Article 2:56Directors’ liability: standard of care and joint liability

Art. 2:56#

The persons referred to in Article 2:51 and all other persons who have or have had the power actually to manage the legal person are liable to the legal person for faults committed in the performance of their duties. The same applies towards third parties in so far as the fault committed is extra-contractual in nature. However, these persons are liable only for decisions, acts or conduct that manifestly exceed the range within which normally prudent and diligent directors placed in the same circumstances could reasonably hold differing views.

Where the management body is a collegial body, they are jointly and severally liable for the decisions and failings of that collegial body.

Even if the management body is not a collegial body, its members are jointly and severally liable, both to the legal person and to third parties, for any damage resulting from breaches of the provisions of this Code or of the articles of association of that legal person.

However, they are released from liability for the faults referred to in the second and third subparagraphs in which they did not take part if they have reported the alleged fault to all the other members of the management body or, where applicable, to the collegial management body and to the supervisory board. Where it is made to a collegial management or supervisory body, the report and the discussions to which it gives rise are recorded in the minutes.

Article 2:57Caps on directors’ liability

Amended by: Law of 28 April 2020; Law of 20 December 2021

Art. 2:57, § 1#

The liability referred to in Article 2:56, as well as any other liability of the persons mentioned in Article 2:51 for damage caused that arises under this Code or under other laws or regulations, and the liability for the debts of the legal person referred to in Article XX.227 of the Code of Economic Law, are limited to the following amounts:

1° 125,000 euros, in legal persons which, during the three financial years preceding the bringing of the liability action, or during the period since incorporation if fewer than three financial years have elapsed since incorporation, achieved an average annual turnover of less than 350,000 euros, excluding value added tax, and whose average balance sheet total over the same period did not exceed 175,000 euros;

2° 250,000 euros, in legal persons not covered by 1° which, during the three financial years preceding the bringing of the liability action, or during the period since incorporation if fewer than three financial years have elapsed since incorporation, achieved an average annual turnover of less than 700,000 euros, excluding value added tax, and whose average balance sheet total over the same period did not exceed 350,000 euros;

3° 1 million euros, in legal persons not covered by 1° and 2° which, during the three financial years preceding the bringing of the liability action, or during the period since incorporation if fewer than three financial years have elapsed since incorporation, did not exceed more than one of the following limits:

- average annual turnover, excluding value added tax: 9,000,000 euros;

- average balance sheet total: 4,500,000 euros;

4° 3 million euros, in legal persons not covered by 1°, 2° and 3° which, during the three financial years preceding the bringing of the liability action, or during the period since incorporation if fewer than three financial years have elapsed since incorporation, exceeded the limits mentioned in 3° but did not reach or exceed any of the limits mentioned in 5°;

5° 12 million euros, in public-interest entities and in legal persons not covered by 1°, 2°, 3° and 4° which, during the three financial years preceding the bringing of the liability action, or during the period since incorporation if fewer than three financial years have elapsed since incorporation, reached or exceeded at least one of the following limits:

- average balance sheet total of 43 million euros;

- average annual turnover, excluding value added tax, of 50 million euros.

For legal persons that keep simplified accounts under Article III.85 of the Code of Economic Law, “turnover” means the amount of receipts other than non-recurring receipts, and “balance sheet total” means the greater of the two amounts shown under assets and under liabilities.

Whenever the rise or fall in the consumer price index results, on 1 January of the following year, in an increase or decrease of 5% or more, the above amounts relating to the balance sheet total and turnover are increased or reduced by the same percentage on the same date. These adjustments are published by notice in the Belgian Official Gazette. The base index is that of December 2017.

Article 2:64Expulsion: split ownership and barred claimants

Art. 2:64#

If the action is brought by a holder of part of the ownership right in securities, the other holders of the ownership right in those securities must also be joined to the proceedings. If the latter bring an expulsion action against the same defendant and that action is held to be well founded, the court may decide that the claimants are granted, over the securities of the expelled shareholder, rights of the same nature as those they held over their own securities when the action was brought.

If the action is brought against a holder of part of the ownership right in securities, the other holders of the ownership right in those securities must be joined to the proceedings.

The action may not be brought by the company or by its subsidiaries.

Article 2:65Defendant barred from disposing of the securities

Art. 2:65#

Once the writ of summons has been served on the defendant, the defendant may not dispose of their securities or encumber them with real rights, except with the consent of the court or of the parties to the proceedings. The court’s decision is not open to any appeal.

Article 2:66Transfer restrictions and pre-emption rights in expulsion

Art. 2:66#

When filing their first written submissions, the defendant attaches to them a copy of the consolidated articles of association and a copy or an extract of all agreements restricting the transferability of their securities.

When ordering the expulsion, the court ensures that the restrictions arising from those provisions of the articles of association and of the agreements are respected. Provided that the beneficiaries have been joined to the proceedings, the court may:

1° take the place of any party or third party designated by the articles of association or the agreements to set the exercise price of a pre-emption right;

2° set the exercise price of the pre-emption right in accordance with Article 2:65 if the provisions on the pre-emption right would result in a manifestly unreasonable price;

3° shorten the periods for exercising the pre-emption right, subject to the granting of a discount;

4° disapply the approval clauses applicable to shareholders.

Provided that the beneficiaries have been joined to the proceedings, the court may rule on the validity of any agreement or provision of the articles of association restricting the transferability of the defendant’s securities or, where appropriate, order the transfer of those agreements to the acquirers of the securities.

Note. In 2°, the reference to Article 2:65 appears to be an error: Article 2:65 bars the defendant from disposing of the securities and says nothing about the price. The rules on setting the price are in Article 2:67, which is evidently meant.

1° se substituer à toute partie ou à tout tiers désigné par les statuts ou les conventions pour fixer le prix d'exercice d'un droit de préemption;

2° fixer le prix d'exercice du droit de préemption conformément à l'article 2:65, si les dispositions relatives au droit de préemption devaient donner lieu à un prix manifestement déraisonnable;

3° moyennant l'octroi d'un escompte, réduire les délais d'exercice du droit de préemption;

Article 2:67Expulsion judgment, buy-out price and transfer

Art. 2:67#

The court orders the defendant to transfer their securities to the claimants within the period it sets from service of the judgment, and orders the claimants to accept the securities against payment of the price it sets. The right to payment of the price arises at the time of the transfer of ownership. If the court orders the transfer of ownership without requiring immediate payment of the final price, it may require the claimant to provide security for the outstanding buy-out price.

When setting the buy-out price, the court is bound by contractual provisions or provisions of the articles of association on determining the value of the securities, in so far as those provisions relate specifically to the case of judicial expulsion and those agreements do not result in a manifestly unreasonable price. In any event, the court may take the place of any party or third party designated by the articles of association or the agreements to set the price.

The court values the securities as at the time it orders their transfer, unless this leads to a manifestly unreasonable result. In that case, it may, taking account of all relevant circumstances, decide on a fair increase or reduction of the price.

The court may order the transfer of ownership against payment of a provisional price pending determination of the final price.

The court may make part of the price conditional on the defendants’ agreeing to comply with a non-competition clause towards the company that the court proposes, or to the strengthening of an existing non-competition clause. At the defendants’ request, the court may also release them from an existing non-competition clause, or limit such a clause, possibly linking that decision to a reduction in the price.

The court may require the claimants to release, or procure the release of, the defendants from the real and personal security granted in favour of the company, or to provide them with an adequate counter-guarantee for that purpose. The court’s decision serves as title for completing all formalities related to the transfer.

Where applicable, the transfer takes place after the exercise of any pre-emption rights mentioned in the judgment, in proportion to each person’s holding of securities, unless otherwise agreed.

The transferees are jointly and severally liable for payment of the price.

Chapter 3 – WithdrawalCHAPITRE 3 – Du retrait

Article 2:68Withdrawal: right to be bought out

Art. 2:68#

Any shareholder may, for just cause, apply to the court for an order that the shareholders who gave rise to that just cause take over all of their securities.

If the action is brought by or against a holder of part of the ownership right in the securities to be taken over, the other holders of the ownership right in those securities must be joined to the proceedings.

The fact that the defendant ceases to be a shareholder during the proceedings does not affect the continuation of the proceedings or the exercise of remedies.

Article 2:66, second and third subparagraphs, applies. Article 2:66, first subparagraph, applies by analogy to the claimant.

Article 2:69Withdrawal judgment, buy-out price and transfer

Amended by: Law of 28 April 2020
