Article 3:82/5Assurance report and limited or reasonable assurance opinion
The statutory auditor or the registered auditor draws up a written and detailed assurance report on the consolidated sustainability reporting included in the parent company’s management report.
That assurance report on consolidated sustainability reporting is presented in accordance with the requirements of the assurance standards. It contains an opinion based on a limited assurance engagement as regards:
a) the compliance of the consolidated sustainability reporting contained in the report on the consolidated accounts with the requirements referred to in Article 3:32/2, including the applicable European sustainability reporting standards;
b) compliance with the process carried out by the parent company to identify the sustainability information reported in accordance with the European standards;
c) compliance with the requirement to mark up the sustainability reporting in accordance with Article 3:32/6, second subparagraph; and
d) compliance with the reporting requirements laid down in Article 8 of Regulation (EU) 2020/852.
From the date set by the King, by way of derogation from the first subparagraph, an opinion based on a reasonable assurance engagement is given on the following:
a) the compliance of the sustainability reporting contained in the report on the consolidated accounts with the requirements referred to in Article 3:32/2, including the applicable European sustainability reporting standards;
b) compliance with the process carried out by the company to identify the information reported in accordance with the European standards;
c) compliance with the requirement to mark up the sustainability reporting in accordance with Article 3:32/6, second subparagraph; and
d) compliance with the reporting requirements laid down in Article 8 of Regulation (EU) 2020/852.
It is prohibited to require assurance of sustainability reporting for information provided by companies as entities forming part of the value chain of the parent companies and their groups referred to in Article 3:32/1 which are not themselves subject to sustainability reporting obligations.
Note. The third subparagraph derogates from “the first subparagraph”, but the limited assurance opinion from which it departs is provided for in the second subparagraph; the first subparagraph only requires an assurance report to be drawn up. The wording appears to have been carried over from Article 3:75/3, where the limited assurance opinion is in the first subparagraph. The reference should read “second subparagraph”.

Article 3:87Statutory auditor performs the works council tasks
Where a statutory auditor must be appointed in a company under this Title, the task referred to in Articles 3:77 to 3:80 is performed by that statutory auditor.
Note. The reference to Articles 3:77 to 3:80, which govern the audit of consolidated accounts, appears to be an error. This Section concerns the tasks towards the works council, and Articles 3:89, 3:90 and 3:93 refer in the same context to the tasks referred to in Articles 3:83 to 3:86, which are evidently meant.

Article 3:88Appointment on nomination by the works council
The statutory auditors of the company referred to in Article 3:87 are appointed on the nomination of the works council, deliberating on the initiative and on the proposal of the management body and deciding by a majority of the votes cast by its members and by a majority of the votes cast by the members appointed by the employees.
Where the company is required by law to set up an audit committee, the proposal of the management body is made on the recommendation of the audit committee. That recommendation is itself sent to the works council for information.
The same procedure applies to the renewal of the statutory auditors’ mandate.
Where the company is required by law to set up an audit committee and the proposal of the management body is made on the recommendation of the audit committee following the selection procedure referred to in Article 16 of Regulation (EU) No 537/2014, the management body sends to the works council, for information, the audit committee’s recommendation and the essential elements of the documents relating to the organisation of the selection procedure, including the selection criteria.
If the proposal of the management body differs from the preference stated in the audit committee’s recommendation, the management body must state the reasons for not following the audit committee’s recommendation and send to the works council the information it will provide to the general meeting.

Article 3:89Court appointment where no nomination is made
If the majorities referred to in Article 3:88, first subparagraph, cannot be obtained within the works council on that proposal and, generally, if no statutory auditor or auditors nominated under Article 3:88, first subparagraph, have been appointed, the president of the enterprise court of the company’s registered office, ruling at the request of any interested party and sitting as in summary proceedings, appoints a registered auditor, sets his or her fees and charges him or her with performing the functions of statutory auditor and the tasks referred to in Articles 3:83 to 3:86 until a replacement has been duly appointed.
In companies required to set up an audit committee, the president of the enterprise court appoints a statutory auditor in compliance with Article 3:61 but is not bound by the recommendation made by that committee referred to in Article 3:58, § 3.
That appointment by the president of the enterprise court is made on the opinion of the works council where the works council has not been called upon to deliberate on the appointment of the statutory auditor in accordance with Article 3:88, first subparagraph.
Where the statutory auditor is appointed by the president of the enterprise court under the procedure described in the first subparagraph, the company informs the Belgian Audit Oversight Board (Collège de supervision des réviseurs d’entreprises) referred to in Article 32 of the Law of 7 December 2016 on the organisation of the profession and the public oversight of registered auditors.

Article 3:90Statutory auditor’s fees and the works council
The amount of the statutory auditors’ fees is communicated to the works council for information. Those fees remunerate the functions of statutory auditor and the tasks that the statutory auditor performs under Articles 3:83 to 3:86. At the request of the members of the works council appointed by the employees, acting for that purpose by a majority of the votes cast by them, the auditor presents to the council an estimate of the volume of work required to perform those functions and tasks.

Article 3:92Nullity of irregular appointment or dismissal decisions
