Title VII – Private limited liability companiesTitre VII – Des sociétés à responsabilité limitée
Chapter I – General provisionsChapitre Ier – Dispositions générales
Article 710-1Definition and single-member company
Private limited liability companies are companies in which a limited number of members are liable only up to a fixed contribution, and whose shares (parts sociales), represented exclusively by non-negotiable instruments, may be transferred only in accordance with the methods and conditions laid down in this Title.
A private limited liability company may have a sole member at the time of its incorporation, and also where all of its shares come to be held by a single person (single-member company).
The holding of all the shares by a single person does not entail the dissolution of the company. Likewise, the death of the sole member does not entail the dissolution of the company.
Article 710-2Permitted corporate objects
They may be incorporated for any object.
However, insurance, capitalisation and savings companies may not adopt this form.
Article 710-3Duration and dissolution of the company
Private limited liability companies may be incorporated for a limited or an unlimited duration.
In the former case, the company may be extended successively under the conditions of Article 710-26.
In the latter case, Article 1865, 5°, and Article 1869 of the Civil Code do not apply. However, the dissolution of the company may be sought in court for just cause. Except in the case of judicial dissolution, the dissolution of the company may result only from a decision taken by the general meeting in the form prescribed for amendments to the articles of association. Article 1865bis, second and subsequent subparagraphs, of the Civil Code applies.
Article 710-4Maximum number of members; minors and protected adults
The number of members is limited to one hundred. Where the number of members comes to exceed the limit of one hundred for any reason whatsoever, the company must be converted within one year from the date on which the limit was exceeded.
The guardian of a minor or of an adult under guardianship may not, without being authorised to do so by the family council, take part on behalf of the minor or the adult under guardianship in a private limited liability company.
Legal administrators may not, even jointly, use the property of a minor for a holding in a private limited liability company without the authorisation of the guardianship judge.
A company in which the minor and the adult under guardianship, or the persons having authority over them, respectively participate is lawful.
Article 710-5Minimum share capital, beneficiary units and share buy-backs
Amended by: Law of 7 August 2023
The share capital must be at least 12,000 euros. It is divided into shares, with or without a stated value.
Instruments not representing the share capital may be created and issued to specified persons, referred to in this Law as “beneficiary units” (parts bénéficiaires). The articles of association determine the rights attached to them.
Without prejudice to the possibility of a buy-back of shares decided by the company with the consent of the members concerned, the share capital may consist wholly or partly of redeemable shares, the conditions and arrangements for the redemption of which are laid down in the articles of association. The redemption must be authorised by the articles of association before the redeemable shares are subscribed.
A buy-back of shares may not have the effect of reducing the aggregate nominal value or, as the case may be, the aggregate accounting par value of the shares held by persons other than the company below the minimum share capital referred to in paragraph 1.
The managers of the company may decide not to pay all or part of the distributions on a buy-back of shares if it is foreseeable that, as a result, the company would be unable to pay its debts as they fall due. A decision of the managers of the company not to pay distributions in accordance with the foregoing suspends the company’s corresponding obligation towards the members concerned until the managers decide otherwise.
A buy-back of shares by the company may be carried out only in accordance with the principle of equal treatment of all members who are in the same position.
The voting rights and financial rights attached to shares bought back are suspended for as long as the company holds them. The same applies where the company has its shares bought back by a subsidiary undertaking within the meaning of Article 1711-1(2). Shares bought back are not taken into account in calculating quorums and majorities at meetings or in written consultations.
The articles of association may authorise the managers to cancel shares bought back by the company and to decide on a corresponding reduction of capital. In that case, the managers must have the reduction of capital recorded by notarial deed. The notarial deed must be drawn up within one month of the cancellation and of the corresponding reduction of capital decided by the managers.
Article 710-6Subscription and payment of capital; founders; contributions in services
Amended by: Law of 18 May 2026
The incorporation of a private limited liability company requires the capital to be subscribed in full.
Unless the articles of association or the instrument of incorporation provide for a shorter period, the shares must be paid up in full within twelve months from the incorporation of the company, in accordance with the arrangements laid down in the articles of association. Where a share premium is provided for, its amount must be paid in full at the time of incorporation.
By way of derogation from the second subparagraph:
1° any amount exceeding the minimum capital required by Article 710-5 must be paid in full at the time of incorporation;
2° shares issued on incorporation in consideration for contributions in kind must be paid up in full at the time of the incorporation of the company.
The subscribers to the instrument of incorporation are regarded as founders of the company. However, the instrument of incorporation may designate as founder one or more subscribers holding together at least one third of the share capital. In that case, the other appearing parties who merely subscribe shares for cash without receiving, directly or indirectly, any special benefit are regarded as mere subscribers.
1° tout montant dépassant le montant du capital minimum requis par l’article 710-5 doit être intégralement versé au moment de la constitution ;
The notary drawing up the deed must verify the full subscription of the capital and, where applicable, the partial or full payment of the shares and of any related share premium at the time of incorporation, as well as the fulfilment of the conditions of Article 710-7(1), and must expressly record that they have been met.
Where applicable, the articles of association determine the arrangements under which shares may be subscribed in return for contributions in services.
Contributions in services do not form part of the share capital but give rise to the allotment of shares conferring the right to share in the profits and the net assets, subject to the obligation to contribute to losses.
Shares allotted in consideration for contributions in services may not be assigned or transmitted.
Shares issued after the incorporation of the company must be paid up in full at the time of their issue. Where a share premium is provided for, it must be paid in full at the same time.

The founders within the meaning of Article 420-16, second subparagraph, and, in the case of an increase in the share capital, the managers are jointly and severally liable to the persons concerned, notwithstanding any provision to the contrary:
1° for the whole of any part of the capital that has not been validly subscribed, and for the difference between the minimum capital required by Article 710-5 and the amount of the subscriptions; they are automatically deemed to be subscribers for it;
2° for the actual payment of the shares and of the part of the capital for which they are deemed to be subscribers under point 1°;
3° for compensation for the damage that is the immediate and direct consequence either of the nullity of the company declared under Article 100-18 or of the absence or falsity of the particulars required by paragraph 1.
Persons who have entered into an undertaking for third parties named in the instrument, either as agents or by standing surety for performance (porte-fort), are deemed to be personally bound if there is no valid mandate or if the undertaking is not ratified within two months of its being entered into. The founders are jointly and severally liable for those undertakings.
1° de toute la partie du capital qui ne serait pas valablement souscrite ainsi que de la différence entre le capital minimum requis par l’article 710-5 et le montant des souscriptions ; ils en sont de plein droit réputés souscripteurs ;
2° de la libération effective des parts sociales ainsi que de la partie du capital dont ils sont réputés souscripteurs en vertu des dispositions du point 1° ;

Notwithstanding any provision to the contrary, members are liable for the amount of their shares.
However, a valid transfer of the shares releases them, in relation to the company, from any contribution to debts arising after the transfer and, in relation to third parties, from any contribution to debts arising after its publication.
Every transferor has a joint and several right of recourse against the person to whom he transferred his instrument and against subsequent transferees.
The exercise of the voting rights attached to shares on which payments have not been made is suspended for as long as those payments, having fallen due and having been duly called by the management, have not been made.

Every private limited liability company must keep a register containing full and true copies of:

Article 710-9Joint owners of a share
Amended by: Law of 7 August 2023
If a share has several owners, the company is entitled to suspend the exercise of the rights attaching to it, with the exception of the right to information provided for in Article 710-24, until a single person has been designated as the owner of the share in relation to the company.

3° the precise address of the registered office;
4° the words “Registre de commerce et des sociétés, Luxembourg” or the abbreviation “R.C.S. Luxembourg”, followed by the registration number.

Article 710-11No public issue; non-negotiable instruments
No public issue of shares or beneficiary units may be made.

Article 710-12Approval of transfers and transmission on death
Amended by: Law of 7 August 2023
Neither shares nor beneficiary units carrying voting rights may be transferred inter vivos to persons other than members or holders of beneficiary units carrying voting rights without the approval, given in accordance with Article 710-17, of members representing at least three quarters of the shares. The articles of association may, however, lower this majority to as little as one half of the shares. The same rule applies where, in respect of those shares, it is a matter of:
1° creating a usufruct, or
2° transferring the bare ownership or the usufruct.
The proposed transfer must be notified to the company.
If approval of the transfer is refused, the members may, within three months from that refusal, acquire the shares or have them acquired at a price fixed under the conditions laid down in paragraph 3, unless the transferor abandons the transfer of his shares. The costs of the valuation are borne by the company. At the request of the manager, this period may be extended by the judge presiding over the chamber of the District Court sitting in commercial matters, as in summary proceedings, but the extension may not exceed six months.
The company may also, unless the transferor abandons the transfer of his shares, decide within the same period to buy back that member’s shares at the price determined under the conditions laid down in paragraph 3, with or without a reduction of capital. A period for payment not exceeding two years may, on justification, be granted to the company by a court decision. The sums due bear interest at the statutory rate applicable in commercial matters.
If, on expiry of the period allowed, none of the solutions provided for in the third and fourth subparagraphs above has been implemented, the member may carry out the transfer originally proposed.
Neither shares nor beneficiary units carrying voting rights may be transmitted in full ownership or in bare ownership on death to persons other than members or holders of beneficiary units carrying voting rights without the approval, given in accordance with Article 710-17, of members representing at least three quarters of the shares belonging to the survivors. The articles of association may, however, lower this majority to as little as one half of the shares belonging to the survivors.
Unless the articles of association provide otherwise, approval is not required where the shares are transmitted to forced heirs or to the surviving spouse or partner and, where the articles of association so provide, to the other statutory heirs.
Heirs or beneficiaries under testamentary or contractual dispositions who have not been approved and who have not found a transferee meeting the required conditions may bring about the early dissolution of the company three months after a formal notice served on the managers by bailiff’s writ and notified to the members by registered letter.
However, during that period of three months, the shares and the beneficiary units carrying voting rights of the deceased may be acquired either by the members, subject to the requirement of Article 710-26, first subparagraph, last sentence, or by a third party approved by them, or by the company itself.
The buy-back price of the shares or beneficiary units carrying voting rights is calculated on the basis of the average balance sheet of the last three years and, if the company has not completed three financial years, on the basis of the balance sheet of the last year or of the last two years.
If no profit has been distributed, or if no agreement is reached on the application of the buy-back bases indicated in the preceding subparagraph, the price is fixed by the courts in the event of disagreement.
The exercise of the rights attaching to the shares and to the beneficiary units carrying voting rights of the deceased is suspended until the transfer of those rights is enforceable against the company.

The conditions and arrangements for the buy-back are laid down in the articles of association. If the parties disagree on the transfer price, it is determined by the judge presiding over the chamber of the District Court sitting in commercial matters, as in summary proceedings. The value of the shares is fixed on the date of notification of the transfer in the case of a transfer inter vivos and on the date of death in the case of a transmission on death.

Article 710-13Form and enforceability of share transfers
Transfers of shares must be recorded in a notarial deed or a private instrument.
They are enforceable against the company and third parties only after they have been notified to the company or accepted by it in accordance with Article 1690 of the Civil Code.

Article 710-14Appointment and removal of managers
Private limited liability companies are managed by one or more agents, who may or may not be members and may be remunerated or unpaid.
They are appointed by the members, either in the instrument of incorporation or in a later instrument, for a limited period or without limitation of duration. Unless the articles of association provide otherwise, they may be removed, whatever the method of their appointment, only for legitimate reasons.

Article 710-15Powers of managers, board of managers and day-to-day management
Each manager may perform all acts necessary or useful for achieving the corporate object, except those that the law or the articles of association reserve to the decision of the members. Subject to the fourth subparagraph, the articles of association may, however, provide that, where there are several managers, they form a board.
Each manager represents the company towards third parties and in legal proceedings, whether as claimant or as defendant.
Writs on behalf of or against the company are validly issued in the name of the company alone. Limitations on the powers conferred on the managers by the preceding subparagraphs, whether arising from the articles of association or from a decision of the competent bodies, are not enforceable against third parties, even if they have been published.
However, the articles of association may authorise one or more managers to represent the company in legal transactions or in legal proceedings, either alone or jointly. Such a clause is enforceable against third parties under the conditions laid down in Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.

Decisions of the board of managers may, if the articles of association so permit, be taken by unanimous consent of the members of the board, expressed in writing.
Decisions taken by this procedure are deemed to have been taken at the registered office of the company.

Where a board of managers has been established, and unless the articles of association provide otherwise, managers who take part in the meeting of the board of managers by videoconference or by means of telecommunication allowing them to be identified are deemed present for the calculation of the quorum and the majority. Such means must meet technical specifications guaranteeing effective participation in the meeting of the board, the deliberations of which are broadcast continuously.
A meeting held by such means of remote communication is deemed to take place at the registered office of the company.

The day-to-day management of the company’s business and the representation of the company in relation to such management may be delegated to one or more managers, officers or other agents, whether or not they are members, acting alone or jointly.
Their appointment, removal and powers are governed by the articles of association or by a decision of the competent bodies, although restrictions on their powers of representation for the purposes of day-to-day management are not enforceable against third parties, even if they have been published.
A clause under which day-to-day management is delegated to one or more persons acting either alone or jointly is enforceable against third parties under the conditions laid down in Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.
Delegation to a manager places the managers under an obligation to report annually to the meeting or to the members on the salaries, fees and benefits of any kind granted to the delegate.
The liability of persons entrusted with day-to-day management in respect of that management is determined in accordance with the general rules on agency.

The company is bound by acts performed by the managers, by the manager authorised to represent it in accordance with paragraph 1, fourth subparagraph, or by the person entrusted with day-to-day management, even if those acts exceed the corporate object, unless it proves that the third party knew that the act exceeded the corporate object or could not have been unaware of it in view of the circumstances; publication of the articles of association alone is not sufficient proof of this.

Article 710-17General meetings and written resolutions
The decisions of the members are taken at general meetings.
Except in the case of amendments to the articles of association, the holding of general meetings is not compulsory where the number of members does not exceed sixty. In that case, each member receives the expressly worded text of the resolutions or decisions to be taken and casts his vote in writing.

Article 710-18Majority for members’ decisions
In the two cases provided for by the preceding Article, no decision is validly taken unless it has been adopted by members representing more than one half of the share capital. Unless the articles of association provide otherwise, if that figure is not reached at the first meeting or written consultation, the members are convened or consulted a second time by registered letters, and decisions are taken by a majority of the votes cast, whatever the portion of the capital represented.
Article 710-19Voting rights, suspension and waiver of votes
Amended by: Law of 7 August 2023
Notwithstanding any clause to the contrary in the articles of association, every member may take part in decisions. Each member has a number of votes equal to the number of shares he holds.
The articles of association may provide that the managers may suspend the voting rights of any member who is in default of the obligations incumbent on him under the articles of association or under his subscription instrument or undertaking.
Any member may, in a personal capacity, undertake not to exercise all or part of his voting rights, temporarily or permanently. Such a waiver binds the waiving member and is binding on the company as soon as it has been notified to the company.
Shares for which the voting rights have thus been suspended, and those in respect of which the member has notified a waiver to the company, are not taken into account in calculating the quorum and majorities at general meetings or in determining whether written resolutions have been validly adopted.
Article 710-20Voting agreements between members
The exercise of voting rights may be the subject of agreements between members.
However, the following are void:
1° agreements that are contrary to the provisions of this Law or to the corporate interest;
2° agreements by which a member undertakes to vote in accordance with instructions given by the company, by a subsidiary or by any of the bodies of those companies;
3° agreements by which a member undertakes towards the same companies or the same bodies to approve proposals made by the bodies of the company.

Votes cast at a general meeting or under the written procedure provided for in Article 710-17, second subparagraph, pursuant to the agreements referred to in paragraph 1, second subparagraph, are void.
Such votes entail the nullity of the decisions taken unless they had no effect on the outcome of the vote.
The action for nullity is time-barred six months after the vote.

Article 710-21Annual meeting, remote participation and postal voting
Amended by: Law of 7 August 2023
In companies with more than sixty members, a general meeting must be held at least once a year at the time fixed by the articles of association.
Other general meetings may always be convened by the manager or managers, failing them by the supervisory board, if there is one, and failing that by members representing more than one half of the capital.

If the articles of association so provide, members who take part in the meeting by videoconference or by means of telecommunication allowing them to be identified are deemed present for the calculation of the quorum and the majority. Such means must meet technical specifications guaranteeing effective participation in the meeting, the deliberations of which are broadcast continuously.
Where, in accordance with the preceding subparagraph, the meeting is held with members who are not physically present, the meeting is deemed to be held at the place of the registered office of the company.
The articles of association may authorise any member to vote by correspondence, by means of a form the particulars of which are laid down in the articles of association.
Forms that show neither a vote in a particular direction nor an abstention are void.
For the calculation of the quorum, only forms received by the company before the general meeting, within the time limits laid down by the articles of association, are taken into account.
An attendance list is kept at each general meeting.

Article 710-22Resolutions affecting classes of shares
Where there are several classes of shares and the resolution of the general meeting is such as to alter their respective rights, the resolution, in order to be valid, must satisfy in each class the conditions of attendance and majority required by Article 710-26.

Article 710-23Inventory, annual accounts and legal reserve
Each year, the management must draw up an inventory showing the movable and immovable assets and all the receivables and liabilities of the company, with an annex summarising all its commitments and the debts of the managers, supervisory auditors and members to the company.
The management draws up the balance sheet and the profit and loss account, in which the necessary depreciation must be made.
The balance sheet shows separately the fixed assets and the realisable assets and, on the liabilities side, the debts of the company to itself, the bonds, the debts secured by mortgages or pledges and the debts without security in rem. It specifies on the liabilities side the amount of debts owed to members.
At least one twentieth of the net profits must be set aside each year to form a reserve; this allocation ceases to be compulsory once the reserve has reached one tenth of the share capital, but becomes compulsory again as soon as that tenth is drawn upon.
The balance sheet and the profit and loss account are submitted for approval to the members, who also decide by a separate vote on the discharge of the management and of the supervisory auditors, if any.

Article 710-24Members’ right to inspect documents
Every member may, personally or through an authorised representative, inspect at the registered office the inventory, the balance sheet and the report of the supervisory board established in accordance with Article 710-27.
In companies with more than sixty members, such inspection is permitted only during the fifteen days preceding the general meeting.
The right to inspect documents also belongs to each of the co-owners of jointly owned shares and to the bare owner and the usufructuary of shares and of beneficiary units.

1° interim accounts are drawn up showing that the funds available for distribution are sufficient;
2° the amount to be distributed may not exceed the profits made since the end of the last financial year for which the annual accounts have been approved, plus any profits brought forward and any sums drawn from reserves available for that purpose, less any losses brought forward and any sums to be placed to reserve pursuant to a requirement of the law or of the articles of association;
3° the decision of the managers to distribute an interim dividend may not be taken more than two months after the date at which the interim accounts referred to in point 1° above were drawn up;
