Article 100-1Definition and classification of commercial companies

Art. 100-1#

Commercial companies are companies whose object is the performance of commercial acts.

They are governed by the agreements of the parties, by the laws and usages specific to commerce and by civil law.

They are divided into commercial companies proper, temporary commercial partnerships and joint venture partnerships (sociétés en participation).

Article 100-2Forms of company with legal personality

Amended by: Law of 7 August 2023

Art. 100-2#

The law recognises the following as commercial companies with legal personality:

1° the general partnership (société en nom collectif);

2° the common limited partnership (SCS);

3° the public limited company (société anonyme) and the simplified joint stock company (SAS);

4° the partnership limited by shares (SCA);

5° the private limited liability company (S.à r.l.) and the simplified private limited liability company (S.à r.l.-S);

6° the cooperative company;

7° the European company (SE).

Each of them constitutes a legal entity distinct from that of its members. The European company (SE) acquires legal personality on the day of its registration with the Trade and Companies Register.

The domicile of every commercial company is located at the seat of the company’s central administration. The central administration of a company is presumed, until proven otherwise, to coincide with the place of the company’s registered office.

There are, in addition, temporary commercial partnerships, joint venture partnerships and special limited partnerships which do not constitute a legal entity distinct from that of their partners.

The acquisition of an interest in any of the companies referred to in this Article does not, in itself, constitute a commercial act.

For the purposes of this Law, and unless otherwise provided, any reference to a “Member State” includes the Member States of the European Union and the States party to the Agreement on the European Economic Area other than the Member States of the European Union, within the limits defined by that Agreement and the related acts.

1° la société en nom collectif ;

2° la société en commandite simple ;

3° la société anonyme et la société par actions simplifiée ;

4° la société en commandite par actions ;

5° la société à responsabilité limitée et la société à responsabilité limitée simplifiée ;

6° la société coopérative ;

Article 100-3Civil companies and conversions between company forms

Amended by: Law of 7 August 2023

Art. 100-3#

Companies whose object is civil and which place themselves under the regime of Articles 1832 et seq. of the Civil Code likewise constitute a legal entity distinct from that of their members, and writs served for or against such companies are validly served in the name of the company alone.

Article 710-4 applies to them.

Companies whose object is civil may, however, be incorporated in the form of one of the commercial companies listed in Article 100-2, first subparagraph. In that case, however, those companies, and the transactions they carry out, are commercial and subject to the laws and usages of commerce.

Civil companies may also, whatever the date of their incorporation and provided that no provision of their instrument of incorporation prohibits it, be converted into one of the companies having commercial form, with the exception of the simplified private limited liability company, by decision of a general meeting specially convened for that purpose. That meeting adopts the articles of association of the company. Its decision is valid only if it obtains the consent of the holders of shares representing at least three fifths of the shares.

An economic interest grouping or a European economic interest grouping may be converted into a company with legal personality, with the exception of the simplified private limited liability company. Conversely, a company with legal personality may be converted into an economic interest grouping or a European economic interest grouping.

Finally, each of the companies listed in Article 100-2, first subparagraph, may, whatever the original nature of its object and the date of its incorporation and provided that no provision of its instrument of incorporation prohibits it, be converted into a company of one of the other types provided for in that Article or into a civil company, with the exception of the European company (SE) and the simplified private limited liability company.

A public limited company governed by Luxembourg law may convert into a European company (SE) if, for at least two years, it has had a subsidiary governed by the law of another Member State.

The provisions of this Law on conversion also apply to the conversion of legal persons other than companies into one of the forms of company having legal personality under this Law, with the exception of the simplified private limited liability company, to the extent that the specific laws governing those legal persons so provide and in compliance with the special provisions of those specific laws.

A European company (SE) having its registered office (siège statutaire) in the Grand Duchy of Luxembourg may convert into a public limited company governed by Luxembourg law. The decision on conversion may not be taken before two years have elapsed from its registration and before the first two sets of annual accounts have been approved.

The conversions referred to in this Article do not give rise either to dissolution or to the creation of a new legal person.

The rights of third parties are reserved.

Art. 100-15#

The issue of convertible bonds, of any other debt instruments convertible into capital or of subscription rights, whether stand-alone or attached to another security, by companies other than public limited companies is subject to the statutory provisions on the transfer of shares or units or to those on the approval of non-members. The same provisions apply in the event of a transfer inter vivos or transmission upon death. Approval may be given in advance to non-members who are identified or identifiable in the approval decision, either at the time of the issue of the bonds or instruments or at a later time. Such approval is irrevocable if it is declared to be so in the approval decision.

Original (French)

Art. 100-16#

Companies act through their managers, directors, members of the management board or president, as the case may be, whose powers are determined by law or by the instrument of incorporation and by subsequent instruments made in implementation of the instrument of incorporation.

Completion of the publication formalities relating to the persons who, as a body, have the power to bind the companies renders any irregularity in their appointment unenforceable against third parties, unless the company proves that those third parties were aware of it.

Art. 310-1(3)#

The partnership may issue debt securities.

Article 310-2Management and representation of the SCS

Art. 310-2#

The management of a common limited partnership is vested in one or more managers, whether or not general partners, appointed in accordance with the partnership agreement.

Managers who are not general partners are liable in accordance with Article 441-9.

The partnership agreement may allow the managers to delegate their powers to one or more agents, who are liable only for the performance of their mandate.

Unless the partnership agreement provides otherwise, each manager may perform in the name of the partnership all acts necessary or useful for achieving the corporate object. Restrictions placed by the partnership agreement on the powers of the managers are not enforceable against third parties, even if published. However, the partnership agreement may authorise one or more managers to represent the partnership, alone or jointly, and that clause is enforceable against third parties under the conditions laid down in Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.

The partnership is bound by acts performed by the manager or managers even if those acts exceed the corporate object, unless it proves that the third party knew that the act exceeded the corporate object or could not have been unaware of it in view of the circumstances.

Each manager represents the partnership in relation to third parties and in legal proceedings, as claimant or defendant.

Writs served for or against the partnership are validly served in the name of the partnership alone.

Article 310-3Position of limited partners and prohibition on management

Art. 310-3#

A limited partner may enter into any transaction with the common limited partnership without its rank as an unsecured or preferential creditor, according to the terms of the transaction concerned, being affected solely by reason of its status as a limited partner.

A limited partner may not perform any act of management in relation to third parties.

A limited partner is jointly and severally liable without limit towards third parties for all the commitments of the partnership in which it participated in breach of the prohibition in the preceding subparagraph.

It is also jointly and severally liable without limit towards third parties, even for commitments in which it did not participate, if it has habitually performed acts of management in relation to them.

The following do not constitute acts of management for which a limited partner incurs unlimited joint and several liability towards third parties: the exercise of partners’ rights, opinions and advice given to the partnership, to its affiliated entities or to their managers, acts of control and supervision, the granting of loans, guarantees or security or any other assistance to the partnership or to its affiliated entities, and authorisations given to the managers in the cases provided for in the partnership agreement for acts exceeding their powers.

A limited partner may act as a member of a management body or as an agent of a manager of the partnership, even if that manager is a general partner, or sign on behalf of the latter, even where the latter is acting as representative of the partnership, without thereby incurring unlimited joint and several liability for the partnership’s commitments, provided that the representative capacity in which it acts is indicated.

Article 310-4Distributions and sharing of profits and losses

Art. 310-4#

Unless the partnership agreement provides otherwise, each partner’s voting rights are in proportion to its partnership interests.

Art. 310-5(2)#

Any amendment of the corporate object, as well as a change of nationality, conversion or liquidation, must be decided by the partners. The partnership agreement determines which of the other decisions are not taken by the partners. It also determines in what form and under what conditions those decisions must be taken. In the absence of such provisions in the partnership agreement:

1° the partners’ decisions are taken in general meetings or by written consultation, in the course of which each partner receives the expressly worded text of the resolutions or decisions to be taken and casts its vote in writing;

2° a decision is validly taken only by a majority of the votes cast, regardless of the portion of the partnership interests represented, except for decisions on amendments of the corporate object, change of nationality, conversion or liquidation, which are adopted only with the consent of partners representing three quarters of the partnership interests and, in all cases, with the consent of all the general partners;

3° such meetings or written consultations may be convened or initiated by the manager or managers or by partners representing more than half of the partnership interests.

1° les décisions des associés sont prises en assemblées générales ou par consultation écrite au cours de laquelle chaque associé recevra le texte des résolutions ou décisions à prendre expressément formulées et émettra son vote par écrit ;

2° toute décision n’est valablement prise qu’à la majorité des votes émis, quelle que soit la portion des parts d’intérêts représentées, sauf pour les décisions portant sur les modifications de l’objet social, le changement de nationalité, la transformation ou la liquidation qui ne sont adoptées que par l’assentiment d’associés représentant les trois quarts des parts d’intérêts et dans tous les cas par l’assentiment de tous les associés commandités ;

Art. 310-5(3)#

At least once a year, the partners must decide on the annual accounts by a special vote, which must take place on the date fixed in the partnership agreement, but no later than six months after the end of the financial year. The partnership agreement may provide that the first special vote may take place within eighteen months of the formation of the partnership. Fifteen days, or any longer period laid down in the partnership agreement, before the date on which the partners are to decide on the annual accounts, the partners may inspect and obtain a copy, at the registered office, of:

1° the annual accounts;

2° the management report, where applicable;

3° the report of the approved statutory auditors (réviseurs d’entreprises agréés), where applicable;

4° any other information provided for in the partnership agreement.

1° des comptes annuels ;

3° du rapport des réviseurs d’entreprises agréés, le cas échéant ;

Article 310-6Transfer, dismemberment and pledge of partnership interests

Art. 310-6#

The partnership interests of limited partners may, on pain of nullity, be transferred, dismembered or pledged only in accordance with the terms and in the form laid down in the partnership agreement. In the absence of provisions in the partnership agreement, a transfer other than a transmission upon death, a dismemberment or a pledge of a limited partner’s partnership interest requires the approval of the general partner or partners.

The partnership interests of general partners may, on pain of nullity, be transferred, dismembered or pledged only in accordance with the terms and in the form laid down in the partnership agreement. In the absence of provisions in the partnership agreement, a transfer other than a transmission upon death, a dismemberment or a pledge of a general partner’s partnership interest requires the approval of the partners, deciding as for an amendment of the partnership agreement.

Transfers and dismemberments of partnership interests are enforceable against the partnership and third parties only after they have been notified to the partnership or accepted by it. They may not, however, have effect vis-à-vis third parties in respect of partnership commitments prior to their publication, except where the third party was aware of them or could not have been unaware of them.

The partnership agreement may authorise the management or the partners to reduce or redeem, in whole or in part, where applicable at the request of one or more partners, the partnership interests of one or more partners, and to lay down the terms for doing so.

Article 310-7Replacement of the general partner and interim administrator

Art. 310-7#

In the event of the death, dissolution, legal incapacity, removal, resignation, incapacity to act, bankruptcy or other insolvency proceedings affecting the general partner, if there is no other general partner and it has been stipulated that the partnership is to continue, the general partner must be replaced. In the absence of specific provisions in that regard in the partnership agreement, the judge presiding over the chamber of the District Court sitting in commercial matters may, at the request of any interested party, appoint an interim administrator, whether or not a partner, who alone performs urgent acts and acts of ordinary administration until the partners’ decision, which that administrator must cause to be taken within fifteen days of the administrator’s appointment. The administrator is liable only for the performance of the administrator’s mandate. Any interested party may lodge an objection to the order; the objection is served on the partnership, on the person appointed and on the person who requested the appointment. It is heard in summary proceedings.

Article 320-3Management and representation of the SCSp

Art. 320-3#

The management of a special limited partnership is vested in one or more managers, whether or not general partners, appointed in accordance with the partnership agreement.

The partnership is bound by acts performed by the manager or managers even if those acts exceed the corporate object, unless it is proven that the third party knew that the act exceeded the corporate object or could not have been unaware of it in view of the circumstances.

Each manager represents the partnership in relation to third parties and in legal proceedings, as claimant or defendant.

Writs served for or against the special limited partnership are validly served in the name of the special limited partnership alone, represented by one of its managers.

Article 320-4Position of limited partners in the SCSp

Art. 320-4#

A limited partner may enter into any transaction with the special limited partnership without its rank as an unsecured or preferential creditor, according to the terms of the transaction concerned, being affected solely by reason of its status as a limited partner.

A limited partner may not perform any act of management in relation to third parties.

A limited partner is jointly and severally liable without limit, towards third parties, for all the commitments of the partnership in which it participated in breach of the prohibition in the preceding subparagraph.

It is also jointly and severally liable without limit towards third parties, even for commitments in which it did not participate, if it has habitually performed acts of management in relation to them.

The following do not constitute acts of management for which a limited partner incurs unlimited joint and several liability towards third parties: the exercise of partners’ rights, opinions and advice given to the special limited partnership, to its affiliated entities or to their managers, acts of control and supervision, the granting of loans, guarantees or security or any other assistance to the special limited partnership or to its affiliated entities, and authorisations given to the managers in the cases provided for in the partnership agreement for acts exceeding their powers.

A limited partner may act as a member of a management body or as an agent of a manager of the special limited partnership, even if that manager is a general partner, or sign on behalf of the latter, even where the latter is acting as representative of the special limited partnership, without thereby incurring unlimited joint and several liability for the partnership’s commitments, provided that the representative capacity in which it acts is indicated.

Article 320-5Distributions and sharing of profits and losses

Art. 320-5#

Distributions and repayments to partners, and the conditions under which the special limited partnership may require their restitution, are governed by the partnership agreement.

Unless the partnership agreement provides otherwise, each partner’s share in the profits and losses of the special limited partnership is in proportion to its partnership interests.

Article 320-6Voting rights, partners’ decisions and information

Art. 320-6#

Unless the partnership agreement provides otherwise, each partner’s voting rights are in proportion to its partnership interests.

1° the partners’ decisions are taken in general meetings or by written consultation, in the course of which each partner receives the expressly worded text of the resolutions or decisions to be taken and casts its vote in writing;

2° a decision is validly taken only by a majority of the votes cast, regardless of the portion of the partnership interests represented, except for decisions on amendments of the corporate object, change of nationality, conversion or liquidation, which are adopted only with the consent of partners representing three quarters of the partnership interests and, in all cases, with the consent of all the general partners;

3° such meetings or written consultations may be convened or initiated by the manager or managers or by partners representing more than half of the partnership interests.

The information to be submitted to the partners is limited to that provided for in the partnership agreement.

1° les décisions des associés sont prises en assemblées générales ou par consultation écrite au cours de laquelle chaque associé recevra le texte des résolutions ou décisions à prendre expressément formulées et émettra son vote par écrit ;

2° toute décision n’est valablement prise qu’à la majorité des votes émis, quelle que soit la portion des parts d’intérêts représentées, sauf pour les décisions portant sur les modifications de l’objet social, le changement de nationalité, ou la transformation ou la liquidation qui ne sont adoptées que par l’assentiment d’associés représentant les trois quarts des parts d’intérêts et dans tous les cas avec l’assentiment de tous les associés commandités ;

Article 320-7Transfer, dismemberment and pledge of partnership interests

Art. 320-7#

The partnership agreement may authorise the management or the partners to reduce or redeem, in whole or in part, where applicable at the request of one or more partners, the interests of one or more partners in the partnership, and may lay down the terms for doing so.

Article 320-8Replacement of the general partner and interim administrator

Art. 320-8#

In the event of the death, dissolution, legal incapacity, removal, resignation, incapacity to act, bankruptcy or other insolvency proceedings affecting the general partner, if there is no other general partner and it has been stipulated that the special limited partnership is to continue, the general partner must be replaced. Art. 320-9#

The conversion of a special limited partnership into a company of one of the other types provided for in Article 100-2, first subparagraph, gives rise to the creation of a new legal person.
