Art. 811-2#

A cooperative company must consist of at least two persons.

It is administered by one or more agents, who may or may not be members and who are liable only for the mandate they have received.

A cooperative company that has not adopted the form of a European cooperative society (SEC) may opt for one of the regimes referred to in Articles 833-1 to 833-19.

The supervision of the company is entrusted to one or more supervisory auditors, who may or may not be members.

Article 811-3Mandatory contents of the instrument and grounds for nullity

Art. 811-3(1)#

The instrument of incorporation of the company must determine the following points:

1° the name of the company and its registered office;

2° the object of the company;

3° whether the company has limited or unlimited liability;

4° the manner in which the share capital is or will subsequently be formed, and its minimum immediate subscription. In cooperative companies with limited liability, the articles of association must determine the fixed portion of the capital.

1° la dénomination de la société et son siège ;

2° l’objet de la société ;

3° la forme à responsabilité limitée ou illimitée de la société ;

Art. 811-3(2)#

Apart from cases of infringement of Article 100-4, the nullity of a cooperative company may be declared only in the following cases:

1° if the instrument of incorporation contains no information on the points listed in paragraph 1;

2° if the corporate object is unlawful or contrary to public policy;

3° if the company does not have at least one validly bound founder;

4° if the company has not, within one year from the time when the number of members fell below two, brought the number of members back to two or more.

If the clauses of the instrument of incorporation determining the distribution of profits or losses are contrary to Article 1855 of the Civil Code, those clauses are deemed not written.

1° si l’acte constitutif ne contient aucune indication sur les points énumérés au paragraphe 1er ;

2° si l’objet social est illicite ou contraire à l’ordre public ;

3° si la société ne comprend pas au moins un fondateur valablement engagé ;

Article 811-4Further particulars of the instrument

Art. 811-4#

The instrument must also state:

1° the duration of the company, which may be limited or unlimited. In the former case, the company may be extended successively under the conditions of Article 450-3. In the latter case, Article 1865, 5°, and Article 1869 of the Civil Code do not apply. However, the dissolution of the company may be sought in court for just cause. Except in the case of judicial dissolution, the dissolution of the company may result only from a decision taken by the general meeting in the form prescribed for amendments to the articles of association. Article 1865bis, second and subsequent subparagraphs, of the Civil Code also applies;
