Where the company has only one person, that person is referred to as the “sole member”.
A public limited company may have a sole member on its incorporation, as well as through all its shares coming to be held by a single person.
The death or dissolution of the sole member does not entail the dissolution of the company.

Where, by decision of the board of directors or the management board, the contribution in kind consists of transferable securities within the meaning of Article 4(1), point (44), of Directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU, or of money-market instruments within the meaning of Article 4(1), point (17), of Directive 2014/65/EU referred to above, and those securities or instruments are valued at the weighted average price at which they have been traded on one or more regulated markets within the meaning of Article 4(1), point (21), of Directive 2014/65/EU referred to above during a period of six months preceding the effective date of the contribution in kind, paragraphs 2 and 3 do not apply.
However, if that price has been affected by exceptional circumstances that would significantly change the value of the asset at the effective date of its contribution, in particular where the market for those transferable securities or money-market instruments has become illiquid, a revaluation must be carried out on the initiative and under the responsibility of the board of directors or the management board. Paragraphs 2 and 3 apply for the purposes of that revaluation.
Where, by decision of the board of directors or the management board, the contribution in kind consists of assets other than the transferable securities or money-market instruments referred to in paragraphs 4 to 6 which have already been subject to a fair value valuation by an approved statutory auditor, and the following conditions are met:
1° the fair value is determined as at a date not more than six months before the effective date of the contribution;
2° the valuation has been performed in accordance with the generally accepted valuation principles and standards in the Grand Duchy of Luxembourg applicable to the kind of asset to be contributed,
paragraphs 2 and 3 do not apply.
In the case of new circumstances that would significantly change the fair value of the asset at the effective date of its contribution, a revaluation must be carried out on the initiative and under the responsibility of the board of directors or the management board. Paragraphs 2 and 3 apply for the purposes of that revaluation.
In the absence of such a revaluation, one or more shareholders holding an aggregate percentage of at least 5 per cent of the company’s subscribed capital on the day on which the decision to increase the capital is taken may demand a valuation by an approved statutory auditor, in which case paragraphs 2 and 3 apply. Such shareholder or shareholders may submit the demand up until the effective date of the contribution, provided that, at the date of the demand, the shareholder or shareholders in question still hold an aggregate percentage of at least 5 per cent of the company’s subscribed capital, as they did on the day on which the decision to increase the capital was taken.
Note. Paragraph 5 refers to securities and instruments “referred to in paragraphs 4 to 6”, which includes itself; the corresponding Directive provision (Article 50(2), first subparagraph, of Directive (EU) 2017/1132) and paragraph 6 of this Article indicate that paragraph 4 is meant.

1° la juste valeur est déterminée à une date qui ne peut précéder de plus de six mois la réalisation effective de l’apport ;
Where, by decision of the board of directors or the management board, the contribution in kind consists of assets other than the transferable securities or money-market instruments referred to in paragraph 4, the fair value of which is derived for each asset from the statutory accounts of the previous financial year, provided that the statutory accounts have been audited in accordance with Directive 2006/43/EC of the European Parliament and of the Council of 17 May 2006 on statutory audits of annual accounts and consolidated accounts, paragraphs 2 and 3 do not apply.

Notwithstanding paragraph 6, shares without a stated nominal value may also be issued below the accounting par value of the existing shares of the same class within the authorised capital, provided, however, that the authorisation given to the board of directors or, where applicable, to the management board in accordance with paragraph 2 or 3 includes authorisation to issue new shares below the accounting par value of the existing shares of the same class.
Where the proposal to authorise the board of directors or, where applicable, the management board to issue new shares below the accounting par value of the existing shares of the same class is on the agenda of a general meeting, the conditions referred to in paragraph 6, first to third subparagraphs, must be complied with.
In that case, the report of the board of directors or, as the case may be, of the management board referred to in paragraph 6, second subparagraph, must state the minimum subscription price of the shares to be issued within the authorised capital.

The members of the board of directors or of the management board, as the case may be, are jointly and severally liable for the obligations imposed on the founders by Article 420-19.
If the announced capital increase is not fully subscribed, the capital is increased by the amount of the subscriptions received only if the terms of the issue expressly provided for that possibility.
Completion of the increase is recorded by a notarial deed drawn up at the request of the board of directors or of the management board, as the case may be, on presentation of documents evidencing the subscriptions and payments, where the increase takes place by subscription or is made under the authorisation provided for in Article 420-22. The notarial deed must be drawn up within one month of the close of the subscription or within three months from the day on which the subscription opened.
At least one quarter of each share must be paid up, either by a contribution in cash, including by set-off against certain, liquid and due claims on the company, or by a contribution in kind, or by capitalisation of reserves, profits or share premium.
In the case of contributions in kind, the shares must be fully paid up within five years from the decision to increase the capital. A report must be drawn up by an approved statutory auditor in accordance with Article 420-10; that auditor is appointed by the board of directors or the management board, as the case may be. The approved statutory auditor’s report is filed in accordance with Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.
Article 420-24New shares from capitalised reserves and usufruct

Article 420-26Pre-emption rights of existing shareholders
Amended by: Law of 7 August 2023
Shares to be subscribed for in cash must be offered on a pre-emptive basis to shareholders in proportion to the part of the capital represented by their shares.
The articles of association may provide that paragraph 1 does not apply to shares whose rights to participate in distributions or in the distribution of the company’s assets in the event of liquidation are different. The articles of association may likewise permit that, where the subscribed capital of a company having several classes of shares is increased by the issue of new shares in only one of those classes, the pre-emption right of the shareholders of the other classes is exercised only after that right has been exercised by the shareholders of the class in which the new shares are issued.
The subscription right may be exercised within a period set by the board of directors or the management board, as the case may be, which may not be less than fourteen days from the publication of the offer in the Recueil électronique des sociétés et associations (RESA, the electronic gazette of companies and associations) and in a newspaper published in the Grand Duchy of Luxembourg. However, where all the shares are registered shares, the shareholders may be informed by registered letter, without prejudice to other means of communication individually accepted by their addressees and ensuring that they are informed.
The subscription right is negotiable throughout the subscription period, and no restrictions may be placed on its negotiability.
By way of exception to the first subparagraph, the restrictions applicable to the securities to which the subscription right attaches also apply to that right.
The articles of association may neither cancel nor restrict the pre-emption right.
They may, however, authorise the board of directors or the management board, as the case may be, to cancel or restrict that right on a capital increase carried out within the limits of the authorised capital in accordance with Article 420-22. That authorisation may not be given for a period longer than that provided for in Article 420-22(5).
The general meeting called to deliberate, under the conditions required for amending the articles of association, either on the capital increase or on the authorisation to increase the capital in accordance with Article 420-22(1), may restrict or cancel the pre-emptive subscription right or authorise the board of directors or the management board, as the case may be, to do so. That proposal must be specifically announced in the convening notice. The detailed justification must be set out in a report drawn up by the board of directors or the management board, as the case may be, covering in particular the proposed issue price, and presented to the meeting. Failure to produce that report renders the decision of the general meeting void, unless all the shareholders of the company have waived that report.
The articles of association may authorise the board of directors or the management board, as the case may be, to make a free allotment of existing or new shares to the employees of the company or to certain categories of them. Where the authorisation relates to shares to be issued, paragraph 5 applies subject to what is stated in this paragraph, and the authorisation given by the general meeting entails by operation of law, in favour of the beneficiaries of the free shares, the waiver by the existing shareholders of their pre-emptive subscription right.
The general meeting may set, or authorise the board of directors or the management board, as the case may be, to set, the terms and conditions of the allotment, which may include a vesting period and a minimum period during which the beneficiaries must hold the shares.
Shares may be allotted on the same conditions:
1° to employees of companies or economic interest groupings in which at least 10 per cent of the capital or voting rights is held, directly or indirectly, by the company allotting the shares;
2° to employees of companies or economic interest groupings holding, directly or indirectly, at least 10 per cent of the capital or voting rights of the company allotting the shares;
3° to employees of companies or economic interest groupings in which at least 50 per cent of the capital or voting rights is held, directly or indirectly, by a company which itself holds, directly or indirectly, at least 50 per cent of the capital of the company allotting the shares;
4° to the corporate officers of the company allotting the shares or of the companies or economic interest groupings referred to above, or to certain categories of them.

1° au profit des membres du personnel salarié des sociétés ou des groupements d’intérêt économique dont 10 pour cent au moins du capital ou des droits de vote sont détenus, directement ou indirectement, par la société qui attribue les actions ;
2° au profit des membres du personnel salarié des sociétés ou des groupements d’intérêt économique détenant, directement ou indirectement, au moins 10 pour cent du capital ou des droits de vote de la société qui attribue les actions ;
3° au profit des membres du personnel salarié des sociétés ou des groupements d’intérêt économique dont 50 pour cent au moins du capital ou des droits de vote sont détenus, directement ou indirectement, par une société détenant elle-même, directement ou indirectement, au moins 50 pour cent du capital de la société qui attribue les actions ;
There is no exclusion of the pre-emption right within the meaning of paragraph 5 where, in accordance with the decision to increase the subscribed capital, shares are issued to banks or other financial institutions with a view to their being offered to the shareholders of the company in accordance with paragraphs 1 and 3.
In the absence of provisions in the articles of association, third parties may participate in the capital increase on expiry of the pre-emptive subscription period set in paragraph 3, unless the board of directors or, where applicable, the management board decides that the pre-emption rights are to be exercised, in proportion to the part of the capital represented by their shares, by those existing shareholders who had already exercised their right during the pre-emptive subscription period. In that case, the terms of subscription by the existing shareholders are set by the board of directors or, where applicable, the management board.
Where shares are subject to a usufruct, the pre-emptive subscription right attaching to them belongs to the bare owner. If the bare owner sells the subscription rights, the proceeds of the sale or the property acquired by the bare owner with those proceeds are subject to the usufruct. If the bare owner fails to exercise the right, the usufructuary may act in the bare owner’s place to subscribe for the new shares or to sell the rights.
In the latter case, the bare owner may require the proceeds of the sale to be reinvested; the property so acquired is subject to the usufruct. The bare owner of shares is deemed, as regards the usufructuary, to have failed to exercise the pre-emptive right to subscribe for new shares issued by the company if, eight days before the expiry of the subscription period granted to the shareholders, the bare owner has neither subscribed for new shares nor sold the subscription rights.
The new shares belong to the bare owner as to the bare ownership and to the usufructuary as to the usufruct. However, where funds are paid by the bare owner or the usufructuary to effect or complete a subscription, the new shares belong to the bare owner and the usufructuary only up to the value of the subscription rights; the remainder of the new shares belongs in full ownership to the person who paid the funds.
This paragraph also applies in the case of an allotment of free securities. Where the bare owner must apply for the allotment of the securities, the bare owner is deemed, as regards the usufructuary, to have failed to exercise the right to the allotment of free shares if, three months after the start of the allotment operations, the bare owner has neither applied for that allotment nor sold the rights.
This paragraph applies where the parties have not agreed otherwise.
Article 420-27Convertible bonds and subscription rights
Articles 420-22, 420-23 (with the exception of paragraph 6) and 420-26 apply to the issue of convertible bonds, of any other debt instruments convertible into capital, or of subscription rights, whether stand-alone or attached to another security. Article 420-23(6) does, however, apply to the issue of convertible bonds or any other debt instruments convertible into capital where the subscription price of such instruments is paid up in kind.
Article 420-25 applies to the conversion of convertible bonds and of any other debt instruments convertible into capital and to the exercise of subscription rights, whether stand-alone or attached to another security. Articles 420-22, 420-23 and 420-26 do not apply in the cases referred to in this subparagraph.
The conversion of convertible bonds is to be treated as a contribution in cash payable by set-off against a claim on the company and is subject to the same conditions as such a contribution.
The decision of the board of directors to issue convertible bonds or any other debt instruments convertible into capital or subscription rights must be taken during the period of the authorisation. That decision reduces the available amount of the authorised capital accordingly. The conversion of convertible bonds or the exercise of subscription rights may take place after the end of the authorisation period.
Article 430-1Shares, beneficiary units and transfer restrictions
The capital of public limited companies (sociétés anonymes) is divided into shares, with or without a stated value.
Securities not representing the share capital, referred to in this Law as “beneficiary units” (parts bénéficiaires), may be created. The articles of association determine the rights attached to them.
Shares and units are registered, bearer or dematerialised.
Shares may be divided into fractions which, when combined in sufficient number, confer the same rights as the share, subject to the provisions of Article 450-4.
Shares and fractions bear a serial number unless they are dematerialised.
The articles of association and the instruments issuing convertible bonds or subscription rights may restrict the transferability inter vivos or the transmissibility upon death of shares of any kind, beneficiary units, subscription rights or any other securities giving entitlement to acquire shares, including convertible bonds, bonds with subscription rights, bonds redeemable in shares and any other debt instruments convertible into capital.
Inalienability clauses must be limited in time.
However, where the restriction results from an approval clause or a clause providing for a pre-emption right, the application of those clauses may not result in the non-transferability being extended beyond twelve months from the request for approval or the invitation to exercise the pre-emption right.
Where the clauses referred to in the third subparagraph provide for a period exceeding twelve months, that period is reduced to twelve months by operation of law.
If the provisions of the articles of association do not specify the method for determining the transfer price of the shares, units, rights or securities referred to in the first subparagraph, that price is, failing agreement between the parties, determined by the judge presiding over the chamber of the District Court sitting in commercial matters, as in summary proceedings. The value of the shares, units, rights or securities referred to in the first subparagraph is set as at the date of notification of the transfer in the case of a transfer inter vivos and as at the date of death in the case of transmission upon death.
Any transfer made in breach of the clauses of the articles of association is void.
Article 430-2Shares owned by several persons
If a share or fraction of a share has several owners, the company is entitled to suspend the exercise of the rights attached to it until a single person has been designated as the owner of the share or fraction vis-à-vis the company. The joint owners are nevertheless entitled to the information provided for in Article 461-6.
Article 430-3Register of registered shares
A register of registered shares, which any shareholder may inspect, is kept at the registered office; this register contains:
1° the precise identification of each shareholder and the number of shares or fractions held by that shareholder;
2° the payments made;
3° transfers with their dates or the conversion of the shares into bearer or dematerialised securities, if the articles of association so permit.

1° la désignation précise de chaque actionnaire et l’indication du nombre de ses actions ou coupures ;
2° l’indication des versements effectués ;
Article 430-4Ownership and transfer of registered shares
Ownership of a registered share is established by an entry in the register prescribed by the preceding Article.
The company must comply with a request from a person entered in the register to issue a certificate in respect of the securities entered in that person’s name.
Transfer is effected by a declaration of transfer entered in the same register, dated and signed by the transferor and the transferee or by their authorised representatives, and in accordance with the rules on the assignment of claims laid down in Article 1690 of the Civil Code. The company may accept and enter in the register a transfer evidenced by correspondence or other documents establishing the agreement of the transferor and the transferee.
Unless the articles of association provide otherwise, a transfer upon death is validly made vis-à-vis the company, if there is no objection, on production of the death certificate, the certificate of entry and an affidavit of heirship (acte de notoriété) received by the justice of the peace or by a notary.
Article 430-5Signature and particulars of bearer shares
Amended by: Law of 7 August 2023
A bearer share is signed by two directors or members of the management board, as the case may be, or, if the company has only one director or only one person constituting its management board, by that person. Unless the articles of association provide otherwise, the signature may be handwritten, printed or affixed by means of a stamp.
However, one of the signatures may be affixed by a person delegated for that purpose by the board of directors or the management board, as the case may be. In that case, it must be handwritten.
A certified true copy of the instrument conferring a delegation on a person who is not a member of the board of directors or of the management board, as the case may be, must be filed in advance in accordance with Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.
The share states:
1° the date of the instrument of incorporation of the company and of its publication;
2° the amount of the share capital, the number and nature of each class of shares, and the nominal value of the securities or the portion of the share capital they represent;
3° a summary description of the contributions and the conditions on which they are made;
4° the special advantages granted to the founders;
5° the duration of the company.
The preceding subparagraph does not apply to collective share certificates in the form of global bearer certificates deposited with a securities settlement system. The number of shares represented by these certificates must be determined or determinable.

Article 430-15Conditions for acquiring own shares
Amended by: Law of 7 August 2023
Without prejudice to the principle of equal treatment of all shareholders who are in the same position, the company may acquire its own shares, either itself or through a person acting in that person’s own name but on behalf of the company, only on the following conditions:
1° authorisation to acquire is granted by the general meeting, which sets the terms of the proposed acquisitions, in particular the maximum number of shares to be acquired, the period for which the authorisation is granted, which may not exceed five years, and, in the case of acquisition for consideration, the maximum and minimum consideration. The board of directors or the management board must ensure that, at the time of each authorised acquisition, the conditions referred to in points 2° and 3° are met;
2° the acquisitions, including shares previously acquired by the company and held in its portfolio and shares acquired by a person acting in that person’s own name but on behalf of the company, may not have the effect of reducing the net assets below the amount referred to in Article 461-2(1) and (2);
3° only fully paid-up shares may be included in the transaction;
4° the acquisition offer must be made on the same terms to all shareholders who are in the same position, except for acquisitions decided unanimously by a general meeting at which all the shareholders were present or represented; likewise, listed companies may purchase their own shares on the stock exchange without an acquisition offer having to be made to the shareholders.
1° l’autorisation d’acquérir est accordée par l’assemblée générale, qui fixe les modalités des acquisitions envisagées, et notamment le nombre maximal d’actions à acquérir, la durée pour laquelle l’autorisation est accordée et qui ne peut dépasser cinq ans et, en cas d’acquisition à titre onéreux, les contre-valeurs maximales et minimales. Le conseil d’administration ou le directoire veillent à ce que, au moment de toute acquisition autorisée, les conditions visées aux points 2° et 3° soient respectées ;
2° les acquisitions, y compris les actions que la société a acquises antérieurement et qu’elle détient en portefeuille ainsi que les actions acquises par une personne agissant en son propre nom mais pour le compte de la société, ne peuvent avoir pour effet que l’actif net devienne inférieur au montant indiqué à l’article 461-2, paragraphes 1er et 2 ;
3° l’opération ne peut porter que sur des actions entièrement libérées ;
Where the acquisition of own shares is necessary to prevent serious and imminent harm to the company, the condition in paragraph 1, point 1°, does not apply.
In that case, the next general meeting must be informed by the board of directors or the management board, as the case may be, of the reasons for and purpose of the acquisitions made, the number and nominal value or, in the absence of a nominal value, the accounting par value of the shares acquired, the proportion of the subscribed capital they represent, and the consideration paid for those shares.
Nor does the condition in paragraph 1, point 1°, apply to shares acquired either by the company itself or by a person acting in its own name but on behalf of the company with a view to their distribution to the company’s staff or to the staff of a company linked to it by a control relationship. For the purposes of this Article, a control relationship means the relationship existing between a parent company and a subsidiary in the cases referred to in Article 1711-1.
Such shares must be distributed within twelve months from their acquisition.
Article 430-16Exemptions for certain acquisitions of own shares
Article 430-15 does not apply to:
1° shares acquired in implementation of a decision to reduce the capital or in the case referred to in Article 430-22;
2° shares acquired as a result of a universal transfer of assets;
3° fully paid-up shares acquired free of charge or acquired by banks and other financial institutions under a contract of purchase on commission;
4° shares acquired by virtue of a legal obligation or resulting from a court decision aimed at protecting minority shareholders, in particular in the event of a merger, a division, a change in the corporate object or form of the company, a transfer of the registered office abroad or the introduction of restrictions on the transfer of shares;
5° shares acquired from a shareholder in default of their payment;
6° fully paid-up shares acquired at a judicial sale held to satisfy a claim of the company against the owner of those shares;
7° fully paid-up shares issued by an investment company with fixed capital as defined in Article 461-4 and acquired at the request of investors by that company or by a person acting in that person’s own name but on behalf of that company.
These acquisitions may not have the effect of reducing the net assets below the amount of the subscribed capital plus the reserves which may not be distributed under the law.
Original (French)
L’article 430-15 ne s’applique pas :
1° aux actions acquises en exécution d’une décision de réduction du capital ou dans le cas visé à l’article 430-22 ;
2° aux actions acquises à la suite d’une transmission de patrimoine à titre universel ;
3° aux actions entièrement libérées acquises à titre gratuit ou acquises par des banques et d’autres établissements financiers en vertu d’un contrat de commission d’achat ;
4° aux actions acquises en vertu d’une obligation légale ou résultant d’une décision judiciaire visant à protéger les actionnaires minoritaires, notamment en cas de fusion, de scission, de changement de l’objet ou de la forme de la société, de transfert du siège social à l’étranger ou d’introduction de limitations pour le transfert des actions ;
5° aux actions acquises d’un actionnaire à défaut de leur libération ;
6° aux actions entièrement libérées acquises lors d’une adjudication judiciaire opérée en vue d’honorer une créance de la société sur le propriétaire de ces actions ;
The shares acquired in the cases referred to in paragraph 1, points 2° to 6°, must however be disposed of within a maximum of three years from their acquisition, unless the nominal value or, in the absence of a nominal value, the accounting par value of the shares acquired, including shares which the company may have acquired through a person acting in that person’s own name but on behalf of the company, does not exceed 10 per cent of the subscribed capital.
If they are not disposed of within the period set in paragraph 2, the shares must be cancelled. The subscribed capital may be reduced by a corresponding amount. Such a reduction is mandatory to the extent that the acquisitions of shares to be cancelled have had the effect of reducing the net assets below the amount referred to in Article 461-2.
Article 430-17Disposal of shares acquired in breach of the rules
Shares acquired in breach of Articles 430-15 and 430-16(1), point 1°, must be disposed of within one year from their acquisition. If they are not disposed of within that period, Article 430-16(3) applies.
Article 430-18Holding of own shares and management report disclosure
Where the acquisition of own shares is permitted under Articles 430-15 and 430-16, the holding of those shares is subject to the following conditions:
1° the voting rights attached to the shares held by the company are suspended. Bought-back shares are not taken into account in calculating the quorum and majority at meetings. If the board of directors decides to suspend the right to dividends of the shares held by the company, the dividend coupons remain attached to them. In that case, the distributable profit is reduced in proportion to the number of securities held and the sums that would have been allocated are retained until the shares are sold, with coupons attached. The company may also keep the distributable profit at the same amount and distribute it among the shares whose rights are not suspended. In the latter case, the coupons that have fallen due are destroyed. If the company holds bought-back beneficiary units, it may not exercise the voting rights attached to them. If the company holds beneficiary units carrying dividend rights, the provisions of the second subparagraph apply;
2° if those shares are recognised as assets in the balance sheet, an unavailable reserve of the same amount is created on the liabilities side.
Note. In point 1°, “the second subparagraph” is a remnant of the consolidated text, in which point 1° originally consisted of several subparagraphs; the reference is to the rules on the suspension of dividend rights in that point (from “If the board of directors decides …”).
1° les droits de vote afférents aux actions détenues par la société sont suspendus. Les actions rachetées ne sont pas prises en compte pour le calcul des quorum et majorité dans les assemblées.Si le conseil d’administration décide de suspendre le droit aux dividendes des actions détenues par la société, les coupons de dividendes y restent attachés. Dans ce cas, le bénéfice distribuable est réduit en fonction du nombre de titres détenus et les sommes qui auraient dû être attribuées sont conservées jusqu’à la vente des actions, coupons attachés. La société peut également maintenir au même montant le bénéfice distribuable et le répartir entre les actions dont l’exercice des droits n’est pas suspendu. Dans ce dernier cas, les coupons échus sont détruits. Si la société détient des parts bénéficiaires rachetées, elle ne peut en exercer le droit de vote. Si la société détient des parts bénéficiaires ayant droit à des dividendes, les dispositions du deuxième alinéa s’appliquent ;

A company may, directly or indirectly, advance funds, grant loans or provide security with a view to the acquisition of its shares by a third party only on the following conditions:
1° These transactions take place under the responsibility of the board of directors or the management board at fair market conditions, in particular as regards the interest received by the company and the security provided to it in return for the loans and advances referred to above. The financial position of the third party or, in transactions involving several parties, of each party concerned must have been duly examined.
2° The board of directors or the management board submits the transaction for prior approval to the general meeting, which resolves under the conditions required for amending the articles of association. The board of directors or the management board presents to the general meeting a written report stating the reasons for the transaction, the interest it presents for the company, the conditions on which it is entered into, the risks it involves for the liquidity and solvency of the company and the price at which the third party is to acquire the shares. This report is filed with the Trade and Companies Register in accordance with Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings and is published in RESA in accordance with Article 100-13(3).
