Chapter IV – Management and supervision of public limited companies and European companies (SE)Chapitre IV – De l’administration et de la surveillance des sociétés anonymes et des sociétés européennes (SE)
Section I – Board of directorsSection Ire – Du conseil d’administration
Article 441-1Management by revocable agents
Public limited companies are managed by agents appointed for a fixed term, who may or may not be shareholders, who are revocable, and who may be remunerated or unpaid.
Article 441-2Number, appointment, term of office and vacancies of directors
There must be at least three directors.
However, where the company is incorporated by a sole member or where it is established at a general meeting of shareholders that the company has only a sole member, the board of directors may be limited to one member until the ordinary general meeting following the establishment that there is more than one member.
In a European company (SE), the number of directors or the rules for determining it are laid down by its articles of association. Nevertheless, there must be at least three directors where employee participation in the European company (SE) is organised in transposition of Council Directive 2001/86/EC of 8 October 2001 supplementing the Statute for a European company with regard to the involvement of employees.
They are appointed for a fixed period by the general meeting of shareholders; however, the first directors may be appointed in the instrument of incorporation of the company. In the case of a European company (SE), this provision applies without prejudice, where applicable, to the arrangements for employee participation laid down in transposition of Directive 2001/86/EC referred to above.
Their term of office may not exceed six years; they may be removed by the general meeting at any time.
If a seat of a director appointed by the general meeting falls vacant, the remaining directors so appointed have the right, unless the articles of association provide otherwise, to fill it provisionally.
In that case, the general meeting makes the final appointment at its first meeting.
Article 441-3Legal person as director: permanent representative
Where a legal person is appointed director, member of the executive committee or general manager (directeur général), it must designate a permanent representative to perform that duty in the name and on behalf of the legal person.
That representative is subject to the same conditions and incurs the same civil liability as if he performed that duty in his own name and on his own behalf, without prejudice to the joint and several liability of the legal person he represents. The legal person may remove its representative only if it simultaneously designates his successor.
The designation and the termination of the duties of the permanent representative are subject to the same disclosure rules as if he performed that duty in his own name and on his own behalf.
Article 441-4Re-election of directors and replacement directors
Unless the instrument of incorporation provides otherwise, directors may be re-elected; if a seat falls vacant before the end of a term of office, the director appointed completes the term of the director he replaces.
Article 441-5Powers of the board and representation of the company
The board of directors has the power to perform all acts necessary or useful for achieving the corporate object, except those reserved to the general meeting by law or by the articles of association. In a European company (SE), the articles of association list the categories of transactions that require an express decision of the board of directors.
It represents the company towards third parties and in legal proceedings, whether as claimant or as defendant. Writs on behalf of or against the company are validly issued in the name of the company alone.
Limitations on the powers conferred on the board of directors by the preceding subparagraphs, whether arising from the articles of association or from a decision of the competent bodies, are not enforceable against third parties, even if they have been published.
However, the articles of association may authorise one or more directors to represent the company in legal transactions or in legal proceedings, either alone or jointly. That clause is enforceable against third parties under the conditions laid down in Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.
Where, in a European company (SE), a delegation of powers has been validly conferred and the holder of that delegation performs an act within the limits of the delegation which nevertheless falls within a category of transactions that, under the provisions of the articles of association of the European company (SE), requires an express decision of the board of directors, that act binds the company, without prejudice to damages, where appropriate.

Article 441-6Committees of the board of directors
The board of directors may decide to set up committees whose composition and powers it determines and which carry out their activities under its responsibility.
Article 441-7Conflicts of interest of directors
A director who has, directly or indirectly, a financial interest conflicting with that of the company in a transaction falling within the competence of the board of directors must inform the board of it and have that declaration recorded in the minutes of the meeting. He may not take part in the deliberation.
A special report is made to the next general meeting, before any vote on other resolutions, on the transactions in which one of the directors had an interest conflicting with that of the company.
By way of derogation from the first subparagraph, where the company has only a sole director, the transactions entered into between the company and its director having an interest conflicting with that of the company are merely recorded in minutes.
Where, because of a conflict of interest, the number of directors required by the articles of association to deliberate and vote on the item in question is not reached, the board of directors may, unless the articles of association provide otherwise, decide to refer the decision on that item to the general meeting of shareholders.
The provisions of the preceding subparagraphs do not apply where the decisions of the board of directors or of the director concern ordinary transactions entered into under normal conditions.

Article 441-8No personal liability for company commitments
Directors incur no personal obligation in respect of the commitments of the company.
Article 441-9Liability of directors and executive committee members
Directors, members of the executive committee and the general manager are liable to the company, in accordance with the general law, for the performance of the mandate they have received and for misconduct in their management.
Directors and members of the executive committee are jointly and severally liable, either to the company or to any third parties, for all damage resulting from infringements of this Law or of the articles of association.
Directors and members of the executive committee are discharged from that liability, as regards infringements in which they did not take part, only if no misconduct is attributable to them and if they have reported those infringements, in the case of members of the board of directors, to the next general meeting and, in the case of members of the executive committee, at the first meeting of the board of directors after they became aware of them.
Article 441-10Delegation of day-to-day management
The day-to-day management of the company’s business and the representation of the company in connection with that management may be delegated to one or more directors, officers, managers and other agents, whether or not they are shareholders, acting alone or jointly.
Their appointment, removal and powers are governed by the articles of association or by a decision of the competent bodies, although restrictions on their powers of representation for the purposes of day-to-day management are not enforceable against third parties, even if they have been published.
A clause under which day-to-day management is delegated to one or more persons acting either alone or jointly is enforceable against third parties under the conditions laid down in Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.
Delegation to a member of the board of directors places the board under an obligation to report annually to the ordinary general meeting on the salaries, fees and any benefits granted to the delegate.
The liability of persons entrusted with day-to-day management in respect of that management is determined in accordance with the general rules on agency.
Persons entrusted with day-to-day management are subject to the provisions of Article 441-7, which apply by analogy. If there is only one delegate and he faces a conflict of interest, the decision must be taken by the board of directors. In the event of a breach of Article 441-7, persons entrusted with day-to-day management may be held liable on the basis of Article 441-9, second subparagraph, it being understood that, for the application of that provision, they are discharged from that liability, as regards infringements in which they did not take part, only if no misconduct is attributable to them and if they reported those infringements to the board of directors as soon as they became aware of them.

Article 441-11Executive committee and general manager
Amended by: Law of 7 August 2023
The articles of association may authorise the board of directors to delegate its management powers to an executive committee or a general manager, although that delegation may not cover the general policy of the company or all the acts reserved to the board of directors under other provisions of the law. If an executive committee is set up or a general manager is appointed, the board of directors is responsible for supervising it or him.
The executive committee consists of several persons, whether or not they are directors.
The conditions for appointing the members of the executive committee or the general manager, their removal, their remuneration and the duration of their mandate, as well as the operating procedures of the executive committee, are determined by the articles of association or, failing a provision in the articles, by the board of directors.
The articles of association may confer on the general manager or on one or more members of the executive committee the power to represent the company, either alone or jointly.
The appointment of a general manager and the setting up of an executive committee and the clause of the articles of association referred to in the third subparagraph, as well as the power of representation of the general manager and of the members of the executive committee, are enforceable against third parties under the conditions laid down in the provisions of Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.
The articles of association or a decision of the board of directors may impose restrictions on the management power that may be delegated under the first subparagraph. Those restrictions, as well as any allocation of tasks agreed among the members of the executive committee, are not enforceable against third parties, even if they have been published.

Article 441-12Conflicts of interest in the executive committee

Where, because of a conflict of interest, the number of members of the executive committee required to deliberate and vote on the item in question is not reached, the executive committee may decide to refer the decision on that item to the board of directors.

Article 442-8Delegation of day-to-day management in the two-tier system
The day-to-day management of the company’s business and the representation of the company in connection with that management may be delegated to one or more members of the management board, officers, managers and other agents, whether or not they are shareholders, but excluding members of the supervisory board, acting alone or jointly.
Their appointment, removal and powers are governed by the articles of association or by a decision of the competent bodies, although restrictions on their powers of representation for the purposes of day-to-day management are not enforceable against third parties, even if they have been published.
The clause under which day-to-day management is delegated to one or more persons acting either alone or jointly is enforceable against third parties under the conditions laid down in Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings.
Delegation to a member of the management board places the management board under an obligation to report annually to the ordinary general meeting on the salaries, fees and any benefits granted to the delegate.
The liability of persons entrusted with day-to-day management in respect of that management is determined in accordance with the general rules on agency.
Persons entrusted with day-to-day management are subject to the provisions of Article 442-18, which apply by analogy. If there is only one delegate and he faces a conflict of interest, the decision must be taken by the management board. In the event of a breach of Article 442-18, persons entrusted with day-to-day management may be held liable on the basis of Article 442-10, second subparagraph, it being understood that, for the application of that provision, they are discharged from that liability, as regards infringements in which they did not take part, only if no misconduct is attributable to them and if they reported those infringements to the management board as soon as they became aware of them.

Article 442-9Company bound by acts exceeding the corporate object
The company is bound by acts performed by the management board, by the members of the management board authorised to represent it in accordance with Article 442-7(4), or by the person entrusted with day-to-day management, even if those acts exceed the corporate object, unless it proves that the third party knew that the act exceeded that object or could not, in view of the circumstances, have been unaware of it; publication of the articles of association alone is not sufficient proof of this.

Article 442-10Liability of management board members
The members of the management board are liable to the company, in accordance with the general law, for the performance of the mandate they have received and for misconduct in their management.
They are jointly and severally liable, either to the company or to any third parties, for all damage resulting from infringements of this Law or of the articles of association. They are discharged from that liability, as regards infringements in which they did not take part, only if no misconduct is attributable to them and if they have reported those infringements to the next general meeting after they became aware of them.
Authorisation given by the supervisory board in accordance with Article 442-7(2) does not release the members of the management board from their liability.

Article 442-18Conflicts of interest in the two-tier system
A member of the management board or of the supervisory board who has, directly or indirectly, a financial interest conflicting with that of the company in a transaction falling within the competence of the management board or of the supervisory board must inform the management board or the supervisory board of it and have that declaration recorded in the minutes of the meeting. He may not take part in the deliberation.
A special report is made to the next general meeting, before any vote on other resolutions, on the transactions in which one of the members of the management board or of the supervisory board had an interest conflicting with that of the company.
By way of derogation from the first subparagraph, where the management board or the supervisory board of the company has only one member, the transactions entered into between the company and its member of the management board or of the supervisory board having an interest conflicting with that of the company are merely recorded in minutes.
Where, because of a conflict of interest, the number of members required by the articles of association to deliberate and vote on the item in question is not reached, the management board or the supervisory board may, unless the articles of association provide otherwise, decide to refer the decision on that item to the general meeting of shareholders.
Where the transaction referred to in the first subparagraph reveals a conflict of interest between the company and a member of the management board, the authorisation of the supervisory board is also required.
The provisions of the preceding subparagraphs do not apply where the decisions envisaged concern ordinary transactions entered into under normal conditions.

Article 442-19Remuneration of board members

Article 443-1Appointment and term of office of supervisory auditors
Supervision of the company must be entrusted to one or more supervisory auditors (commissaires), who may or may not be shareholders.
They are appointed by the general meeting of shareholders.
Unless the instrument of incorporation provides otherwise, supervisory auditors may be re-elected.
Their term of office may not exceed six years; they may be removed by the general meeting at any time.
The general meeting determines the number of supervisory auditors and fixes their fees.
If the number of supervisory auditors is reduced by more than half, through death or otherwise, the board of directors or the management board, as the case may be, must immediately convene the general meeting to replace the missing supervisory auditors.

Article 443-2Powers, reporting and liability of supervisory auditors
The supervisory auditors have an unlimited right of supervision and control over all the transactions of the company. They may inspect, on the premises, the books, correspondence, minutes and generally all the records of the company.
Every six months, the board of directors or the management board, as the case may be, provides them with a statement summarising the assets and liabilities. The supervisory auditors must submit to the general meeting the results of their work together with such proposals as they consider appropriate, and inform it of the method by which they have checked the inventories.
Their liability, in so far as it derives from their duties of supervision and control, is determined according to the same rules as the liability of the directors or the members of the management board.
The supervisory auditors may be assisted by an expert to examine the books and accounts of the company.
The expert must be approved by the company. Failing such approval, the President of the District Court sitting in commercial matters chooses the expert on an application by the supervisory auditors served together with a summons on the company. The President hears the parties in chambers and rules in open court on the designation of the expert. His decision need not be served on the company and is not open to appeal.

The articles of association may authorise any shareholder to vote by correspondence, by means of a form whose particulars are laid down in the articles of association.
Forms that show neither a vote in a particular direction nor an abstention are void.
For the calculation of the quorum, only forms received by the company before the general meeting, within the time limits laid down by the articles of association, are taken into account.

Notwithstanding any clause to the contrary in the articles of association, every shareholder may take part in the deliberations with a number of votes equal to the number of shares he holds, without limitation.
Where the shares are of unequal value or their value is not stated, each share automatically confers, unless the articles of association provide otherwise, a number of votes proportional to the portion of the capital it represents, the share representing the smallest portion counting as one vote; fractions of votes are disregarded, except in the cases provided for in Article 450-4.
The board of directors or the management board, as the case may be, has the right to adjourn the meeting, during the meeting, for four weeks. It must do so at the request of one or more shareholders representing at least one tenth of the share capital. Such an adjournment, which also applies to a general meeting called to amend the articles of association, cancels any decision taken. The second meeting has the right to take a final decision, provided that, in the case of an amendment of the articles of association, the attendance requirements laid down in Article 450-3 are met.
If the ordinary general meeting which has been adjourned was convened for the same day as a general meeting called to amend the articles of association and the latter does not have the required quorum, the adjournment of the first meeting may be extended to a date sufficiently distant to make it possible to convene both meetings again for the same day, although the adjournment period may not exceed six weeks.
The exercise of the voting rights attaching to shares on which payments have not been made is suspended for as long as those payments, duly called and due, have not been made.
The articles of association may provide that the board of directors or the management board, as the case may be, may suspend the voting rights of any shareholder who fails to fulfil the obligations incumbent on him under the articles of association or under his subscription or commitment instrument.
Any shareholder may, in a personal capacity, undertake not to exercise, temporarily or permanently, all or part of his voting rights. Such a waiver binds the waiving shareholder and is binding on the company as soon as it has been notified to the company.
Voting rights that have been suspended and voting rights the waiver of which has been notified to the company in accordance with this Article are not taken into account in calculating the quorum and majorities at general meetings.
Article 450-2Voting agreements between shareholders
The exercise of voting rights may be the subject of agreements between shareholders.
However, the following are void:
1° agreements that are contrary to the provisions of this Law or to the corporate interest;
2° agreements by which a shareholder undertakes to vote in accordance with instructions given by the company, by a subsidiary or by one of the bodies of those companies;
3° agreements by which a shareholder undertakes towards those same companies or those same bodies to approve proposals made by the bodies of the company.
1° les conventions qui sont contraires aux dispositions de la présente loi ou à l’intérêt social ;
2° les conventions par lesquelles un actionnaire s’engage à voter conformément aux directives données par la société, par une filiale ou encore par l’un des organes de ces sociétés ;
Votes cast at a general meeting under the agreements referred to in paragraph 1, second subparagraph, are void. Such votes render the decisions taken void unless they had no effect on the outcome of the vote. The action for nullity is time-barred six months after the vote.
Article 450-3Amendment of the articles: extraordinary general meeting
Unless the articles of association provide otherwise, the extraordinary general meeting, deliberating as set out below, may amend any of the provisions of the articles of association. However, an increase in the commitments of the shareholders may be decided only with the unanimous consent of the members.
The articles of association may authorise the board of directors or the management board, as the case may be, to transfer the registered office of the company from one municipality to another or within the same municipality and to amend the articles of association accordingly.
The general meeting deliberates validly only if at least half of the capital is represented and the agenda indicates the proposed amendments to the articles of association and, where applicable, the text of those that concern the object or the form of the company. If the first of those conditions is not met, a new meeting may be convened, in the manner laid down by the articles of association, by notices filed with the Trade and Companies Register and published at least fifteen days before the meeting in the Recueil électronique des sociétés et associations (RESA, the electronic gazette of companies and associations) and in a newspaper published in the Grand Duchy of Luxembourg. That convening notice reproduces the agenda, stating the date and the outcome of the previous meeting. The second meeting deliberates validly whatever the portion of the capital represented. At both meetings, resolutions, in order to be valid, must be passed by at least two thirds of the votes cast. The votes cast do not include votes attaching to shares in respect of which the shareholder has not taken part in the vote, has abstained or has returned a blank or spoilt vote.
Article 450-4Separate class votes where class rights are affected
Where there are several classes of shares and the resolution of the general meeting is such as to change their respective rights, the resolution must, in order to be valid, satisfy the attendance and majority requirements laid down in the preceding Article in each class.
Article 450-5Reduction of subscribed capital and creditor protection
The general meeting may decide to reduce the subscribed capital under the conditions laid down for amending the articles of association. The convening notice states the purpose of the reduction and the manner in which it will be carried out.
If the reduction is to be made by a repayment to the shareholders or by releasing them from the obligation to pay up their shares, creditors whose claims predate the publication in RESA of the minutes of the resolution may, within thirty days of that publication, apply to the judge presiding over the chamber of the District Court sitting in commercial matters, as in summary proceedings, for security to be provided. The judge may dismiss that application only if the creditor already has adequate safeguards or if such safeguards are not necessary in view of the assets of the company.
No payment may be made and no release may be granted to the shareholders until the creditors have obtained satisfaction or the judge presiding over the chamber of the District Court sitting in commercial matters, as in summary proceedings, has decided that their application should not be granted.
Paragraphs 2 and 3 do not apply in the case of a reduction in the subscribed capital whose purpose is to offset losses incurred that cannot be absorbed by other own funds or to transfer sums to a reserve, provided that, following that operation, the amount of that reserve does not exceed 10 per cent of the reduced subscribed capital.
Except in the event of a reduction in the subscribed capital under the conditions of paragraphs 2 and 3, that reserve may neither be distributed to the shareholders nor release the shareholders from the obligation to make their contributions. It may be used only to offset losses incurred or to increase the subscribed capital by capitalising reserves.
Where the reduction of capital brings it below the statutory minimum, the general meeting must at the same time decide either on a corresponding increase in capital or on the conversion of the company.
Article 450-6Amortisation of capital and dividend-right shares
The articles of association may provide that, by a decision of the general meeting subject to publication in accordance with Title I, Chapter Vbis of the amended Law of 19 December 2002 on the Trade and Companies Register and on the accounting and annual accounts of undertakings, all or part of the profits and reserves other than those which the law or the articles of association prohibit from being distributed may be applied to the amortisation of the capital by repayment at par of all the shares or of some of them selected by lot, without the stated capital being reduced. If the repaid shares are subject to a usufruct, the usufructuary is entitled to the quasi-usufruct of the amount repaid.
The repaid securities are cancelled and replaced by dividend-right shares (actions de jouissance), which carry the same rights as the cancelled securities, with the exception of the right to repayment of the contribution and the right to participate in the distribution of a first dividend allocated to shares that have not been amortised.
Article 450-7Capital reduction by cancellation of own shares
In the case of a reduction of the subscribed capital by the cancellation of shares acquired by the company itself or by a person acting in his own name but on behalf of the company, the cancellation must always be decided by the general meeting.
Article 450-5(2) and (3) applies unless the shares concerned are fully paid-up shares acquired free of charge or using sums available for distribution in accordance with Article 461-2; in that case, an amount equal to the nominal value or, in the absence of a nominal value, to the accounting par value of all the cancelled shares must be transferred to a reserve. Except in the event of a reduction of the subscribed capital, that reserve may not be distributed to the shareholders; it may be used only to offset losses incurred or to increase the subscribed capital by capitalising reserves.
In the case referred to in paragraph 1, the decision of the general meeting is subject to a separate vote for each class of shares whose rights are affected by the transaction. Furthermore, Articles 420-19(1) and 450-5(4) do not apply.
Article 450-8Annual meeting, convening and agenda items
At least one general meeting must be held in the Grand Duchy of Luxembourg each year. The meeting must be held within six months of the end of the financial year, and the first general meeting may be held within eighteen months of the incorporation of the company.
The board of directors or the management board, as the case may be, as well as the supervisory board and the supervisory auditors, are entitled to convene the general meeting. They are required to convene it so that it is held within one month where shareholders representing one tenth of the share capital so request in writing, stating the agenda.
The directors, the members of the management board and of the supervisory board, as the case may be, and the supervisory auditors may be convened to meetings that they have not convened themselves and are in all cases entitled to take part in them. The approved statutory auditors (réviseurs d’entreprises agréés) appointed by the general meeting may be convened to take part in meetings. Such convening notices are given in the form and within the time limits laid down in this Article.
Where, in accordance with Article 450-1, the meeting is held with shareholders who are not physically present, the meeting is deemed to be held at the place of the registered office of the company.
If, following a request made by shareholders under the second subparagraph, the general meeting is not held within the prescribed period, the meeting may be convened by an agent designated by the President of the District Court sitting in commercial matters, as in summary proceedings, on an application by one or more shareholders holding together the aforementioned percentage of the share capital.
One or more shareholders holding together at least 10 per cent of the subscribed capital may request that one or more new items be placed on the agenda of any general meeting. That request is sent to the registered office by registered letter at least five days before the meeting is held.
Convening notices for any general meeting contain the agenda and are given by notices filed with the Trade and Companies Register and published at least fifteen days before the meeting in RESA and in a newspaper published in the Grand Duchy of Luxembourg.
Convening notices are communicated to registered shareholders at least eight days before the meeting. Such communication is made by letter, unless the addressees have individually agreed to receive the convening notice by another means of communication. Proof that this formality has been carried out need not be provided.

Article 450-9Convening by registered letter where all shares are registered
Where all the shares are registered shares, the company may, for any general meeting, confine itself to communicating the convening notices by registered letter, without prejudice to other means of communication individually accepted by their addressees and ensuring that they are informed at least eight days before the meeting. In that case, the provisions of the law requiring publication of convening notices in RESA or in a newspaper of the Grand Duchy of Luxembourg do not apply.

Article 450-10Record date for holders of dematerialised shares
