Article 56Arm’s length principle for related enterprises

Amended by: Law of 19 December 2014; Law of 23 December 2016

Art. 56#

Where (a) an enterprise participates directly or indirectly in the management, control or capital of another enterprise, or (b) the same persons participate directly or indirectly in the management, control or capital of two enterprises, and, in either case, the two enterprises are bound, in their commercial or financial relations, by conditions agreed or imposed which differ from those which would be agreed between independent enterprises, the profits of those enterprises are determined on the basis of the conditions prevailing between independent enterprises and taxed accordingly.

Article 56bisTransfer pricing and comparability analysis

Amended by: Law of 23 December 2016

Art. 56bis(1)#

For the purposes of this Article:

– “related enterprise” means any enterprise referred to in Article 56;

– “transaction” means the transfer of a tangible or intangible asset, the provision of a service and a commitment, whether or not formalised in writing, which would be remunerated on the open market;

– “controlled transaction” means a transaction between related enterprises;

– “open market transaction” means a transaction between independent enterprises;

– “comparable open market transaction” means a transaction between two independent parties which is comparable to the controlled transaction under examination. It may be a comparable transaction between a party to the controlled transaction and an independent party (“internal comparable”) or between two independent enterprises neither of which is a party to the controlled transaction (“external comparable”);

– “arm’s length price” means the price or rate that would be applied in a comparable open market transaction.

– entreprise liée: toute entreprise visée à l’article 56;

– transaction: le transfert d’un bien corporel ou incorporel, la prestation de service et l’engagement, formalisé ou non par un écrit, qui serait rémunéré sur le marché libre;

– transaction contrôlée: la transaction entre entreprises liées;

– transaction sur le marché libre: la transaction entre entreprises indépendantes;

– transaction comparable sur le marché libre: la transaction entre deux parties indépendantes qui est comparable à la transaction contrôlée examinée. Il peut s’agir d’une transaction comparable entre une partie à la transaction contrôlée et une partie indépendante (« comparable interne ») ou entre deux entreprises indépendantes dont aucune n’est partie à la transaction contrôlée (« comparable externe »);

Art. 56bis(2)#

In the context of the analysis that an enterprise carries out in order to verify compliance with the arm’s length principle, the enterprise must set prices and rates for all controlled transactions in accordance with the arm’s length price.

The fact that a given transaction is not observed between independent parties does not necessarily mean that the transaction is not in accordance with the arm’s length principle.

Art. 56bis(3)#

The technique to be applied in determining the arm’s length price in order to ensure the arm’s length principle is based on the comparability analysis. It consists in comparing the conditions imposed on a controlled transaction with those imposed on a comparable open market transaction. For such a comparison to be meaningful, the economic characteristics of the transactions taken into account must be sufficiently comparable.

Art. 56bis(4)#

Transactions are sufficiently comparable where there are no material differences between the transactions compared that could have a significant influence, from a methodological point of view, on the determination of the price, or where reasonably reliable adjustments can be made to eliminate the effect on the determination of the price.

The comparability analysis of the transaction rests on two pillars:

a) identifying the commercial or financial relations between the related enterprises and determining the economically relevant conditions and circumstances attaching to those relations, so as to accurately delineate the controlled transaction;

b) comparing the economically relevant conditions and circumstances of the accurately delineated controlled transaction with those of comparable open market transactions.

a) identifier les relations commerciales ou financières entre les entreprises liées et déterminer les conditions et circonstances économiquement significatives qui se rattachent à ces relations de manière à délimiter de façon précise la transaction contrôlée;

Art. 56bis(5)#

The economically relevant conditions and circumstances, or comparability factors, that must be identified are, broadly, the following:

a) the contractual terms of the transaction;

b) the functions performed by each of the parties to the transaction, taking into account the assets used and the risks managed and assumed;

c) the characteristics of the asset transferred, of the service rendered or of the commitment entered into;

d) the economic circumstances of the parties and of the market in which the parties carry on their activities;

e) the business strategies pursued by the parties.

a) les dispositions contractuelles de la transaction;

b) les fonctions exercées par chacune des parties à la transaction, compte tenu des actifs utilisés et des risques gérés et assumés;

c) les caractéristiques du bien transféré, du service rendu ou de l’engagement conclu;

d) les circonstances économiques des parties et du marché sur lequel les parties exercent leurs activités;

Art. 56bis(6)#

The methods to be adopted for determining the appropriate comparable price must take into account the comparability factors identified and must be consistent with the nature of the accurately delineated transaction. The price thus identified, by comparing the accurately delineated transaction with comparable open market transactions, is the arm’s length price applicable to the transaction analysed for the purposes of complying with the arm’s length principle. The comparison method chosen must be the method that provides the best possible approximation of the arm’s length price.

Art. 56bis(7)#

Where a transaction has been carried out and all or part of that accurately delineated transaction contains one or more elements which in substance lack a valid commercial rationale and which have a significant impact on the determination of the arm’s length price, that transaction or that part of the transaction must be disregarded in determining the arm’s length price in order to comply with the arm’s length principle.

2. les exploitants ou autres personnes entrant en ligne de compte doivent avoir tenu une comptabilité régulière durant l’exercice d’exploitation au cours duquel la perte est survenue;

La détention d’une participation à travers un des organismes visés à l’alinéa 1er de l’article 175 est à considérer comme détention directe proportionnellement à la fraction détenue dans l’actif net investi de cet organisme. Sont exclus du bénéfice des lettres a) et d) ci-dessus, les revenus visés par la directive 2011/96/UE du Conseil du 30 novembre 2011 concernant le régime fiscal commun applicable aux sociétés mères et filiales d’Etats membres différents et alloués à un organisme à caractère collectif qui est un résident d’un autre Etat membre de l’Union européenne et visé par l’article 2 de la directive 2011/96/UE ou à un établissement stable situé dans un autre Etat membre d’un organisme à caractère collectif qui est un résident d’un Etat membre de l’Union européenne et visé par l’article 2 de la directive 2011/96/UE, si ces revenus sont alloués dans le cadre d’un montage ou d’une série de montages qui, ayant été mis en place pour obtenir, à titre d’objectif principal ou au titre d’un des objectifs principaux, un avantage fiscal allant à l’encontre de l’objet ou de la finalité de cette directive, n’est pas authentique compte tenu de l’ensemble des faits et circonstances pertinents. Au sens de la présente disposition, un montage, qui peut comprendre plusieurs étapes ou parties, ou une série de montages est considéré comme non authentique dans la mesure où ce montage ou cette série de montages n’est pas mis en place pour des motifs commerciaux valables qui reflètent la réalité économique ;
