The annual instalment of normal depreciation for depletion of substance is equal to the product of the net remaining value of the acquisition price or cost of production at the beginning of the financial year multiplied by the ratio between the quantity extracted during the financial year and the quantity not yet extracted at the beginning of the financial year.

9. Setting up an undertaking9. Création d’une entreprise

Article 35Valuation of assets on creation of an undertaking

Amended by: Law of 27 July 1978; Law of 21 December 2018

Art. 35(1)#

Where an undertaking or an autonomous part of an undertaking is created, the assets constituting the net invested assets at the beginning of the first financial year may not be valued:

a) above the acquisition price or cost of production, in the case of assets acquired or produced by the operator with a view to the creation;

b) above the going-concern value at the time of creation, in the case of assets not referred to in point (a);

c) below the net amount of the obligation incumbent on the operator, in the case of debts contracted by the operator with a view to the creation;

d) below the going-concern value, in the case of debts not referred to in point (c).

a) au-dessus du prix d’acquisition ou de revient, lorsqu’il s’agit de biens d’actif acquis ou fabriqués par l’exploitant en vue de la création;

b) au-dessus de la valeur d’exploitation au moment de la création, lorsqu’il s’agit de biens d’actif non visés sub a);

c) au-dessous du montant net de l’obligation incombant à l’exploitant, lorsqu’il s’agit de dettes contractées par l’exploitant en vue de la création;

Art. 35(2)#

Assets which, if disposed of at the time of the contribution, would give rise to the application of one of Articles 99ter to 102 and which were not acquired with a view to the creation may be valued neither above the acquisition price, revalued where applicable, that would be used to determine income within the meaning of the Article concerned, nor above the going-concern value. Assets which, in the same situation, would give rise to the application of Article 99bis must be valued at the acquisition price or at the going-concern value if lower.

Art. 35(3)#

The values adopted in accordance with paragraphs 1 and 2 are to be regarded as the initial acquisition prices or costs of production. However, where assets referred to in paragraph 1, point (b), are withdrawn within the two years following the creation of the undertaking or of the autonomous part of an undertaking, their withdrawal value may not be lower than the value adopted at the time of creation, less the normal depreciation charged from the creation until the day of withdrawal.

Art. 35(4)#

Where a person becomes a resident taxpayer and as a result becomes taxable in respect of an undertaking, an autonomous part of an undertaking or a permanent establishment, the provisions of this Article apply, subject to the proviso that all assets may be valued at their going-concern value.

Art. 35(5)#

The assets constituting the net invested assets at the beginning of the first financial year must be valued at the value established by the State of departure of the taxpayer or of the permanent establishment, unless that value does not reflect the going-concern value, where the taxpayer:

a) transfers to Luxembourg from another State either its tax domicile or habitual residence, or its registered office or central administration;

b) transfers to Luxembourg the activity that it carries on through a permanent establishment situated in another State.

a) transfère vers le Luxembourg soit son domicile fiscal ou son séjour habituel, soit son siège statutaire ou son administration centrale, à partir d’un autre État;

Art. 35(6)#

The acquisition date of assets valued in accordance with paragraphs 1 to 5 is the actual acquisition date of those assets.

10. Transfer for consideration10. Transmission à titre onéreux

Article 36Valuation on transfer of an undertaking for consideration

Art. 36(1)#

Where an undertaking or an autonomous part of an undertaking is transferred for consideration, the acquirer must, for the beginning of its first financial year, value the assets transferred to it at their acquisition price determined within the limit of the sum of their going-concern values. Where the overall acquisition price exceeds the sum of the going-concern values of the assets acquired other than the intangible assets of the business (goodwill), the excess represents the acquisition price of the intangible assets of the business.

Art. 36(2)#

At the time when the transferor transfers them to its private assets, the transferor must value the assets not transferred on the transfer at their estimated realisation value.

11. Transfer free of charge11. Transmission à titre gratuit

Article 37Valuation on transfer of an undertaking free of charge

Amended by: Law of 27 December 1973

Art. 37(1)#

Where an undertaking, an autonomous part of an undertaking or a permanent establishment is transferred free of charge, the transferor or the transferor’s successors in title must value the assets constituting the net invested assets at the time of the transfer as at the end of a financial year. For its part, the acquirer must carry over into its opening balance sheet the values shown in the transferor’s closing balance sheet and continue the capital gains exempted (immunised) in the hands of the transferor.

Art. 37(2)#

Where a transfer free of charge causes an undertaking, an autonomous part of an undertaking or a permanent establishment to become subject to tax, the provisions of Article 35(1) to (3) apply, subject to the proviso that all assets may be valued at their going-concern value.

12. Transfer abroad12. Transfert à l’étranger

Article 38Transfer of assets abroad treated as a disposal

Amended by: Law of 26 May 2014; Law of 21 December 2018

Art. 38(1)#

The transfer of assets abroad, whether they form an undertaking or a permanent establishment or are individual assets forming part of the net invested assets, is treated as a disposal for consideration in the following situations:

a) the taxpayer transfers assets from its undertaking situated in Luxembourg to a permanent establishment situated in another State, in so far as Luxembourg no longer has the right to tax the transferred assets;

b) the taxpayer transfers assets from its Luxembourg permanent establishment to its undertaking or registered office situated in another State or to another permanent establishment situated in another State, in so far as Luxembourg no longer has the right to tax the transferred assets;

c) the taxpayer transfers to another State either its tax domicile or habitual residence, or its registered office and central administration, except for assets that remain effectively connected with a Luxembourg permanent establishment and whose book values are continued;

d) the taxpayer transfers the activity carried on by its Luxembourg permanent establishment to another State, in so far as Luxembourg no longer has the right to tax the transferred assets.

a) le contribuable transfère des biens de son entreprise située au Luxembourg vers un établissement stable situé dans un autre État, pour autant que le droit d’imposition de ces biens transférés ne revient plus au Luxembourg;

b) le contribuable transfère des biens de son établissement stable indigène vers son entreprise ou son siège statutaire situé dans un autre État ou vers un autre établissement stable situé dans un autre État, pour autant que le droit d’imposition de ces biens transférés ne revient plus au Luxembourg;

c) le contribuable transfère vers un autre État soit son domicile fiscal ou son séjour habituel, soit son siège statutaire et son administration centrale, à l'exception des biens qui restent effectivement rattachés à un établissement stable indigène et dont les valeurs comptables sont continuées;

Art. 38(2)#

The estimated realisation value of the undertaking, of the permanent establishment or of the individual assets at the time of the transfer must be taken as the disposal price.

Art. 38(3)#

This Article does not apply to transfers of assets related to the financing of securities, to assets posted as collateral or to cases where the transfer of assets takes place in order to meet prudential capital requirements or for the purpose of liquidity management, provided that the transferred assets are set to revert to Luxembourg, as the State of origin of the transfer, within a period of twelve months from the date on which those assets were transferred abroad. Those assets continue to belong to the taxpayer’s net invested assets as if the transfer abroad had not taken place, and the income relating to those assets continues to be attributable to Luxembourg.

13. Permanent cessation13. Cessation définitive

Article 39Valuation on cessation of an undertaking

Amended by: Law of 23 December 2016

Art. 39(1)#

On the permanent cessation of the undertaking or of an autonomous part of an undertaking, the assets of the net invested assets that are not disposed of must, where they are transferred to the operator’s private assets, be valued at their estimated realisation value.

Art. 39(2)#

However, the operator may value at book value the buildings or parts of buildings which, by their nature and purpose, necessarily form part of the net invested assets and which are not disposed of, subject to the following provisions:

1. those buildings or parts of buildings are treated as if they constituted the net invested assets of an undertaking within the meaning of Article 14, point 1;

2. another taxpayer takes over the operator’s activities and carries them on in those buildings or parts of buildings;

3. operating expenses and depreciation relating to those buildings or parts of buildings are deductible only where the operator receives a gross rent such as would be agreed between independent undertakings;

4. Article 54 does not apply;

5. the profit realised on the realisation of those buildings or parts of buildings is a disposal or cessation profit within the meaning of Article 15; the allowance resulting from the application of Article 130(1) is reduced to the fraction that would in principle have been deductible from the disposal or cessation profit that would have arisen had all the capital gains been disclosed on the disposal or cessation;

6. those buildings or parts of buildings are deemed to be withdrawn and transferred to the operator’s private assets at their estimated realisation value:

a) where the operator declares that it is transferring those buildings or parts of buildings to its private assets,

b) where the taxpayer who has taken over the operator’s activities no longer carries on business in those buildings or parts of buildings or changes activities,

c) where the commercial or industrial premises are converted into office or residential space or are left abandoned.

1. ces immeubles ou parties d’immeubles sont traités comme s’ils constituaient l’actif net investi d’une entreprise au sens de l’article 14, numéro 1;

2. un autre contribuable reprend les activités de l’exploitant et les exerce dans ces immeubles ou parties d’immeubles;

3. les dépenses d’exploitation et les amortissements en relation avec ces immeubles ou parties d’immeubles ne sont déductibles que lorsque l’exploitant réalise un loyer brut tel qu’il serait convenu entre des entreprises indépendantes;

4. l’article 54 n’est pas applicable;

5. le bénéfice réalise à l’occasion de la réalisation de ces immeubles ou parties d’immeubles est un bénéfice de cession ou de cessation au sens de l’article 15 ; l’abattement résultant de l’application de l’article 130, alinéa 1 est réduit à la fraction qui aurait été déductible en principe du bénéfice de cession ou de cessation qui se serait dégagé si toutes les plus-values avaient été découvertes à l’occasion de la cession ou cessation;

14. Link between the tax balance sheet and the commercial balance sheet14. Accrochement du bilan fiscal au bilan commercial

Article 40Link between tax and commercial balance sheets

Art. 40(1)#

Where the rules governing valuation for tax purposes do not require valuation at a specific amount, the values to be shown in the tax balance sheet must be those of the commercial balance sheet or must come as close to them as possible within the framework of the aforementioned rules, depending on whether or not the values of the commercial balance sheet comply with those same rules.

Art. 40(2)#

The normal useful life used to calculate normal depreciation in the tax balance sheet must be consistent with that used to calculate normal depreciation in the commercial balance sheet, unless the latter is determined in a manifestly incorrect manner or the rule in Article 22(1) precludes it.

15. Correction and amendment of the balance sheet filed15. Rectification et modification du bilan produit

Article 41Correction and amendment of the balance sheet

Art. 41(2)#

The taxpayer may amend the balance sheet submitted to the tax administration where it complies with the rules contained in this Sub-section and the amendment is based on sound economic reasons.

Art. 41(3)#

The taxpayer may neither correct nor amend a balance sheet that has served as the basis for an assessment, except in the following cases:

1. the assessment concerned is still open to amendment;

2. the correction or amendment does not entail a change to an assessment.

A correction or amendment in the case under point 2 above must be approved by the tax administration.

1. l’imposition en cause est encore susceptible d’être modifiée;

16. Additional contributions and personal withdrawals16. Suppléments d’apport et prélèvements personnels

Article 42Additional contributions and personal withdrawals defined

Art. 42(1)#

All assets that the taxpayer incorporates into the undertaking in the course of business are regarded as additional contributions.

Art. 42(2)#

All assets, such as cash, goods, products, benefits and services, that the taxpayer withdraws from the undertaking in the course of business, whether for the taxpayer’s own use, for the taxpayer’s personal household or for other purposes unrelated to the undertaking, are regarded as personal withdrawals.

Article 43Valuation of contributions and withdrawals

Amended by: Law of 27 July 1978; Law of 21 December 2018

Art. 43(1)#

Additional contributions and personal withdrawals must be accounted for at their going-concern value at the time of the contribution and at the time of the withdrawal respectively. In the case of additional contributions, that value constitutes the initial acquisition price.

Art. 43(1a)#

Contributed assets must be valued at the value established by the State of departure of those assets, unless that value does not reflect the going-concern value, where the taxpayer:

a) transfers assets from its permanent establishment situated in the State of departure to its undertaking situated in Luxembourg;

b) transfers assets from its undertaking situated in the State of departure to its Luxembourg permanent establishment.

That value constitutes the initial acquisition price.

a) transfère des biens de son établissement stable situé dans l’État de départ vers son entreprise située au Luxembourg;

Art. 43(2)#

Assets which, if disposed of at the time of the contribution, would give rise to the application of one of Articles 99ter to 102 may be valued, on contribution, neither above the acquisition price, revalued where applicable, that would be used to determine income within the meaning of the Article concerned, nor above the going-concern value. Assets which, in the same situation, would give rise to the application of Article 99bis must be valued at the acquisition price or at the going-concern value if lower.

Art. 43(2a)#

The acquisition date of contributed assets valued in accordance with paragraphs 1 to 2 is the actual acquisition date of those assets.

Art. 43(3)#

Where an asset other than those referred to in the preceding paragraph is withdrawn within the two years following its incorporation into the net invested assets as an additional contribution, the withdrawal value may not be lower than the contribution value less the normal depreciation charged up to the day of withdrawal.

Note. “The preceding paragraph” dates from before the insertion of paragraph 2a (Law of 21 December 2018); the reference is evidently to paragraph 2 (assets falling within Articles 99bis to 102).

Lorsqu’elles servent à l’amortissement du déficit des obligations résultant des périodes passées au sens de l’article 51 de la loi du 8 juin 1999 relative aux régimes complémentaires de pension, elles ne sont déductibles que conformément à l’article 52 de cette même loi;

Article 48Items not constituting operating expenses

Amended by: Law of 8 June 1999; Law of 17 December 2010; Law of 1 August 2018

Art. 48#

The following do not constitute operating expenses:

1. interest attributed to the net invested assets;

2. rents, farm rents or royalties paid to the operator, or to close relatives taxable jointly with the operator, in respect of assets used in the undertaking;

3. remuneration paid to the operator or to the spouse taxable jointly with the operator;

3a. the part of severance payments or dismissal compensation paid to employees that exceeds the amount of 300,000 euros.

For the purpose of determining the non-deductible amount, the splitting of the payment over several tax years is treated as a single amount.

4. premiums for life insurance taken out for the benefit of the operator or of the operator’s successors in title or close relatives, without prejudice, however, to the provisions of Article 46, point 4;

5. allocations to self-insurance reserves;

6. allocations to provisioning funds for the equalisation of operating expenses;

7. the expenses listed in Article 12 of this Law;

8. contributions, allocations and premiums paid to a supplementary pension scheme set up by an undertaking in accordance with the Law of 8 June 1999 on supplementary pension schemes, where the benefits to which they relate accrue to the operator, to the co-entrepreneur of a collective commercial undertaking, to the partner of a civil-law partnership (société civile) or to a person referred to in Article 91(1), point 2.

However, contributions, allocations and insurance premiums paid in the interest of the persons referred to in Article 95(6) remain deductible

a) in so far as those contributions, allocations and insurance premiums are calculated in accordance with the funding plan referred to in Article 18 of the Law of 8 June 1999 on supplementary pension schemes, and

b) provided that the supplementary pension scheme extends to all employees or to a category of them under identical contribution or benefit conditions, and

c) provided that the remuneration granted to those persons in respect of day-to-day management is not taken into account for the financing of an approved supplementary pension scheme set up to receive the contributions of self-employed persons.

However, a supplementary pension scheme may not be set up for a group of employees, or a category of them, consisting exclusively of an operator, a co-entrepreneur of a collective commercial undertaking, partners of a civil-law partnership (société civile) and the persons referred to in Article 91(1), point 2;

9. retirement, invalidity and survivors’ pensions paid after 1 January 2000 outside the scope of the Law of 8 June 1999 on supplementary pension schemes.

Nevertheless, deductibility is granted for the part of the capital or annuity that relates to the period before 1 January 2000;

10. retirement, invalidity and survivors’ pensions in so far as the expense results from insufficient provisions in the balance sheet of the undertaking. However, this provision applies only where the insufficiency of provisions is due to the non-deductibility of part of the allocations made by the undertaking;

11. contributions, allocations and insurance premiums paid to a supplementary pension scheme that are not listed in Article 46.

Original (French)

Ne constituent pas des dépenses d’exploitation:

1. l’intérêt attribué à l’actif net investi;

2. les loyers, fermages ou redevances qui, en raison de biens affectés à l’entreprise, sont alloués à l’exploitant ou à des proches parents imposables collectivement avec lui;

3. la rémunération allouée à l’exploitant ou au conjoint imposable collectivement avec lui;

4. les primes d’une assurance sur la vie contractée au profit de l’exploitant ou de ses ayants cause ou de ses proches parents sans préjudice toutefois des dispositions prévues au numéro 4 de l’article 46;

5. les dotations à des réserves de propre assureur;

6. les dotations à des fonds de prévision pour égalisation des dépenses d’exploitation;

7. les dépenses énumérées à l’article 12 de la présente loi;

Toutefois, un régime complémentaire de pension ne peut être mis en place pour un ensemble des membres du personnel salarié ou à une catégorie de ceux-ci constitué exclusivement par un exploitant, un co-exploitant d’une entreprise commerciale collective, des associés d’une société civile, ainsi que les personnes visées à l’article 91, alinéa 1er, n°2;

Néanmoins, la déductibilité est accordée pour la partie du capital ou de la rente qui se rapporte à la période qui précède le 1er janvier 2000;

10. les pensions de retraite, d’invalidité et de survie dans la mesure où la dépense résulte d’une insuffisance de provisions au bilan de l’entreprise. Cette disposition ne s’applique toutefois que lorsque l’insuffisance de provisions est due à la non-déductibilité d’une partie des dotations qui ont été effectuées par l’entreprise;

Article 49Timing of taxes as operating expenses

Amended by: Law of 6 December 1990

Art. 49(1)#

Without prejudice to the provisions of paragraph 2, taxes constituting operating expenses are to be taken into account for the financial year to which they relate economically.

Art. 49(2)#

Supplements to such taxes following the revision of tax assessments made previously are to be taken into account for the financial year in progress at the time when the operator ought reasonably to become aware that those supplements will be charged to the operator. However, the supplements are to be taken into account for the financial year to which they relate economically where the operator so requests or where there was intent to defraud on the operator’s part.

Art. 49(3)#

A Grand-Ducal regulation will lay down the detailed rules for the application of this Article and may, in particular, lay down rules for the approximate determination of municipal business tax on the basis of the business profit where that tax is charged to the financial year to which it relates economically.

Article 50Operator’s travel and subsistence expenses

Amended by: Law of 6 December 1990

Art. 50(1)#

As regards the operator’s travel and subsistence expenses incurred exclusively by reason of the undertaking, a Grand-Ducal regulation may set limits within which the operator is exempt from providing detailed evidence of the actual expenses and within which there is no need to add back the household expenses saved.

Art. 50(2)#

The same regulation may provide, where those limits are exceeded, for flat-rate amounts for the elimination of the household expenses saved and for a minimum number of travel days required for such elimination.

Article 50terPartial exemption for income from qualifying IP assets

Amended by: Law of 17 April 2018

Art. 50ter(1)#

For the purposes of this Article:

1. “qualifying IP asset” means an intellectual property asset other than a marketing-related intellectual property asset, provided that it was constituted, developed or improved after 31 December 2007 in the course of the research and development activities referred to in point 3 of this paragraph and that it is one of the following assets:

a) an invention protected, under national or international provisions in force, by: (i) a patent; (ii) a utility model; (iii) a supplementary protection certificate granted for a patent on a medicinal product or for a plant protection product; (iv) an extension of a supplementary protection certificate for a paediatric medicinal product; (v) a plant variety certificate; (vi) an orphan drug designation; or

b) software protected by copyright under national or international provisions in force;

2. “acquisition costs” means the following expenditure directly connected with the constitution, development or improvement of a qualifying IP asset, provided that the expenditure relating to the intellectual property referred to in the points below is reflected in the value of the qualifying IP asset:

a) expenditure incurred for the acquisition of an intellectual property asset;

b) expenditure incurred for the acquisition of a right to carry out research;

and

c) expenditure incurred as consideration for the use of, or the grant of the right to use, an intellectual property asset;

3. “qualifying expenditure” means the sum of the expenditure necessary for research and development activities directly connected with the constitution, development or improvement of a qualifying IP asset, including expenditure incurred by a permanent establishment but attributed to the taxpayer under a double taxation convention, provided that that permanent establishment is situated in a State party to the Agreement on the European Economic Area (EEA) other than Luxembourg, is operational at the time the qualifying income is realised and does not benefit from a similar intellectual property tax regime in the State in which it is situated, which is incurred by the taxpayer for research and development activities carried out by the taxpayer itself, or is paid by the taxpayer:

a) to an entity that is not a related enterprise; or

b) to a related enterprise, provided that that enterprise pays the remuneration received over, without any mark-up, to an entity that is not a related enterprise.

The following do not constitute qualifying expenditure:

i) acquisition costs;

ii) interest and financing costs;

iii) real estate costs;

iv) other costs that are not directly linked to a qualifying IP asset.

By way of exception to point (iv) above, expenditure incurred in the course of general or speculative research and development, or research and development expenditure that has not led directly to the creation of a qualifying IP asset, may nevertheless be taken into account as qualifying expenditure, provided that the taxpayer establishes a link between that expenditure and a specific qualifying IP asset or justifies, on the basis of supporting documents, a proportional allocation of such expenditure among the qualifying IP assets, both in principle and as to amount.

Qualifying expenditure is to be taken into account at the time it is incurred, irrespective of its accounting or tax treatment;

4. “overall expenditure” means the sum of:

a) qualifying expenditure;

b) acquisition costs; and

c) expenditure necessary for research and development activities directly connected with the constitution, development or improvement of a qualifying IP asset that is paid to a related enterprise.

Overall expenditure is to be taken into account at the time it is incurred, irrespective of its accounting or tax treatment;

5. “related enterprises” means all the enterprises referred to in Article 56;

6. “arm’s length principle” means the principle referred to in Articles 56 and 56bis;

7. “qualifying income” means the following income:

a) income received as consideration for the use of, or the grant of the right to use, a qualifying IP asset;

b) income directly connected with the qualifying IP asset that is embedded in the sale price of a product or service. The principles set out in Article 56bis apply in order to separate income not directly connected with the qualifying IP asset from income generated by the qualifying IP asset;

c) income arising on the disposal of a qualifying IP asset;

d) compensation obtained in judicial or arbitration proceedings concerning a qualifying IP asset;

8. “net qualifying income” means qualifying income less overall expenditure and less expenditure indirectly connected with a qualifying IP asset, incurred during the financial year;

9. “cost of the qualifying IP asset” means the value defined in Article 26, whether the expenditure was capitalised or deducted from taxable profit during the financial years to which it relates;

10. “product or service or family of products or services arising from qualifying IP assets” means the smallest grouping of qualifying IP assets, constituting a common source of income, for which qualifying expenditure and overall expenditure can reasonably be identified and tracked.

b) un logiciel protégé par un droit d’auteur en vertu de dispositions nationales ou internationales en vigueur;

a) les dépenses occasionnées pour l’acquisition d’un actif de propriété intellectuelle;

b) les dépenses occasionnées par l’acquisition d’un droit permettant de faire la recherche;

et

c) les dépenses faites à titre de rémunération pour l’usage ou la concession de l’usage d’un actif de propriété intellectuelle;

i) les coûts d’acquisition;

ii) les intérêts et frais de financement;

iii) les coûts immobiliers;

Les dépenses éligibles sont à prendre en compte au moment où elles sont encourues, quel que soit leur traitement comptable ou fiscal;

4. « dépenses totales », la somme:

a) des dépenses éligibles;

Les dépenses totales sont à prendre en compte au moment où elles sont encourues, quel que soit leur traitement comptable ou fiscal;

5. « entreprises liées », toutes les entreprises visées à l’article 56;

6. « principe de pleine concurrence », le principe visé aux articles 56 et 56bis;

7. « revenus éligibles », les revenus suivants:

a) les revenus perçus à titre de rémunération pour l’usage ou la concession de l’usage d’un actif éligible;

b) les revenus ayant un rapport direct avec l’actif éligible qui sont incorporés dans le prix de vente d’un produit ou d’un service. Les principes indiqués à l’article 56bis sont d’application pour isoler les revenus non directement liés à l’actif éligible de ceux générés par l’actif éligible;

c) le revenu dégagé lors de la cession d’un actif éligible;

d) les indemnités obtenues dans le cadre d’une procédure judiciaire ou d’un arbitrage portant sur un actif éligible;

8. « revenus nets éligibles », les revenus éligibles diminués des dépenses totales ainsi que des dépenses en rapport indirect avec un actif éligible encourues au cours de l’exercice d’exploitation;

9. « prix de revient de l’actif éligible », la valeur définie à l’article 26, que les dépenses aient été activées ou déduites du bénéfice imposable au cours des exercices d’exploitation auxquels elles se rapportent;

Art. 50ter(2)#

The adjusted and offset net qualifying income which, after application of the ratio referred to in paragraph 6, may benefit from the partial exemption referred to in paragraph 7 must be determined per qualifying IP asset in accordance with the rules of this paragraph and of paragraphs 3 to 5 below. However, in the cases referred to in paragraph 9, point 2, the adjusted and offset net qualifying income must be determined per product or service or family of products or services arising from qualifying IP assets. In this context, references to the qualifying IP asset are to be understood, as the case may be, as references to the products or services or families of products or services arising from qualifying IP assets.

Where the expenditure constituting the cost of the qualifying IP asset is deducted from the taxable profit of the financial years in which it was incurred, the net qualifying income must be increased by the sum of the negative net qualifying income generated by the qualifying IP asset in previous financial years, in so far as that negative net qualifying income has not yet been offset against positive net qualifying income generated by the same asset. For the purposes of the preceding sentence, the portion of the expenditure constituting the cost that is incurred during a financial year in which the qualifying IP asset generates no income constitutes negative net qualifying income in respect of that asset. The adjusted net qualifying income may benefit from the partial exemption where its amount is positive, subject to the application of paragraphs 3 and 4. Where the adjusted net qualifying income is negative, no exemption may be granted for the financial year concerned.

Where the expenditure constituting the cost of the qualifying IP asset has been capitalised, the net qualifying income must be increased by the annual depreciation charge relating to the qualifying IP asset deducted during the same financial year and by the sum of the negative net qualifying income generated by the qualifying IP asset in previous financial years, in so far as that negative net qualifying income has not yet been offset against positive net qualifying income generated by the same asset. For the purposes of the preceding sentence, the cost of the qualifying IP asset is to be regarded as negative net qualifying income in respect of the qualifying IP asset, and the net qualifying income of previous financial years is to be determined by increasing that income by the annual depreciation charge relating to the qualifying IP asset deducted during those financial years. The adjusted net qualifying income may benefit from the partial exemption where its amount is positive, subject to the application of paragraphs 3 and 4. Where the adjusted net qualifying income is negative, no exemption may be granted for the financial year concerned.

Where the qualifying IP asset has been written down to its lower going-concern value, the amount deducted in respect of a financial year is to be treated as an annual depreciation charge for the purpose of determining the adjusted net qualifying income.

Where, in connection with the transfer of the registered office or central administration of a collective entity or the transfer of a foreign permanent establishment, the right to tax a qualifying IP asset and the income relating to it is allocated to Luxembourg, the sum of the negative net qualifying income generated by that qualifying IP asset in previous financial years that has not yet been offset against positive net qualifying income must be determined as if no transfer had taken place. However, where the qualifying IP asset is valued at its going-concern value at the time when the right to tax is allocated to Luxembourg, the positive difference between the going-concern value and the remaining value of the cost at the time of the transfer is also to be regarded as negative net income for the purpose of determining the sum of the negative net income generated by the qualifying IP asset.

Where a qualifying IP asset has been a qualifying asset within the meaning of Article 50bis, the negative net income determined in accordance with that Article constitutes the negative net qualifying income generated by that asset that is to be taken into account in determining the sum of the negative net qualifying income generated by that asset during that period. The negative net qualifying income generated by the qualifying IP asset after that period is to be determined in the same way as for any other qualifying IP asset whose cost expenditure has been capitalised. However, the remaining value of the cost of the qualifying IP asset at the opening date of the first financial year falling within that period is also regarded as negative net qualifying income in respect of the qualifying IP asset.

Note. “That period” has no antecedent in the official text; it evidently means the period during which the asset was a qualifying asset under Article 50bis (that regime applied until 30 June 2021 under its transitional rules).

Art. 50ter(3)#

However, where the taxpayer has more than one qualifying IP asset, each of which generates qualifying income, the net qualifying income adjusted by applying paragraph 2 separately to each of them must be offset in so far as one of the qualifying IP assets generates negative adjusted net qualifying income while another generates positive net qualifying income. The amount offset per qualifying IP asset may not exceed the positive adjusted net qualifying income realised by that asset in respect of a given financial year. The amount offset increases the sum of the negative net income of the qualifying IP asset that generated the negative adjusted net qualifying income. The order of offsetting is determined by the order in which the qualifying IP assets were constituted, developed or improved. The adjusted and offset net qualifying income may benefit from the partial exemption in accordance with the first sentence of paragraph 2 where its amount is positive. Where the adjusted and offset net qualifying income is negative, no exemption may be granted for the financial year concerned.

Art. 50ter(4)#

Where a qualifying IP asset no longer generates qualifying income and the negative adjusted net qualifying income determined in accordance with paragraph 2 for the last financial year in which the qualifying IP asset generated qualifying income has not yet been offset against positive adjusted net qualifying income, any positive adjusted net qualifying income must be offset against that negative adjusted net qualifying income in accordance with paragraph 3.

Art. 50ter(5)#

Where a qualifying IP asset has been transferred in a tax-neutral transfer of an undertaking or of an autonomous part of an undertaking falling within Articles 59(3), 59bis(1) and (5), 170(2) and (3), 170bis(1) and (2), 170ter(1) and (2) and 172(4) and (5), the adjusted and offset net qualifying income that may benefit from the partial exemption in accordance with the first sentence of paragraph 2 must be determined as if no transfer had taken place.

Art. 50ter(6)#

The adjusted and offset net qualifying income determined in accordance with paragraphs 2 to 5 is multiplied by a ratio of which: – the numerator is equal to the sum of the qualifying expenditure incurred by the taxpayer during the current financial year and previous financial years relating either to the qualifying IP asset or to the product or service or family of products or services arising from qualifying IP assets. That sum is then increased by up to 30% of its amount, provided that the increased amount of qualifying expenditure does not exceed the sum of the overall expenditure incurred by the taxpayer during the current financial year and previous financial years;

– the denominator is equal to the sum of the overall expenditure incurred by the taxpayer during the current financial year and previous financial years relating either to the qualifying IP asset or to the product or service or family of products or services arising from qualifying IP assets.

Original (French)

Le revenu net éligible ajusté et compensé déterminé conformément aux alinéas 2 à 5, est multiplié par un rapport dont : – le numérateur est égal à la somme des dépenses éligibles encourues par le contribuable au cours de l’exercice courant et des exercices précédents, relatives soit à l’actif éligible, soit au produit ou service ou famille de produits ou services émanant d’actifs éligibles. Ensuite, cette somme est augmentée jusqu’à concurrence de 30% de son montant pour autant que le montant majoré des dépenses éligibles n’excède pas la somme des dépenses totales encourues par le contribuable au cours de l’exercice courant et des exercices précédents ;

Art. 50ter(7)#

The adjusted and offset net qualifying income determined in accordance with paragraphs 2 to 5, as it results after application of the ratio referred to in paragraph 6, is exempt to the extent of 80%.

Art. 50ter(8)#

In the case of qualifying IP assets subject to registration procedures, the partial exemption provided for in paragraph 7 is granted from the date on which the application for registration is filed. If the application for registration is withdrawn or refused, the exemption granted during previous financial years must be cancelled and the exempt amount must be added back to the result of the financial year in which the application is withdrawn or the refusal is notified to the taxpayer.

Art. 50ter(9)#

The partial exemption provided for in paragraph 7 is subject to the following additional conditions:

1. The taxpayer must track the qualifying expenditure, the overall expenditure and the qualifying income relating to each qualifying IP asset, so as to be able to establish the link between that income and that expenditure.

2. Where the taxpayer has a number of qualifying IP assets and demonstrates that its research and development activity is so complex that tracking per qualifying IP asset is not feasible, it may track per product or service or family of products or services arising from qualifying IP assets. It must establish, on the basis of objective and verifiable information, that identifying and tracking per product or service or family of products or services arising from qualifying IP assets is appropriate and is consistent with the organisation of the research and development activities. In that case, qualifying expenditure comprises all the qualifying expenditure incurred in developing all the qualifying IP assets that contributed to the product or service or family of products or services arising from qualifying IP assets, and overall expenditure comprises all the overall expenditure incurred in developing all the qualifying IP assets that contributed to the product or service or family of products or services arising from qualifying IP assets. All the qualifying expenditure and overall expenditure in respect of the product or service or family of products or services arising from qualifying IP assets, and the qualifying income directly relating to them, must be identified and tracked consistently and continuously. The exemption established on the basis of this method ends within a reasonable period determined on the basis of the average useful life of all the qualifying IP assets that contributed to the product or service or family of products or services arising from qualifying IP assets.

3. Overall expenditure and qualifying income must be determined in accordance with the arm’s length principle.

4. The taxpayer must keep at the disposal of the Direct Tax Administration (ACD) supporting documents establishing compliance with the requirements of this paragraph.

Art. 50ter(10)#

Any taxpayer that has a permanent establishment carrying on a research and development activity in a State party to the EEA Agreement other than Luxembourg must declare the existence of that establishment and the State in which it is situated in its annual income tax return.

Art. 50ter(11)#

Where the provisions of Article 50bis, applicable until 30 June 2021, and those of this Article would apply concurrently to income and income components received as consideration for the use of, or the grant of the right to use, qualifying intellectual property rights within the meaning of Article 50bis, including the capital gain arising on the disposal of qualifying intellectual property rights within the meaning of Article 50bis, it is for the taxpayer to choose whether to apply the provisions of Article 50bis or those of this Article. However, the choice must be exercised in such a way that, for a given financial year, only one of those provisions applies, to the exclusion of the other, for all qualifying IP assets, both for the application of Article 50bis and for that of Article 50ter. The choice made in the income tax return is irrevocable from the tax year in which it is exercised.

Article 53Roll-over of gains on involuntary loss of assets

Art. 53(1)#

Where, in the course of business, an asset of the net invested assets is lost as a result of force majeure or is disposed of either by an act of public authority or in order to avoid such an act, and the right to compensation relating exclusively to the value of the asset lost or disposed of exceeds the net book value of that asset at the time of its loss or disposal, the operator may transfer the capital gain constituted by that excess to a replacement asset acquired or produced during the same financial year, provided that

1. the replacement asset corresponds approximately, from both an economic and a technical point of view, to the asset lost or disposed of;

2. the operator keeps proper commercial accounts throughout the financial year.

1. le bien de remplacement réponde approximativement, tant du point de vue économique que du point de vue technique, au bien disparu ou aliéné;

2. l’exploitant dispose d’une comptabilité commerciale régulière pendant tout l’exercice d’exploitation.

Art. 53(2)#

If the operator does not acquire or produce the replacement asset during the financial year in which the loss or disposal occurred, the capital gain referred to in the preceding paragraph may be exempted (immunised), provided that

1. the operator intends to replace the asset lost or disposed of with an asset meeting the requirements specified in paragraph 1, point 1;

2. the operator keeps proper commercial accounts from the beginning of the financial year in which the loss or disposal occurred;

3. the capital gain is entered, and kept intact, in a special balance sheet item from the end of the financial year in which the loss or disposal occurred.

1. l’exploitant envisage de remplacer le bien disparu ou aliéné par un bien répondant aux exigences spécifiées à l’alinéa 1er, N° 1;

2. l’exploitant dispose d’une comptabilité commerciale régulière à partir du début de l’exercice d’exploitation au cours duquel a eu lieu la disparition ou l’aliénation;

Art. 53(3)#

The exemption referred to in the preceding paragraph ends

1. where any of the aforementioned conditions ceases to be met;

2. where the operator acquires or produces a replacement asset meeting the requirements specified in paragraph 1, point 1;

3. failing replacement, at the end of the second financial year following that of the loss or disposal, a period which the tax administration may extend on a duly reasoned application by the operator;

4. on the disposal as a whole and for consideration, or on the permanent cessation, of the undertaking or of the autonomous part of an undertaking concerned.

Original (French)

L’immunisation dont question à l’alinéa précédent prend fin

1. lorsqu’une quelconque des conditions prévisées cesse d’être remplie;

2. lorsque l’exploitant acquiert ou constitue un bien de remplacement répondant aux exigences spécifiées à l’alinéa 1er, N° 1;

3. à défaut de remplacement à la fin du deuxième exercice d’exploitation suivant celui de la disparition ou de l’aliénation, ce délai pouvant être prorogé par l’administration des contributions sur demande dûment motivée de l’exploitant;

Art. 53(4)#

The capital gain that ceases to be exempted must be included in the result of the current financial year. However, in the case referred to in point 2 of the preceding paragraph, it may be transferred to the replacement asset.

Art. 53(5)#

The capital gain transferred to the replacement asset reduces the acquisition price or cost of production of that asset by a corresponding amount.

Art. 53(6)#

Where, in the course of business, an asset of the net invested assets is damaged as a result of force majeure and the right to compensation relating exclusively to the damage exceeds the extraordinary depreciation or the write-down following the damage, the preceding provisions apply, the repair being treated as the acquisition or production of a replacement asset.

Article 54Roll-over of gains on reinvestment of disposal proceeds

Amended by: Law of 27 December 1973; Law of 31 July 1982; Law of 6 December 1990; Law of 20 December 1991; Law of 21 December 2001; Law of 19 December 2008; Law of 26 May 2014; Law of 17 April 2018

Art. 54(1)#

Where, in the course of business, a fixed asset consisting of a building or of a non-depreciable asset is disposed of, the capital gain realised may be transferred to the fixed assets acquired or produced by the undertaking by way of reinvestment of the disposal price. However, qualifying IP assets within the meaning of Article 50ter may not constitute reinvestment fixed assets. The fixed assets acquired or produced must form part of the net invested assets of a permanent establishment situated in the Grand Duchy of Luxembourg.

Where the disposal price is reinvested only in part, the capital gain may be transferred in proportion to the fraction reinvested. The operator must keep proper accounts throughout the financial year in which the assets are realised.

Art. 54(1a)#

Early reinvestment charged to a financial year preceding that in which the capital gain was realised is not permitted. However, where the acquisition or construction of a building before the disposal of the building that it is intended to replace proves indispensable for the continuation of the undertaking, early reinvestment may exceptionally be made, provided that:

1. the operator leaves the old building and moves into the new building as soon as it is completed, and that

2. the sale of the old building takes place within a period of 24 months starting on the date of completion of the new building.

Art. 54(2)#

For the purposes of paragraph 1, the assets disposed of are regarded as fixed assets only if they entered the net invested assets at least 5 years before the disposal.

Art. 54(3)#

The capital gain not yet transferred at the end of the financial year in which the disposal took place may be exempted (immunised), provided that

1. the operator intends to reinvest in fixed assets in the undertaking an amount equal to the disposal price of the asset disposed of or to the fraction of that price not yet reinvested;

2. the operator keeps proper commercial accounts from the beginning of the financial year in which the disposal took place;

3. the capital gain not yet transferred is entered, and kept intact, in a special balance sheet item from the end of the financial year in which the disposal took place.

1. l’exploitant envisage de réinvestir en immobilisations dans son entreprise une somme égale au prix de cession de l’élément aliéné ou à la fraction non encore réinvestie de ce prix;

2. l’exploitant dispose d’une comptabilité commerciale régulière à partir du début de l’exercice d’exploitation au cours duquel a eu lieu l’aliénation;

Art. 54(4)#

The exemption referred to in the preceding paragraph ends

1. where any of the aforementioned conditions ceases to be met;

2. where the operator reinvests, in accordance with the arrangements laid down in paragraph 1 above, an amount equal to the disposal price of the asset disposed of or the fraction of that price not yet reinvested;

3. failing reinvestment, at the end of the second financial year following that of the disposal, a period which the tax administration may extend on a reasoned application by the operator;

4. on the disposal as a whole and for consideration, or on the permanent cessation, of the undertaking.

Original (French)

L’immunisation dont question à l’alinéa précédent prend fin

1. lorsqu’une quelconque des conditions prévisées cesse d’être remplie;

2. lorsque l’exploitant réinvestit, selon les modalités prévues au premier alinéa ci-dessus, une somme égale au prix de cession de l’élément aliéné ou de la fraction non encore réinvestie de ce prix;

3. à défaut de réinvestissement, à la fin du deuxième exercice d’exploitation suivant celui de l’aliénation, ce délai pouvant être prorogé par l’administration des contributions sur demande motivée de l’exploitant;

Art. 54(5)#

The capital gain that ceases to be exempted must be included in the result of the current financial year. However, in the case referred to in point 2 of the preceding paragraph, it may be transferred to the fixed assets acquired by way of reinvestment.

Art. 54(6)#

The capital gain transferred to the fixed asset acquired or produced by way of reinvestment reduces the acquisition price or cost of production of that fixed asset by a corresponding amount. Where the fixed asset acquired by way of reinvestment is a participation in a collective entity, the reduction in the acquisition price must be recorded in the balance sheet by entering a liability item equal to the capital gain transferred; the capital gain so transferred remains subject to tax notwithstanding the application of Article 166.

Art. 54(6a)#

By way of derogation from paragraph 1, the fixed assets acquired or produced may form part of the net assets of a permanent establishment situated in another State party to the Agreement on the European Economic Area (EEA), provided that the operator, being a resident of a State party to the Agreement on the European Economic Area (EEA), clearly identifies them and complies with the following rules. The reduction in the acquisition price must be recorded in the balance sheet of the undertaking by entering a liability item equal to the capital gain transferred. Where the reinvestment asset is a depreciable asset, the liability item must be added back to the results of the undertaking in instalments determined on the basis of the depreciation rate applicable to the reinvestment asset under Articles 29 to 34. Where, under the valuation rules in Article 23, the reinvestment asset is valued at its lower going-concern value, the liability item must be added back to the result of the financial year concerned up to the amount that would not be deductible if the reinvestment asset formed part of the net assets of the Luxembourg permanent establishment. Where the reinvestment asset is disposed of or withdrawn, the amount shown in the liability item at the time of the disposal or withdrawal must be added back to the result of the financial year in which the disposal or withdrawal takes place. The same applies where the operator fails to report what has become of the reinvestment fixed asset during a given financial year.

Art. 54(7)#

Where the capital gains attaching to assets referred to in paragraph 1 above are realised under the conditions specified in Article 53(1), the operator benefits from the provisions of this Article if the operator waives the application of Article 53.

Article 54bisRoll-over of currency conversion gains on equity

Amended by: Law of 23 July 1983; Law of 16 July 1987; Law of 6 December 1990; Law of 23 December 2016

Art. 54bis(1)#

On application, any undertaking may transfer to an asset invested in a currency of the contributed capital the capital gains realised on the conversion into euro of certain assets invested in the currency or currencies of the contributed capital and deemed to represent its equity, in accordance with provisions to be laid down by Grand-Ducal regulation. The capital gains thus exempted reduce the acquisition price or cost of production of the asset to which they have been transferred by a corresponding amount.

Art. 54bis(2)#

The reduction in the acquisition price or cost of production of the asset referred to in paragraph 1 is recorded in the balance sheet by entering a liability item “conversion gain” equal to the capital gain transferred.

Art. 54bis(3)#

The “conversion gain” item is formed by the algebraic sum of the exchange differences arising from 1 January 2016 that may be transferred to the foreign currency assets under paragraph 1. Any excess of an exchange loss must be reported off balance sheet; it will be taken into account in determining a capital gain realised subsequently.

Art. 54bis(4)#

Where the algebraic sum of the exchange differences generated by fluctuations in the currency in which the equity is invested has given rise to a reduction of the taxable profits resulting from balance sheets closed between the incorporation of the company and 31 December 2015, the provision for conversion gain must be reduced accordingly.

Art. 54bis(5)#

By way of derogation from paragraph 3 above, the “conversion gain” item is formed by the algebraic sum of the exchange differences arising from 1 January 1982 in the case of undertakings that were admitted to the benefit of Article 54bis as introduced by the Law of 23 July 1983. For those undertakings that were admitted to the benefit of Article 54bis from 1 January 1986, the “conversion gain” item is formed by the algebraic sum of the exchange differences arising from that date.

Art. 54bis(6)#

The amount of the cumulative conversion gains on the liabilities side of the balance sheet may in no case exceed the algebraic sum of the annual exchange differences resulting from the successive application to the assets referred to in paragraph 1 above of the rate corresponding to the change in the exchange rate of the currency of the contributed capital recorded between the beginning and the close of the financial year.

Art. 54bis(7)#

The conversion gain must be included in the result of the current financial year in the event of the disposal, cessation or liquidation of the undertaking, without prejudice to Articles 55ter and 169bis.

Art. 54bis(8)#

The application of Article 54bis is subject to a written application to be filed with the Direct Tax Administration (ACD) no later than three months before the end of the first financial year from which its application is requested. However, the application must be filed before the end of the first financial year from which the application of Article 54bis is requested where the undertaking becomes subject to income tax during that financial year. By way of derogation from the preceding sentences, the application must be filed before 1 July 2017 for undertakings to which Article 54bis applies from the 2016 tax year.

21. Determining the disposal or cessation profit21.

Article 55Calculation of the disposal or cessation profit

Art. 55(1)#

The disposal or cessation profit referred to in Article 15 consists of the excess of the present value of the disposal price, first increased by the estimated realisation value of the invested assets which, at the time of the disposal or cessation, are transferred to the operator’s private assets, over the sum of the disposal or cessation costs and the value of the net invested assets at that time. The latter value is that established for determining the current business profit in accordance with the rules governing valuation at the end of the financial year.

Art. 55(2)#

The disposal or cessation profit must be increased by the capital gains which, at the time of the disposal or cessation, are exempted under Article 53.

Art. 55(3)#

Where the disposal price is payable wholly or partly in the form of periodic payments of an aleatory nature, the value of those payments is not included in the disposal price and there can be no disposal or cessation loss, except to the extent that there would be a loss if the present value of the aleatory periodic payments were taken into account.

Art. 55(4)#

The disposal or cessation profit must be offset, up to its amount, against a current operating loss relating to the same undertaking and the same tax year.

Art. 55(5)#

Where the taxpayer acquired the undertaking, or the part or fraction of the undertaking, in the three years preceding the realisation and as a result paid inheritance duty, the tax relating to the disposal profit is reduced on application. The tax reduction may not exceed the amount of the reduction in inheritance duty that the taxpayer would have obtained if the tax relating to the disposal profit had been taken into account as a liability of the estate. The tax relating to the disposal profit is equal to the reduction in tax that would result from omitting that profit.

Article 55bisExemption of gains on immovable property in disposal profit

Amended by: Law of 15 July 1980

Art. 55bis(1)#

Where the disposal or cessation profit referred to in Article 15 includes a capital gain realised on immovable property, the capital gain may, on application, be exempted (immunised) within the limits specified in the following paragraphs.

Art. 55bis(2)#

The amount to be exempted is equal to the excess of the revalued book value over the book value.

Art. 55bis(3)#

The revalued book value is determined by applying to the acquisition price or cost of production, to the depreciation and to the write-downs the coefficients provided for in Article 102(6) that correspond to the years in which the financial years ended during which the acquisition or production of the immovable property, the depreciation and the write-downs took place.

Art. 55bis(4)#

Where the immovable property has been transferred from private assets to the net invested assets, the value accounted for on the date of contribution constitutes the initial acquisition price of the immovable property. In that case, the date of contribution is regarded as the date of acquisition of the immovable property.

Art. 55bis(5)#

Where the immovable property was acquired on a transfer free of charge or on any other transfer not necessarily entailing the realisation of the hidden reserves of an undertaking, of an autonomous part of an undertaking or of a fraction of such an undertaking, and none of those reserves has been realised, paragraphs 2 to 4 apply to the immovable property as they would have applied in the hands of the former operator had there been no transfer.

Article 55terExemption of conversion gains in disposal profit

Amended by: Law of 23 July 1983; Law of 16 July 1987

Art. 55ter(1)#

Where the disposal or cessation profit of an undertaking includes a conversion gain within the meaning of Article 54bis, that gain must be exempted within the limits specified in the following paragraphs.

Art. 55ter(2)#

The amount to be exempted is equal to the excess of the revalued book value of the undertaking’s equity that served as the basis for calculating the conversion gain over its book value. That amount may not, however, exceed the conversion gain entered on the liabilities side of the balance sheet.

Art. 55ter(3)#

The revalued book value of the equity that served as the basis for calculating the conversion gain is determined by applying to the contributions and additional contributions the coefficients provided for in Article 102(6) that correspond to the years in which the share capital or endowment capital was paid up. Likewise, retained profits are revalued by applying the coefficients referred to above that correspond to the year in which the profits were realised. For this purpose, distributions of profit and offsets of any losses are treated as having been made out of the most recently realised profits.

Art. 55ter(4)#

By way of derogation from paragraph 3 above, contributions and retained profits made before 1982 must be revalued using the coefficient corresponding to the year 1982.
