Article 164terControlled foreign company rules

Amended by: Law of 21 December 2018; Law of 20 December 2019

Art. 164ter(1)#

For the purposes of this Law, “controlled foreign company” means a collective entity or a permanent establishment whose income is not taxable or is exempt in Luxembourg, where the following conditions are all met:

1. in the case of a collective entity, the taxpayer, by itself or together with its associated enterprises,

a) either holds a direct or indirect participation of more than 50 per cent of the voting rights in that collective entity,

b) or owns, directly or indirectly, more than 50 per cent of the capital of that collective entity,

c) or is entitled to receive more than 50 per cent of the profits of that collective entity;

2. the actual tax on the income earned by the collective entity or permanent establishment within the meaning of paragraph 1, assessed and paid by it, is lower than the difference between, on the one hand, the corporate income tax (impôt sur le revenu des collectivités) that would have been borne by the collective entity or permanent establishment within the meaning of paragraph 1 under the provisions of this Law and, on the other hand, the actual tax on the income earned by the collective entity or permanent establishment within the meaning of paragraph 1, assessed and paid by it. For the purposes of point 2, a permanent establishment of a collective entity within the meaning of paragraph 1 that is not taxable or is exempt from tax in the territory in which it is situated is not taken into account.

For the purposes of point 2, “actual tax” means the tax corresponding to corporate income tax.

For the purposes of this Article, “taxpayer” means an entity covered by Article 159 or a Luxembourg permanent establishment of an entity covered by Article 160(1).

This Article does not cover a controlled foreign company which

a) has accounting profits (profit according to the commercial balance sheet) of no more than 750,000 euros; or

b) has accounting profits amounting to no more than 10 per cent of its operating costs for the financial year. The operating costs may not include the cost of goods sold outside the State in which the collective entity within the meaning of paragraph 1 is resident for tax purposes, or in which the permanent establishment within the meaning of paragraph 1 is situated for tax purposes, nor payments to associated enterprises.

c) soit est en droit de recevoir plus de 50 pour cent des bénéfices de cet organisme à caractère collectif ;

Art. 164ter(2)#

For the purposes of this Article, “associated enterprise” means:

a) an entity within the meaning of Article 159, 160 or 175 in which the taxpayer holds, directly or indirectly, a participation of 25 per cent or more of the voting rights or capital, or from which it is entitled to receive 25 per cent or more of the profits;

b) a natural person or an entity within the meaning of Article 159, 160 or 175 that holds, directly or indirectly, a participation of 25 per cent or more of the voting rights or capital of the taxpayer, or that is entitled to receive 25 per cent or more of the profits of that taxpayer.

If a natural person or an entity within the meaning of Article 159, 160 or 175 holds, directly or indirectly, a participation of 25 per cent or more in terms of voting rights or capital in a taxpayer and in one or more entities, all the entities concerned, including the taxpayer, are also regarded as associated enterprises. As regards indirect participations held by the taxpayer, whether the criteria set out in this paragraph are met is determined by multiplying the holding percentages through the successive tiers.

a) un organisme au sens des articles 159, 160 ou 175, dans lequel le contribuable détient, directement ou indirectement, une participation de 25 pour cent ou plus des droits de vote ou du capital, ou dont il est en droit de recevoir 25 pour cent ou plus des bénéfices ;

Art. 164ter(3)#

The net income of the controlled foreign company for a given financial year that is not distributed to the taxpayer in the course of that same financial year and that arises from non-genuine arrangements which have been put in place for the essential purpose of obtaining a tax advantage must be included in the taxpayer’s net income.

For the purposes of this paragraph, an arrangement or a series of arrangements is regarded as non-genuine where the controlled foreign company would not own the assets which generate all or part of its income, or would not have undertaken the risks associated with them, if it were not controlled by a taxpayer where the significant people functions relevant to those assets and risks are carried out and are instrumental in generating the controlled foreign company’s income.

Art. 164ter(4)#

The net income of the controlled foreign company to be included in the taxpayer’s net income is determined in accordance with the following rules:

1. the net income to be included falls within the income category of business profit and is limited to the amounts generated through assets and risks linked to significant people functions carried out by the controlling taxpayer. The attribution of the income of a controlled foreign company is calculated in accordance with the arm’s length principle as provided for in Articles 56 and 56bis. Only operating expenses economically connected with the income to be included are deductible;

2. where the total net income of the controlled foreign company to be included is negative, it is not included in the taxpayer’s net income;

3. where the total net income of the controlled foreign company to be included is positive, the taxpayer may deduct, up to that total, the negative net income which was not deductible under point 2 above in respect of an earlier financial year and which could not be deducted in any later financial year under this paragraph. Only negative net income arising to a controlled foreign company after the entry into force of this Article is deductible;

4. the total net income to be included in the taxpayer’s net income is calculated in proportion to the participation within the meaning of paragraph 1, point 1, held by the taxpayer in the collective entity within the meaning of paragraph 1;

5. the net income to be included is taxed in respect of the financial year in which the financial year of the controlled foreign company ends;

6. where the controlled foreign company is a collective entity that distributes profits to the taxpayer and those distributed profits are included in the taxpayer’s net income, the amounts of net income previously included in the taxpayer’s net income are deducted from them up to the taxable amount of those profit distributions;

7. where the taxpayer disposes of shares in a participation held directly or indirectly in the capital of a collective entity within the meaning of paragraph 1, or of the business carried on by a permanent establishment within the meaning of paragraph 1, and the part of the capital gain relating to that disposal was previously included in the taxpayer’s net income, the amounts of net income previously included in the taxpayer’s net income are deducted from the capital gain on that disposal up to the taxable amount of that capital gain;

8. in accordance with Articles 134bis and 134ter, the portion of tax corresponding to the total net income to be included in the taxpayer’s net income is reduced, in proportion to the taxpayer’s participation, by the tax corresponding to that same total net income that was assessed and paid abroad by the controlled foreign company.

1. les revenus nets à inclure rangent dans la catégorie de revenu du bénéfice commercial et sont limités aux montants générés par les actifs et les risques liés aux fonctions importantes assumées par le contribuable exerçant le contrôle. L'affectation des revenus d'une société étrangère contrôlée est calculée selon le principe de pleine concurrence tel que prévu aux articles 56 et 56bis. Ne sont déductibles que les dépenses d’exploitation qui sont en connexion économique avec les revenus à inclure ;

2. lorsque le total des revenus nets de la société étrangère contrôlée à inclure est négatif, il n’est pas inclus dans le revenu net du contribuable ;

3. lorsque le total des revenus nets de la société étrangère contrôlée à inclure est positif, le contribuable peut déduire jusqu’à concurrence de ce total les revenus nets négatifs qui n’ont pas été déductibles conformément au numéro 2 ci-avant au titre d’un exercice d’exploitation antérieur et qui n’ont pu être déduits pendant aucun exercice d’exploitation postérieur par application des dispositions du présent alinéa. Seuls les revenus nets négatifs réalisés par une société étrangère contrôlée après l’entrée en vigueur du présent article sont déductibles ;

4. le total des revenus nets à inclure dans le revenu net du contribuable est calculé au prorata de la participation au sens de l’alinéa 1er, numéro 1, détenue par le contribuable dans l’organisme à caractère collectif au sens de l’alinéa 1er ;

5. les revenus nets à inclure sont imposés au titre de l’exercice d’exploitation au cours duquel l'exercice d’exploitation de la société étrangère contrôlée se termine ;

6. lorsque la société étrangère contrôlée est un organisme à caractère collectif qui distribue des bénéfices au contribuable et que ces bénéfices distribués sont inclus dans le revenu net du contribuable, les montants des revenus nets précédemment inclus dans les revenus nets du contribuable en sont déduits jusqu’à concurrence du montant imposable de ces distributions de bénéfices ;

7. lorsque le contribuable cède des titres d’une participation détenue de manière directe ou indirecte dans le capital d’un organisme à caractère collectif au sens de l’alinéa 1er ou l'activité exercée par un établissement stable au sens de l’alinéa 1er, et que la part de la plus-value afférente à cette cession a été incluse précédemment dans le revenu net du contribuable, les montants des revenus nets précédemment inclus dans les revenus nets du contribuable sont déduits de la plus-value afférente à cette cession jusqu’à concurrence du montant imposable de cette plus-value ;

Art. 166(2)#

The exemption applies to income from a participation within the meaning of paragraph 1 held directly in the share capital of:

1. a collective entity covered by Article 2 of Council Directive 2011/96/EU of 30 November 2011 on the common system of taxation applicable in the case of parent companies and subsidiaries of different Member States,

2. a fully taxable resident capital company not listed in the annex to paragraph 10,

3. a non-resident capital company fully subject to a tax corresponding to corporate income tax (impôt sur le revenu des collectivités).

Art. 166(2bis)#

By way of derogation from paragraph 2, point 1, the exemption does not apply to income covered by Council Directive 2011/96/EU of 30 November 2011 on the common system of taxation applicable in the case of parent companies and subsidiaries of different Member States which arises from a participation held directly in the share capital of a collective entity that is resident in another Member State of the European Union and covered by Article 2 of Directive 2011/96/EU, in so far as that income is deductible in that Member State, or where it is allocated under an arrangement or a series of arrangements which, having been put in place for the main purpose or one of the main purposes of obtaining a tax advantage that defeats the object or purpose of that Directive, is not genuine having regard to all relevant facts and circumstances. For the purposes of this provision, an arrangement, which may comprise more than one step or part, or a series of arrangements is regarded as not genuine to the extent that the arrangement or series of arrangements is not put in place for valid commercial reasons which reflect economic reality.

Art. 166(3)#

A participation within the meaning of paragraph 2 held through one of the entities referred to in Article 175(1) is treated as held directly, in proportion to the fraction held in the net invested assets of that entity.

Art. 166(4)#

The proceeds of a distribution of assets (produit du partage) within the meaning of Article 101 are treated as income for the purposes of paragraph 1.

Art. 166(5)#

In so far as income is exempt under paragraph 1, the following are not deductible:

1. operating expenses directly economically connected with that income;

2. any write-down of the participation for loss in value following the distribution of that income, in the order of the list above.

1. les dépenses d’exploitation en relation économique directe avec ce revenu;

Art. 166(6)#

However, where a write-down has given rise to the application of paragraph 5 and in so far as the written-down participation must be valued at a higher value than that adopted at the close of the previous financial year, the gain recognised on that valuation is treated as a distribution referred to in paragraph 1; in that case, the amount to be exempted may not exceed the amount of the write-down not previously deducted under paragraph 5.

Art. 166(7)#

Income from a participation received in exchange for another participation under Article 22bis does not fall under this Article where the distributions from the participation given in exchange would not have been exempt had the exchange not taken place.

Distributions made after the end of the fifth tax year following that of the exchange are not covered by this restriction.

Art. 166(8)#

If the condition that the minimum level of participation be held without interruption for twelve months is not met, the exemption is, where applicable, cancelled by a corrective assessment for the year concerned.

Art. 166(9)#

A Grand-Ducal regulation may:

1. extend the exemption, under conditions and arrangements to be determined, to income arising from the disposal of the participation,

2. provide, under conditions to be specified, that losses on disposal are not deductible.

Original (French)

Un règlement grand-ducal pourra:

Article 167Additional deductible expenses of collective entities

Amended by: Law of 14 June 1983; Law of 6 December 1990; Law of 20 December 1991; Law of 10 August 1992; Law of 1 December 1992; Law of 8 June 1999; Law of 8 August 2000; Law of 15 December 2000; Law of 13 July 2005; Law of 19 December 2008; Law of 23 December 2016

Art. 167(1)#

In addition to the deductible expenses provided for by the law on personal income tax, the following expenses may be deducted:

1. the amounts corresponding to the allocations to technical provisions made by insurance undertakings, reinsurance undertakings, pension savings associations and pension funds covered by the amended Law of 6 December 1991 on the insurance sector, in so far as those technical provisions are the counterpart of the obligations they have towards their policyholders at the end of the financial year. A Grand-Ducal regulation determines the conditions under which these technical provisions are set up;

2. the amounts due to the general partners in partnerships limited by shares in respect of rent, credit balances on account or activity in the service of the company;

3. the rebates (ristournes) granted to their members by cooperative companies and agricultural associations other than those enjoying a tax reduction under Article 174(4), in so far as the surplus distributed derives from business transacted with the members. However, the deduction is not permitted in so far as profit distributions other than rebates do not reach five per cent of the net invested assets at the end of the financial year.

Only members within the meaning of Articles 113 to 137 of the Law of 10 August 1915 on commercial companies are regarded as members.

Rebates are allocations made on the basis of the transactions carried out with each member, by way of a refund on the payments for supplies and services of the company or association, or of a supplementary payment for supplies and services of the members.

The portion of the distributed surplus regarded as deriving from business transacted with the members is the portion corresponding to the ratio between the turnover achieved with the members and the total turnover, in the case of rebates on payments for supplies and services of the company or association, and to the ratio between the amount of the supplies or services of the members and the total amount of supplies and services received by the company, in the case of supplementary payments for supplies and services of the members;

3a. agricultural associations and cooperative companies whose supplying members are exclusively agricultural holdings may, by way of derogation from Article 48, point 6, set up a tax-free regulation fund intended to contribute to the stability of the prices to be paid to farmers. The annual allocation to that fund may not exceed six per cent of operating receipts and the total allocation may not exceed 5,000 euros per member.

The tax neutrality remains in place for as long as the use of the fund remains consistent with the objective referred to above, in the sense that the average of the rebates granted to the members over five consecutive financial years represents 80% of the result available for that purpose before the allocation to the fund, and for as long as the fund is recorded as a separate item in the accounts.

This provision also applies to the aforementioned legal persons whose members include agricultural associations and cooperative companies whose supplying members are exclusively farmers. The amount of the total allocation is determined according to the number of supplying members of the member agricultural associations and cooperative companies;

4. the amounts corresponding to the financial impact of the special tasks, in particular social tasks, imposed on the State Savings Bank (Caisse d’Épargne de l’État). These amounts are fixed each year by the Government in Council;

5. Repealed;

6. the amounts corresponding to the financial impact of the special tasks imposed on the Entreprise des postes et télécommunications (Post and Telecommunications Undertaking). These amounts are fixed each year by the Government in Council.

7. the amounts corresponding to the allocations to regulatory reserves made by pension savings associations for the purpose of constituting the additional cover assets provided for in Article 77 of the Law on institutions for occupational retirement provision in the form of SEPCAV and ASSEP.

Note. The reference to Articles 113 to 137 of the Law of 10 August 1915 has not been updated since that Law was renumbered; the provisions on cooperative companies in general are now Articles 811-1 to 813-9 of the amended Law of 10 August 1915 on commercial companies.

1. les sommes correspondant à la dotation des provisions techniques opérées par les entreprises d’assurances, les entreprises de réassurances, les associations d’épargne-pension et les fonds de pension visés par la loi modifiée du 6 décembre 1991 sur le secteur des assurances, pour autant que ces provisions techniques forment la contrepartie des obligations existant à leur charge à l’égard de leurs assurés à la fin de l’exercice social. Un règlement grand-ducal détermine les conditions auxquelles ces provisions techniques sont constituées;

2. les montants dus aux commandités dans les sociétés en commandite par actions, du chef de loyers, d’avoirs en compte ou d’une activité au service de la société;

Est considérée comme provenant d’affaires traitées avec les membres la quote-part de l’excédent distribuée correspondant au rapport existant entre le chiffre d’affaires réalisé avec les membres et le chiffre d’affaires total, lorsqu’il s’agit de ristournes sur les payements pour fournitures et prestations de la société ou association, et au rapport existant entre le montant des fournitures ou prestations des membres et le montant total des fournitures et prestations reçues par la société, lorsqu’il s’agit de suppléments de payement pour fournitures et prestations des membres;

La présente disposition est également applicable aux personnes morales susvisées auxquelles sont associées des associations agricoles et des sociétés coopératives dont les membres-fournisseurs sont exclusivement des exploitants agricoles. Le montant de la dotation globale est déterminé en fonction du nombre des membres-fournisseurs des associations agricoles et sociétés coopératives associées;

4. les sommes correspondant à l’incidence financière des missions spéciales, notamment sociales, imposées à la Caisse d’Épargne de l’État. Ces sommes sont arrêtées chaque année par le gouvernement en conseil;

5. abrogé;

Art. 167(2)#

The second sentence of the first subparagraph of point 3 above will be replaced, with effect from a date to be fixed by Grand-Ducal regulation, by the following text:

“With regard to consumer cooperative companies, however, the portion of the surplus deriving from business transacted with the members is not deductible in so far as that portion exceeds five per cent of the turnover achieved with the members.” A Grand-Ducal regulation may lower the rate of five per cent to four per cent with effect from a date to be fixed by that Grand-Ducal regulation.

Article 168Non-deductible expenses

Amended by: Law of 27 December 1973; Law of 6 December 1990; Law of 21 December 2001; Law of 10 February 2021

Art. 168#

The following expenses are not deductible:

1. expenses incurred in order to fulfil obligations imposed on the entity by its articles of association or its founding agreement (pacte social);

2. corporate income tax, net wealth tax and municipal business tax;

3. remuneration taxable under Article 91(1), point 2;

4. expenses incurred for religious, charitable or public-interest purposes, without prejudice to the provision in Article 109(1), point 3;

5. interest or royalties due, where the following conditions are all met:

a) the beneficiary of the interest or royalties is a collective entity within the meaning of Article 159. If the beneficiary is not the beneficial owner, the beneficial owner must be taken into account;

b) the collective entity that is the beneficiary of the interest or royalties is a related enterprise within the meaning of Article 56;

c) the collective entity that is the beneficiary of the interest or royalties is established in a country or territory listed in Annex I to the Council conclusions on the revised EU list of non-cooperative jurisdictions for tax purposes (“Annex I”), under the conditions specified below.

However, this point does not apply if the taxpayer proves that the transaction to which the interest or royalties due relate is used for valid commercial reasons which reflect economic reality.

The term “interest” as used in this point means interest and annuity payments (arrérages) due in respect of debt-claims of every kind, whether or not secured by mortgage and whether or not carrying a right to participate in the debtor’s profits, and in particular interest and annuity payments on loan bonds, including premiums and prizes attaching to such securities. Penalty charges for late payment are not regarded as interest for the purposes of this point.

The term “royalties” as used in this point means payments of any kind due as consideration for the use of, or the right to use, any copyright of literary, artistic or scientific work, including cinematograph films, any patent, trade mark, design or model, plan, secret formula or process, and for information concerning industrial, commercial or scientific experience.

From 1 March 2021, this point applies in respect of the countries and territories listed in Annex I in its latest version as published in the Official Journal of the European Union on that date. From 1 January of each following year, it applies in respect of the countries and territories listed in Annex I in its latest version as at 1 January of the following year in question, as published in the Official Journal of the European Union on that date.

However, where countries and territories are no longer listed in Annex I in its latest version as at 1 January of a following year, as published in the Official Journal of the European Union on that date, this point ceases to apply in respect of those countries and territories from the date of publication in the Official Journal of the European Union of Annex I in the latest version referred to above. Where an earlier version of Annex I during the same year removes the country or territory in question for the first time, this point ceases to apply as early as the date of publication in the Official Journal of the European Union of Annex I in that earlier version removing the country or territory in question.

Ne sont pas déductibles les dépenses suivantes:

3. les rémunérations imposables en vertu du premier alinéa, numéro 2 de l’article 91;

4. les dépenses faites dans un but cultuel, charitable ou d’intérêt général sans préjudice de la disposition prévue sub premier alinéa numéro 3 de l’article 109;

a) le bénéficiaire des intérêts ou redevances est un organisme à caractère collectif au sens de l’article 159. Si le bénéficiaire n’est pas le bénéficiaire effectif, il y a lieu de prendre en considération le bénéficiaire effectif;

b) l’organisme à caractère collectif qui est le bénéficiaire des intérêts ou redevances est une entreprise liée au sens de l’article 56;

b) 3 millions d’euros.

Art. 168bis(3)#

Where the fraction of EBITDA determined under paragraph 2, point (a), exceeds the amount of the exceeding borrowing costs, provided that the latter amount is greater than 3 million euros, that excess, which constitutes the unused interest capacity, may be carried forward to the following five financial years. That unused capacity must also be reduced by the exceeding borrowing costs deducted under paragraph 4. Only the person in whose hands the unused capacity arose is entitled to carry it forward.

Art. 168bis(4)#

The taxpayer may deduct, up to the amount of the maximum deduction determined under paragraph 2, less the exceeding borrowing costs deducted under that paragraph 2, the exceeding borrowing costs which were not deductible in respect of an earlier financial year and which could not be deducted in any subsequent financial year under this Article. Art. 168bis(5)#

The taxpayer may deduct exceeding borrowing costs that exceed the amount of the maximum deduction determined under paragraph 2 up to the unused capacities of the last five financial years, reduced by the exceeding borrowing costs which, in respect of those same years, were deducted under this paragraph. The oldest unused capacities are used first.

Art. 168bis(6)#

Where the taxpayer is a member of a consolidated group for financial accounting purposes, the exceeding borrowing costs are, on request, deductible in full if the taxpayer can demonstrate that the ratio of its equity to its total assets is equal to or higher than the equivalent ratio of the group, provided that the following conditions are met:

a) the ratio of a taxpayer’s equity to its total assets is regarded as equal to the equivalent ratio of the group if the ratio of the taxpayer’s equity to its total assets is lower by up to two percentage points; and

b) all assets and liabilities are valued using the same method as in the consolidated financial statements drawn up in accordance with the International Financial Reporting Standards or the national financial reporting system of a Member State.

Art. 168bis(7)#

Exceeding borrowing costs relating to the following are excluded from the scope of paragraph 2:

a) loans which were concluded before 17 June 2016, but this exclusion does not extend to any subsequent modification of such loans;

b) loans used to fund a long-term public infrastructure project where the project operator, borrowing costs, assets and income are all in the European Union. In that case, any income arising from a long-term public infrastructure project is excluded from EBITDA.

Art. 168bis(8)#

By way of derogation from paragraph 2, exceeding borrowing costs are deductible in full:

a) if the taxpayer is a financial undertaking;

b) if the taxpayer is a standalone entity.

a) si le contribuable est une entreprise financière;

Art. 168bis(9)#

Where the taxpayer is a member of a single-entity group, the exceeding borrowing costs are, on request, deductible in full if the taxpayer can demonstrate that the ratio of its equity to its total assets is equal to or higher than the equivalent ratio of the group. The ratio of the taxpayer’s equity to its total assets is regarded as equal to the equivalent ratio of the single-entity group if the ratio of the taxpayer’s equity to its total assets is lower by up to two percentage points.

For the purposes of determining the ratio of the single-entity group referred to in this paragraph, the amount of the group’s equity must be increased by the amounts which are capable of giving rise to borrowing costs and which are owed by the taxpayer to associated enterprises within the meaning of Article 168ter(1), point 18. For the purposes of that determination, the rate of 50 per cent referred to in Article 168ter(1), point 18, is replaced by the rate of 25 per cent.

An arrangement or a series of arrangements which has been put in place for the main purpose, or one of the main purposes, of avoiding the obligation to increase the amount of the group’s equity for the purposes of determining the ratio of the single-entity group must be disregarded for the purposes of this paragraph.
