Art. 14#

The following are regarded as business profit:

1. net income derived from a commercial, industrial, mining or craft undertaking. Any independent activity carried on for profit on a permanent basis and constituting participation in general economic life is deemed to be a commercial, industrial, mining or craft undertaking where that activity constitutes neither an agricultural or forestry business nor the exercise of an independent profession. However, an investment company in risk capital (SICAR) in the form of a common limited partnership (SCS) or a special limited partnership (SCSp) is not to be regarded as a commercial undertaking. A reserved alternative investment fund (RAIF) in the form of a common limited partnership or a special limited partnership and meeting the criteria of Article 48(1) of the Law of 23 July 2016 on reserved alternative investment funds is not to be regarded as a commercial undertaking;

2. the profit share of the co-entrepreneurs of a collective commercial undertaking, and the remuneration or compensation allocated to those co-entrepreneurs in respect of their activity in the service of the collective undertaking, of loans granted by them or of assets made available by them to the collective undertaking. This provision applies to general partnerships (sociétés en nom collectif), common limited partnerships, special limited partnerships, economic interest groupings, European economic interest groupings, temporary commercial partnerships, joint venture partnerships (sociétés en participation) and joint undertakings in general whose activity falls within those referred to in point 1 or 4 of this Article;

3. the profit share of the general partner of a partnership limited by shares (SCA), in so far as that profit share does not constitute the proceeds of his or her participation in that company, and the remuneration or compensation allocated to the general partner in respect of his or her activity in the service of the company, of loans granted by him or her or of assets made available by him or her to the company;

4. notwithstanding Article 175(1), and in the absence of an activity falling within those referred to in point 1 above, the net income derived from an activity carried on for profit either by a common limited partnership or a special limited partnership at least one general partner of which is a capital company holding at least 5% of the partnership interests, or by a general partnership, an economic interest grouping, a European economic interest grouping or a civil-law partnership (société civile) the majority of whose interests are held by one or more capital companies. A partnership that is commercial in nature under point 1 or under the first sentence of this provision and that holds interests in another partnership is treated as a capital company for the purpose of determining the nature of the income realised by that other partnership.

Le fonds d’investissement alternatif réservé sous forme de société en commandite simple ou de société en commandite spéciale et répondant aux critères de l’article 48, paragraphe 1er de la loi du 23 juillet 2016 relative aux fonds d’investissement alternatifs réservés n’est pas à considérer comme entreprise commerciale. ;

3. la part de bénéfice de l’associé commandité d’une société en commandite par actions, pour autant que cette part de bénéfice ne constitue pas le produit de sa participation dans ladite société, ainsi que les rémunérations ou indemnités allouées à l’associé commandité en raison de son activité au service de la société, des prêts consentis par lui ou des biens mis par lui à la disposition de la société;

Article 18Determination of profit by comparing net invested assets

Amended by: Law of 6 December 1990

Art. 18(1)#

Profit consists of the difference between the net invested assets at the end and the net invested assets at the beginning of the financial year, increased by the personal withdrawals made during the financial year and reduced by the additional contributions made during the financial year.

Art. 18(2)#

Except in the case of the first financial year, the net invested assets at the beginning of the financial year must be equal and identical to the net invested assets at the end of the preceding financial year.

Art. 18(3)#

A Grand-Ducal regulation may, under the conditions and in accordance with the arrangements it lays down, introduce a simplified method of determining profit by comparing operating receipts and operating expenses. The same regulation will prescribe, for cases of disposal or cessation of the undertaking or of a change from one method of determining profit to the other, the adjustments necessary for the overall profit of the undertaking, from its creation to its cessation, to correspond to the formula provided for in paragraph 1 above.

4. Assets forming part of the net invested assets4. Biens de l’actif net investi

Article 19Assets forming part of the net invested assets

Amended by: Law of 19 December 2008

Art. 19(1)#

The net invested assets comprise the assets which, by their nature, are intended to serve the undertaking.

Art. 19(1a)#

A Grand-Ducal regulation may lay down the conditions under which an asset leased under a finance lease (crédit-bail) forms part of the net invested assets either of the lessor-provider or of the lessee-investor.

Art. 19(2)#

However, operators keeping proper accounts are permitted to include in the net invested assets assets which, although not generally intended to serve the undertaking, are nevertheless capable of being allocated to that purpose in the business sector concerned. For an asset of that kind to form part of the net invested assets, the operator must have clearly expressed that choice. Once made, the choice may not subsequently be changed arbitrarily.

Art. 19(3)#

Assets which, by reason of their allocation, cannot serve the undertaking may not form part of the net invested assets.

Article 20Immovable property used partly for the business

Amended by: Law of 6 December 1990

Art. 20#

A Grand-Ducal regulation will establish the extent to which immovable property used partly for the undertaking, for the operator’s own residence or for letting purposes forms or may form part of the net invested assets. As regards parts of immovable property of minor importance and those not covered by Article 19(1), that regulation may derogate from Article 19.

Article 21Components of net invested assets; fixed assets

Art. 21(1)#

The assets forming part of the net invested assets comprise fixed assets, realisable assets and liquid assets, and liabilities to third parties.

Original (French)

Fixed assets are assets intended to serve the undertaking on a permanent basis.

5. Valuation principles5. Principes d’évaluation

Article 22General valuation rules and exchanges of assets

Amended by: Law of 21 December 2001

Art. 22(1)#

The operator must apply consistent valuation methods, unless economic reasons justify changing them.

Art. 22(2)#

The position on the closing date of the financial year is decisive for the valuation at the end of the financial year; the operator may take into account facts and circumstances which existed on that date and whose existence came to light only subsequently, but before the date on which the balance sheet is drawn up.

Art. 22(3)#

Each asset forming part of the net invested assets at the end of the financial year must be valued separately; however, in the case of assets similar in kind and value or of assets of minor importance, valuation may be made collectively.

Art. 22(4)#

Depreciation which is compulsorily prescribed and which the operator has knowingly failed to apply may not be recovered subsequently.

Art. 22(5)#

An exchange of assets is to be regarded as a disposal for consideration of the asset given in exchange, followed by an acquisition for consideration of the asset received in exchange. The disposal price of the asset given in exchange corresponds to its estimated realisation value.

Article 22bisTax-neutral exchanges of securities

Art. 22bis(4)#

In the hands of the member, the acquisition price and the acquisition date of the securities received in exchange correspond to the acquisition price and the acquisition date of the securities given in exchange. Where a cash payment is made to the member, the acquisition price of the securities received in exchange must be reduced by the amount of that cash payment.

Article 23Valuation of assets in the balance sheet

Amended by: Law of 4 May 1984

Art. 23(1)#

Without prejudice to the provisions on valuation at the end of the business or to those laid down in Article 49, the valuation of the assets forming part of the net invested assets must comply with the rules laid down in the following paragraphs and, for operators required to keep proper accounts, with the principles of such accounting.

Art. 23(2)#

Depreciable fixed assets are to be valued at their acquisition price or cost of production less the depreciation calculated in accordance with Articles 29 to 34. Where the going-concern value is lower, they may be valued at that lower value. For assets which already formed part of the net invested assets at the end of the preceding financial year, the valuation may not exceed the value adopted at the close of that financial year.

Art. 23(3)#

Assets other than those referred to in the preceding paragraph (land, participations, realisable assets and liquid assets) are to be valued at their acquisition price or cost of production. Where the going-concern value is lower, they may be valued at that lower value. Where the going-concern value of assets which formed part of the net invested assets at the end of the preceding financial year is higher than the value adopted at the close of that financial year, they may be valued at the going-concern value, but without exceeding the acquisition price or cost of production.

Art. 23(4)#

Debts are to be valued by applying the provisions of the preceding paragraph appropriately.

Art. 23(5)#

Where the going-concern value of participations which formed part of the net invested assets at the end of the preceding financial year is higher than the value adopted at the close of that financial year, they must be valued at the going-concern value, but without exceeding the acquisition price; participations acquired before the publication of this Law may not, however, be valued above their book value at the time of that publication for as long as the subsidiary has not been dissolved.

The provision set up by the former employer must be taken to the result of the current financial year.

Art. 24(8)#

Annual allocations to the provision relating to the operator, to a co-entrepreneur of a collective commercial undertaking, to the partners of a civil-law partnership and to the persons referred to in Article 91(1), point 2, are not deductible, with the exception of annual allocations made for the benefit of the persons referred to in Article 95(6), in so far as those allocations relate to a supplementary pension scheme set up by an undertaking in accordance with the Law of 8 June 1999 on supplementary pension schemes and extending to all the employees or to a category of employees under identical contribution or benefit conditions, and provided that the remuneration granted to those persons for day-to-day management is not taken into account in funding an approved supplementary pension scheme set up to receive the contributions of self-employed persons. However, a supplementary pension scheme may not be set up for a group of employees, or a category of employees, consisting exclusively of an operator, a co-entrepreneur of a collective commercial undertaking, partners of a civil-law partnership and the persons referred to in Article 91(1), point 2.

Article 32Normal depreciation: straight-line and declining-balance methods

Amended by: Law of 21 December 1981; Law of 6 December 1990; Law of 22 December 1993; Law of 23 December 2016

Art. 32(1)#

Normal depreciation for wear and tear for a given financial year is calculated on the basis of the remaining net value of the acquisition price or cost of production, less, where applicable, the estimated residual value, by taking an equal amount for each unit of the normal useful life remaining from the beginning of the financial year.

Art. 32(1a)#

On an application to be filed together with the income tax return, normal depreciation for wear and tear for a given financial year may be calculated on the basis of the acquisition price or cost of production less, where applicable, the estimated residual value, by taking an amount not exceeding an equal amount for each unit of the normal useful life, increased by the unrecorded amount of permitted depreciation that was not deducted in previous financial years. The amount of permitted depreciation in respect of the financial year in which the normal useful life of the asset ends must be deducted in full in respect of that financial year. In the case of extraordinary depreciation within the meaning of Article 31, a change from this method to the depreciation method provided for in paragraph 1 is compulsory.

Art. 32(2)#

The normal useful life is determined taking into account the type and conditions of use of the fixed asset concerned. It must be expressed as a number of years; however, with the agreement of the tax administration and under conditions to be determined in each case, it may be fixed in any other appropriate unit.

Art. 32(3)#

Where the owner of a tangible fixed asset other than a building is also its user, normal depreciation for wear and tear may be made by the declining-balance method. Declining-balance depreciation may be calculated by applying a fixed rate to the book value (remaining value); the rate may not, however, exceed three times the rate that would apply under straight-line depreciation and may not be higher than thirty per cent. For equipment and tools used exclusively in scientific or technical research operations, the declining-balance rate may not exceed four times the rate that would apply under straight-line depreciation and may not be higher than forty per cent. A Grand-Ducal regulation may permit the use of other declining-balance methods, provided that the depreciation calculated by those methods does not significantly exceed, either for the first year or for the first three years taken together, the depreciation obtained by applying a fixed rate to the book value.

Art. 32(4)#

Declining-balance depreciation is permitted only if it is recorded in entries to be specified by Grand-Ducal regulation.

Art. 32(5)#

A change from declining-balance depreciation to the depreciation method provided for in paragraph 1 is permitted. That change is compulsory in the case of extraordinary depreciation within the meaning of Article 31. A change from depreciation under the methods provided for in paragraphs 1 and 1a to declining-balance depreciation is not permitted.

Art. 32(6)#

Where an operator disposes of a partly or fully depreciated fixed asset and the same operator then leases that same fixed asset back, the lessor may not claim, in respect of a given financial year, depreciation higher than the amount of rent owed by the user of the fixed asset for that financial year.

b) specific fixed assets intended to prevent, reduce, recycle or eliminate waste generated in production or in operations;

c) specific fixed assets intended to ensure the rational management of waste generated by industrial or craft activities.

Specific fixed assets means non-productive fixed assets acquired or produced by the undertaking for the sole purpose of protecting the environment. However, fixed assets that are not exclusively specific qualify for special depreciation where their degree of specificity is at least 50 per cent.

Original (French)

L’amortissement spécial est permis à l’endroit

a) des immobilisations spécifiques destinées à réduire la consommation d’eau et à prévenir, à réduire ou à éliminer des rejets résiduaires dans l’eau, dans l’air ou dans le sol ainsi que les émissions nuisibles de bruit, d’odeur, de trépidation ou de radiation;

b) des immobilisations spécifiques destinées à prévenir, à réduire, à recycler ou à éliminer des déchets générés dans la production ou dans l’exploitation;

Art. 32bis(3)#

Special depreciation also applies to fixed assets acquired or produced for the purpose of:

a) implementing new techniques for the rational use of energy or implementing new and renewable energy sources, and of energy recovery in industrial processes;

b) adapting workstations for physically disabled persons.

a) de mise en œuvre de techniques nouvelles d’utilisation rationnelle de l’énergie ou de mise en œuvre de sources d’énergie nouvelles et renouvelables ainsi que de récupération d’énergie dans les processus industriels;

Art. 32bis(4)#

Only the fixed assets referred to in paragraphs 2 and 3 which are subject to depreciation for wear and tear within the meaning of Article 29 and whose acquisition price or cost of production amounts to at least 2,400 euros excluding VAT qualify.

Art. 32bis(5)#

The reality and conformity of the fixed assets eligible for special depreciation must be certified by the Ministers responsible respectively for the Environment, Energy, Labour or the Maritime Affairs Commissariat (Commissariat aux affaires maritimes), on an application to be filed with the Direct Tax Administration (ACD) no later than three months after the close of the financial year during which the fixed assets were acquired or produced.

Art. 32bis(6)#

On an application attached to the tax return and supported by the approval certificate referred to in paragraph 5, the special depreciation may be applied in the financial year in which the fixed assets are acquired or produced or in one of the four following financial years, or may be spread on a straight-line basis over several of those five financial years. However, the taxpayer’s choice within the meaning of the preceding sentence may not have retroactive effect. The special depreciation may not exceed 80 per cent of the acquisition price or cost of production of the fixed assets.

Art. 32bis(7)#

Special depreciation may be applied notwithstanding the normal depreciation for wear and tear provided for in Article 32(1). The latter is calculated on the net value remaining after deduction of the special depreciation and on the basis of the normal useful life.

The use of special depreciation precludes the application of the declining-balance depreciation provided for in Article 32(3).
