Article 161Exemptions from corporate income tax
Amended by: Law of 11 November 1968; Law of 14 June 1983; Law of 6 December 1990; Law of 1 December 1992; Law of 8 August 2000; Law of 21 December 2007; Law of 18 December 2009; Law of 27 June 2016; Law of 12 December 2016
The following are exempt from corporate income tax:
1. the collective entities listed in Article 159, point A, points 4 to 7, and point B, if, according to their articles of association or memorandum and to their activity, they pursue directly and exclusively religious, charitable or general-interest purposes. However, they remain subject to tax to the extent that they carry on an activity of an industrial or commercial nature. A Grand-Ducal regulation may lay down the delimitations and details necessary for the application of this provision. By decision of the Government in Council, taken on the opinion of the Minister of Finance, certain activities of non-profit associations are not regarded as activities of an industrial and commercial nature where the object or objects for which the non-profit association (asbl) is formed are of a particularly marked public interest and where the non-profit association does not seek to procure a material gain for its members;
2. the water, gas and electricity supply undertakings of the State, the municipalities and the associations of municipalities;
3. (…)
4. the National Lottery;
5. purely professional associations, provided that the association does not own an economic undertaking, either directly or through a participation;
6. (…)
7. the Société nationale des habitations à bon marché (national low-cost housing company);
8. agricultural associations, in so far as their activity concerns:
a) the joint use of agricultural or forestry machinery or installations;
b) the processing or sale of agricultural or forestry products originating from the agricultural or forestry holdings of their members, provided that the processing or sale remains within the field of agriculture or forestry.
These associations do not lose the exemption by pursuing activities not covered by the preceding sentence, provided that the operating receipts from such activities do not reach 10 per cent of total operating receipts other than the income from the participations referred to below.
Nor do these associations lose the exemption by acquiring and holding, within the framework of the amended Grand-Ducal Decree of 17 September 1945 revising the Law of 27 March 1900 on the organisation of agricultural associations, participations in industrial or commercial undertakings whose object consists essentially in the processing or sale of agricultural products.
However, the associations are taxed up to the amount of the contributions made in connection with those participations. In addition, the income from the participations is taxable.
As regards participations acquired before 1 January 1965, the contributions used to acquire those participations do not give rise to taxation;
9. associations whose object consists exclusively in guaranteeing professional loans and granting sale and construction guarantees for the benefit of their members. Apart from paying normal interest on the members’ capital contributions, the associations must refrain from any distribution of profits. The articles of association of the association must provide that any surplus funds existing on the dissolution of the association must be used for the benefit of a similar association or for a general-interest, charitable or religious purpose;
10. collective entities exempted by the provisions of a special law;
11. commercial companies duly approved as societal impact companies, provided that 100 per cent of the share capital of such companies consists of impact shares.
1. les organismes à caractère collectif énumérés à l’article 159 sub A, numéros 4 à 7, et sub B, si ces organismes, suivant leurs statuts ou leur pacte social et leur activité poursuivent directement et uniquement des buts cultuels, charitables ou d’intérêt général. Toutefois, ils restent passibles de l’impôt dans la mesure où ils exercent une activité à caractère industriel ou commercial. Un règlement grand-ducal pourra apporter les délimitations et précisions nécessaires pour la mise en application de la présente disposition. Par décision du Gouvernement en Conseil, prise sur avis du ministre des Finances, certaines activités des associations sans but lucratif ne sont pas considérées comme activités à caractère industriel et commercial lorsque l’objet ou les objets en vue desquels l’asbl est formée présente(nt) un intérêt public particulièrement accusé et lorsque l’asbl ne cherche pas à procurer à ses membres un gain matériel;
2. les entreprises de fourniture d’eau, de gaz et d’électricité de l’État, des communes et des syndicats de communes;
3. (...)
4. la loterie nationale;
5. les associations exclusivement professionnelles, à condition que l’association ne possède, ni directement ni par le truchement d’une participation, une entreprise économique;
6. (...)
7. la société nationale des habitations à bon marché;
a) l’utilisation en commun de machines ou installations agricoles ou forestières;
En ce qui concerne les participations acquises avant le 1er janvier 1965 les apports affectés à l’acquisition de ces participations ne déclenchent pas l’imposition;
9. les associations dont l’objet consiste exclusivement dans le cautionnement de prêts professionnels et l’octroi de garanties de vente et de construction au profit de leurs membres. En dehors de l’octroi d’un intérêt normal pour les mises de fonds des associés, les associations doivent s’abstenir de toute distribution de bénéfices. Les statuts de l’association doivent prévoir que les excédents de fonds existant lors de la dissolution de l’association doivent être utilisés au profit d’une association similaire ou bien dans un but d’intérêt général, charitable ou cultuel;
10. les organismes à caractère collectif exemptés par les dispositions d’une loi spéciale ;
The exemption provided for in the preceding paragraph does not apply to the extent that domestic income is subject to withholding tax at source.
Chapter III – Application of the provisions on personal income taxChapitre III – APPLICATION DES DISPOSITIONS RELATIVES À L’IMPÔT SUR LE REVENU DES PERSONNES PHYSIQUES
Article 162Application of personal income tax rules
Amended by: Law of 6 December 1990; Law of 21 December 2007
The provisions of Title I of this Law apply for the determination of taxable income and of the net income of which it is composed, for the determination of the disposal or liquidation profit and for the filing of returns, the assessment and the collection of the tax, unless otherwise provided below or unless the application of those provisions is not justified, having regard to the special nature of collective entities.
In implementation of the preceding paragraph, a Grand-Ducal regulation will specify the provisions applicable to collective entities.
The income from all activities of the collective entities referred to in Article 159(1), point A, points 1 and 2, and of mutual insurance associations is always to be regarded as business profit. However, this provision does not apply to agricultural associations.
Chapter IV – Taxable incomeChapitre IV – REVENU IMPOSABLE
Article 163Tax period and diverging financial years
Corporate income tax is charged on the taxable income realised by the taxpayer during the calendar year.
If a taxpayer who is required to keep proper accounts and who keeps such accounts closes its accounts on a date other than 31 December, the income to be taken into account is that corresponding to the financial year ending in the course of the calendar year. This provision also applies to a taxpayer who keeps proper accounts without being required to do so, in so far as it carries on an agricultural or forestry business.
Article 164Distributions and hidden profit distributions
For the purpose of determining taxable income, it is irrelevant whether or not the income is distributed to the persons entitled to it.
Distributions of whatever nature made to holders of shares, beneficiary units (parts bénéficiaires) or founders’ units, dividend-right units (parts de jouissance) or any other securities, including variable-income bonds conferring a right to a share in the annual profit or in the liquidation profit, are to be regarded as distributions within the meaning of the preceding paragraph.
Hidden profit distributions are to be included in taxable income. There is a hidden profit distribution in particular where a shareholder, member or interested party receives, directly or indirectly, benefits from a company or an association which he or she would not normally have received had he or she not had that capacity.

Where the shareholding percentage provided for in paragraph 2 or 3 is not reached, the tax unity regime may nevertheless be granted exceptionally to a group of companies where, on the opinion of the Minister of Finance, that participation is recognised as particularly suited to promoting the expansion and structural improvement of the national economy. In that case, however, the financial integration must reach at least 75 per cent and the minority shareholders representing at least 75 per cent of the portion of the capital not held by the integrating or non-integrating parent company must consent to the tax unity regime.
The shareholding percentage condition within the meaning of paragraphs 2, 3 and 6 must be met without interruption from the beginning of the first financial year for which the tax unity regime is requested. The integrating parent company and the integrated companies, or the integrating subsidiary and the integrated companies, must open and close their financial years on the same date.
Original (French)

For each tax year of its membership of the integrated group, each member of the integrated group must file an income tax return as if it did not belong to the integrated group, in which it must:
1. determine and declare the total net income without applying Article 168bis, the special expenses, the tax credits and the taxes to be credited. Each member of the integrated group must declare, in accordance with Article 168bis, the deductible borrowing costs, the taxable interest revenues and other economically equivalent taxable revenues, the tax-exempt income and the operating expenses economically connected with that exempt income, the depreciation calculated under Articles 29 to 34 and the write-downs that have been made;
2. declare the carried-forward donations, losses and tax credits relating to the tax years preceding its admission to the integrated group.
For each tax year, the integrating parent company or the integrating subsidiary must, in addition, determine and declare in its income tax return the total net income within the meaning of paragraph 9 and the taxable income within the meaning of paragraph 10.
1. déterminer et déclarer le total des revenus nets sans application des dispositions de l’article 168bis, les dépenses spéciales, les bonifications d’impôt, ainsi que les impôts à imputer. Chaque membre du groupe intégré doit déclarer conformément à l’article 168bis les coûts d’emprunt déductibles, les revenus d’intérêts imposables et autres revenus imposables économiquement équivalents, les revenus exonérés d’impôt et les dépenses d’exploitation qui sont en connexion économique avec ces mêmes revenus exonérés, les amortissements calculés d’après les articles 29 à 34 et les déductions pour dépréciation qui ont été opérées;
The total net income of the integrating parent company or of the integrating subsidiary is obtained by aggregating or offsetting the totals of net income, determined in accordance with paragraph 8, point 1, of all the members of the integrated group, taking into account the following provisions:
1. borrowing costs borne by the integrating parent company or by the integrating subsidiary means the sum of the borrowing costs referred to in Article 168bis(1), point 2, which are borne by each member of the integrated group during its membership of that group;
2. taxable interest revenues and other economically equivalent taxable revenues earned by the integrating parent company or by the integrating subsidiary means the sum of the taxable interest revenues and other economically equivalent taxable revenues earned by each member of the integrated group during its membership of that group;
3. exceeding borrowing costs of the integrating parent company or of the integrating subsidiary means the amount by which the deductible borrowing costs borne by the integrating parent company or by the integrating subsidiary exceed the taxable interest revenues and other economically equivalent taxable revenues earned by the integrating parent company or by the integrating subsidiary;
4. EBITDA of the integrating parent company or of the integrating subsidiary means the algebraic sum of the totals of net income, determined in accordance with paragraph 8, point 1, of all the members of the integrated group, increased by the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary, by the depreciation calculated under Articles 29 to 34 and borne by each member of the integrated group, and by the write-downs made by each member of the integrated group. Tax-exempt income earned by each member of the integrated group and the operating expenses economically connected with that exempt income are excluded from the calculation of the EBITDA of the integrating parent company or of the integrating subsidiary;
5. the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary incurred in respect of a financial year may be deducted only up to the higher of the following two amounts:
a) 30 per cent of the EBITDA of the integrating parent company or of the integrating subsidiary
b) 3 million euros;
6. where the fraction of the EBITDA of the integrating parent company or of the integrating subsidiary determined in accordance with point 5(a) exceeds the amount of the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary, provided that the latter amount is greater than 3 million euros, that excess, which constitutes, during the period of application of the tax unity regime, the unused interest capacity, may be carried forward by the integrating parent company or by the integrating subsidiary to the five following financial years. That unused capacity must also be reduced by the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary deducted in accordance with point 7. Only the integrating parent company or the integrating subsidiary is entitled to carry forward the unused capacity that arose during the period of application of the tax unity regime;
7. the integrating parent company or the integrating subsidiary may deduct, up to the amount of the maximum deduction determined in accordance with point 5, less the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary deducted under that point 5, the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary which were not deductible in respect of an earlier financial year and which could not be deducted in any subsequent financial year under this paragraph. The oldest exceeding borrowing costs are deductible first. Only the integrating parent company or the integrating subsidiary may deduct them;
8. the integrating parent company or the integrating subsidiary may deduct the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary which exceed the amount of the maximum deduction determined in accordance with point 5, up to the amount of the unused capacities arising during the period of application of the tax unity regime and in the course of the last five financial years, reduced by the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary which have been deducted under this point in respect of the same financial years. The oldest unused capacities are used first;
9. where all the members of the integrated group are members of the same consolidated group for financial accounting purposes, the exceeding borrowing costs of the integrating parent company or of the integrating subsidiary are, on application, deductible in full if the integrating parent company or the integrating subsidiary can demonstrate that the ratio of the sum of the equity of all the members of the integrated group to the sum of the total assets of all the members of the integrated group is equal to or higher than the equivalent ratio of the consolidated group, provided that the following conditions are met:
a) the ratio of the sum of the equity of all the members of the integrated group to the sum of the total assets of all the members of the integrated group is regarded as equal to the equivalent ratio of the consolidated group if the ratio of the sum of the equity of all the members of the consolidated group to the sum of the total assets of all the members of the integrated group is lower by up to two percentage points; and
b) all the assets and liabilities of each member of the integrated group are valued using the same method as in the consolidated financial statements drawn up in accordance with the International Financial Reporting Standards or with the national financial reporting system of a Member State.
“Consolidated group for financial accounting purposes” means a group consisting of all the entities which are fully included in the consolidated financial statements drawn up in accordance with the International Financial Reporting Standards or with the national financial reporting system of a Member State.
The integrating parent company or the integrating subsidiary must attach to its income tax return the details of the calculations necessary to determine the ratios within the meaning of point (a). The calculations must be certified in a report drawn up by an approved statutory auditor (réviseur d’entreprises agréé);
10. the exceeding borrowing costs of a member of the integrated group determined in accordance with Article 168bis which, before the member’s admission to the integrated group, could not be deducted in respect of a subsequent financial year under Article 168bis(4) may not be deducted during that member’s membership of the integrated group. They may again be deducted by that taxpayer from the first financial year of its return to the individual taxation regime;
11. the unused deduction capacities of a member of the integrated group determined in accordance with Article 168bis which were not used before the member’s admission to the integrated group in respect of a subsequent financial year under Article 168bis(5) may not be taken into account during that member’s membership of the integrated group. They may again be taken into account by that taxpayer from the first financial year of its return to the individual taxation regime. The time limit in Article 168bis(5) is suspended from the taxpayer’s admission to the integrated group until its exit from the integrated group;
12. the exceeding borrowing costs relating to the following are excluded from the scope of points 1 to 9:
a) loans concluded by a member of the integrated group before 17 June 2016, excluding any subsequent modification of those loans;
b) loans used by a member of the integrated group to fund a long-term public infrastructure project where the project operator, the borrowing costs, the assets and the income are all in the European Union. In that case, any income arising from a long-term public infrastructure project is excluded from the EBITDA of the integrating parent company or of the integrating subsidiary. For the purposes of this point, a long-term public infrastructure project means a project recognised as being in the public interest to provide, upgrade, operate and/or maintain a large-scale asset;
13. where, in respect of a financial year, the integrated group consists exclusively of members that are financial undertakings listed in Article 168bis(1), point 7, points 1 to 9 do not apply. Where, in respect of a financial year, the integrated group consists partly of members that are financial undertakings listed in Article 168bis(1), point 7, points 1 to 9 do not apply in so far as they concern those members.
Note. In point 9(a), the second ratio refers to the equity of all the members of the “consolidated group” over the total assets of all the members of the “integrated group”; by analogy with the first ratio in the same sentence and with Article 168bis(6)(a), the equity of the members of the integrated group is evidently meant.

Cette capacité inemployée est en outre à réduire des surcoûts d’emprunt de la société mère intégrante ou de la société filiale intégrante portés en déduction conformément au numéro 7. Seule la société mère intégrante ou la société filiale intégrante est en droit de reporter en avant la capacité inemployée qui a pris naissance pendant la période d’application du régime d’intégration fiscale;

Les surcoûts d’emprunt les plus anciens sont déductibles en premier. Seule la société mère intégrante ou la société filiale intégrante peut les porter en déduction;
8. la société mère intégrante ou la société filiale intégrante peut déduire les surcoûts d’emprunt de la société mère intégrante ou de la société filiale intégrante qui dépassent le montant de la déduction maximale déterminé conformément au numéro 5 jusqu’à concurrence des capacités inemployées pendant la période d’application du régime d’intégration fiscale et au cours des cinq derniers exercices d’exploitation, réduites des surcoûts d’emprunt de la société mère intégrante ou de la société filiale intégrante qui, au titre des mêmes exercices, ont été déduits en application du présent numéro. Les capacités inemployées les plus anciennes sont décomptées en premier;
Il appartient à la société mère intégrante ou à la société filiale intégrante de joindre à la déclaration de l’impôt sur le revenu le détail des calculs nécessaires pour la détermination des ratios au sens de la lettre a). Dans ce cas, tout revenu provenant d’un projet d’infrastructures publiques à long terme est exclu de l’EBITDA de la société mère intégrante ou de la société filiale intégrante. Par projet d’infrastructures publiques à long terme, il y a lieu d’entendre au sens du présent numéro un projet reconnu d’intérêt public visant à fournir, à améliorer, à exploiter et/ou à conserver un actif de grande ampleur;

1. by the companies wishing to become members of an integrated group within the meaning of paragraph 2;
2. by the companies wishing to become members of an integrated group within the meaning of paragraph 3 and by the non-integrating parent company.

1. des sociétés souhaitant devenir membre d’un groupe intégré au sens de l’alinéa 2;
The application referred to in paragraph 19 must be filed with the Direct Tax Administration (ACD) before the end of the first financial year of the period for which the tax unity regime is requested, which period must cover at least five financial years. Where paragraph 3 applies, the application designates the integrating subsidiary.
Where all the companies wishing to become members of an integrated group opt for paragraph 17, they must state their choice in the application and undertake to apply it during their membership of the integrated group.

During the period of application of the tax unity regime, the integrating parent company or the integrating subsidiary is subject to the corporate income tax corresponding to the taxable income of the integrating parent company or of the integrating subsidiary determined in accordance with this Article. Under Article 135, the integrating parent company or the integrating subsidiary must pay the advance payments of corporate income tax calculated on the basis of the above taxable income.
