Chapter IV – Filing and publication of annual accountsChapitre IV. Du dépôt et de la publicité des comptes annuels
Article 75Filing of annual accounts and account balances
The undertakings referred to in Article 25 must file with the Trade and Companies Register the annual accounts, duly approved in the case of legal persons, and the balance of the accounts shown in the standard chart of accounts defined in Article 12, second subparagraph, of the Commercial Code, within one month of their approval and no later than seven months after the end of the calendar year in the case of sole traders (natural person traders), or after the end of the financial year in the case of legal persons.
By way of derogation from the preceding subparagraph, the undertakings referred to in Article 13, fifth subparagraph, of the Commercial Code, the undertakings that have exercised the option provided for in Article 72bis and those that have obtained a derogation under Article 27 from the obligation to comply with the standard chart of accounts are exempt from filing the balance of the accounts shown in the standard chart of accounts with the Trade and Companies Register.
The annual accounts and the balance of the accounts shown in the standard chart of accounts must be drawn up in one and the same language. For that purpose, undertakings may use German or English instead of French. The documents required to be filed together with the annual accounts must then be drawn up in the same language as the annual accounts.
A Grand-Ducal regulation, to be adopted after obtaining the opinion of the Council of State and of the Accounting Standards Commission, lays down the filing procedure, the form in which the documents are submitted pursuant to the preceding subparagraph and the conditions under which they may be subjected to arithmetic and logical checks.
