Chapter I – Duty to keep accounts, to draw up annual accounts and to file themChapitre I – De l’obligation de tenir une comptabilité, de préparer des comptes annuels et de déposer ceux-ci

Article 24Amendment of the Commercial Code on commercial books

Art. 24#

Title II – Commercial books of Book I of the Commercial Code is amended as follows:

“Art. 8.

For the purposes of this Title, ‘undertakings’ means

1° sole traders (natural person traders);

2° commercial companies, European economic interest groupings and economic interest groupings.

Natural persons who are not domiciled in Luxembourg, the undertakings governed by foreign law referred to in point 2° of the first subparagraph and European economic interest groupings having their registered office abroad are subject to the provisions of this Chapter only in respect of the branches and places of business that they have established in Luxembourg. All their branches and places of business in the country taken together are regarded as one undertaking. The books, accounts and supporting documents relating to those places of business and branches must be kept in Luxembourg.

Art. 9.

Every undertaking must keep accounts appropriate to the nature and extent of its activities, in compliance with the specific statutory provisions that concern those activities.

Art. 10.

The accounts of legal persons must cover all their transactions, their assets and rights of every kind, and their debts, obligations and commitments of every kind. The accounts of sole traders must cover those same items where they relate to their commercial activity; they must show separately the own funds allocated to that commercial activity.

Art. 11.

All accounts are kept using a system of books and accounts in accordance with the customary rules of double-entry bookkeeping.

All transactions must be entered without delay, faithfully and completely, and in chronological order, either in a single journal or in a system of specialised journals. In the latter case, all the data entered in the specialised journals, with an indication of the various accounts affected, are transferred by way of centralisation into a single central ledger.

Art. 12.

The accounts opened are defined in a chart of accounts appropriate to the activity of the undertaking. That chart of accounts must be kept permanently at the registered office of the undertaking and be available to those concerned by it.

The content and presentation of a standardised minimum chart of accounts are laid down by a Grand-Ducal regulation, which defines the content and operation of the accounts included in the standardised minimum chart of accounts.

Art. 13.

Sole traders and general partnerships (sociétés en nom collectif) or common limited partnerships (SCS) whose turnover for the last financial year, excluding value added tax, does not exceed 100,000 euros may choose not to keep their accounts in accordance with the requirements of Article 12.

The amount referred to in the first subparagraph may be amended by Grand-Ducal regulation.

Where the financial year is shorter or longer than 12 months, the amount referred to in the first subparagraph is multiplied by a fraction whose denominator is 12 and whose numerator is the number of months in the financial year concerned, any month begun being counted as a full month.

Sole traders and general partnerships or common limited partnerships that are starting their activity may choose not to keep their accounts in accordance with the requirements of Article 12, provided that forecasts made in good faith show that the turnover, excluding value added tax, achieved at the end of the first financial year will not exceed the amount referred to in the first subparagraph, calculated, where applicable, in accordance with the preceding subparagraph.

Article 12 does not apply to credit institutions, to insurance and reinsurance companies or to financial holding companies.

Art. 14.

Supporting documents, letters received and copies of letters sent must be kept in chronological order and filed methodically.

Art. 15.

Every undertaking must, in addition, draw up once a year a complete inventory of its assets and rights of every kind and of its debts, obligations and commitments of every kind.

After being reconciled with the data in the inventory, the accounts are summarised in a descriptive statement which constitutes the annual accounts.

Art. 16.

With the exception of the balance sheet and the profit and loss account, the documents or information referred to in Articles 11, 12, 14 and 15 may be kept in the form of a copy. Such copies have the same evidential value as the originals, of which they are presumed, unless proven otherwise, to be a true copy where they were made as part of a regularly applied management method and satisfy the conditions laid down by a Grand-Ducal regulation.

The documents or information referred to in Articles 11, 12, 14 and 15, whatever the form in which they are kept, must be kept for ten years from the close of the financial year to which they relate.

Art. 17.

Properly kept commercial books may be admitted by the court as evidence between traders in respect of commercial transactions.

Art. 18.

Books which undertakings engaged in trade are obliged to keep and in respect of which they have not observed the formalities prescribed above may not be produced in court, nor do they constitute evidence in court, in favour of those who kept them; without prejudice to the provisions of the Book on Bankruptcy and Fraudulent Bankruptcy.

Art. 19.

In the course of a dispute, the court may order the production of the books, even of its own motion, for the purpose of extracting from them what concerns the dispute.

Art. 20.

Where the books whose production is offered, requested or ordered are located far from the court seised of the case, the judges may issue letters rogatory to the District Court sitting in commercial matters of the place concerned, or delegate a justice of the peace to examine them, draw up a record of their content and send it to the court seised of the case.

Art. 21.

If the party whose books the other party offers to accept as evidence refuses to produce them, the court may tender the oath to the other party.”

1° les commerçants personnes physiques;
