In short

  • Every business carried on in the Netherlands and every Dutch legal person must be registered with the Chamber of Commerce (Art. 5, Art. 6).
  • A business must be registered between one week before and one week after it starts; changes must be filed within a week (Art. 20). For legal persons each director must file; where none is in the Netherlands, the local manager files too (Art. 18).
  • Dutch companies and other legal entities must register their ultimate beneficial owners: name, month and year of birth, nationality, country of residence, address and the nature and extent of their interest, with supporting documents (Art. 15a).
  • Since 16 July 2025 UBO data are no longer public. Banks and other obliged institutions under the anti-money-laundering act see them for due diligence; others only with a demonstrable legitimate interest, and the UBO is told when access is granted (Art. 22a).
  • Institutions and authorities that find a discrepancy between the UBO register and their own information must report it (Art. 38a).
  • Failing to file UBO data can lead to an order subject to a penalty or an administrative fine imposed by the Minister of Finance (Art. 47a, Art. 47b).
  • Facts that must be registered cannot be invoked against third parties until they are registered (Art. 25), and the KVK number must appear on letters, orders and invoices (Art. 27).

Who it affects

  • Founders and directors of Dutch BVs, NVs, foundations and partnerships: what to register, when, and who must file.
  • Foreign companies with a branch in the Netherlands: registration of the branch and the person responsible for it.
  • Shareholders and UBOs of Dutch entities, including foreign individuals: what is registered about them and who can see it.
  • Banks, notaries, accountants and other obliged institutions: access to UBO data and the duty to report discrepancies.

BCA commentary

One register for everything

The trade register is a base register: authorities must use the data in it and may not ask for them again (Art. 30, Art. 31). That is why the KVK extract is the document Dutch banks, notaries and tax offices ask for first. Registration covers both businesses, whatever their legal form, and legal persons, including those without a business (Art. 5, Art. 6).

Who files, and how fast

For a BV or NV each director is personally obliged to file (Art. 18). Where no director is in the Netherlands, the person responsible for day-to-day management in the Netherlands must file as well, and a foreign company’s Dutch branch files through its local manager or an authorised agent. The deadlines are short: the business must be registered within a two-week window around its start, and changes within a week (Art. 20). Breach of a filing obligation is prohibited (Art. 47) and is an economic offence.

The UBO register

Art. 15a requires registration of the ultimate beneficial owners of Dutch companies and other legal entities, with copies of the identity documents and of the documents showing the nature and extent of their interest. The definition of a UBO comes from the anti-money-laundering legislation: broadly, the natural person who holds more than 25% of the shares or votes or otherwise has control, or, if nobody qualifies, the senior managing officials.

Who can see UBO data since 2025

After the Court of Justice ruled on 22 November 2022 that unrestricted public access to UBO data was disproportionate, the KVK closed public access. The 2025 amendment put the new rules in the Act: obliged institutions under the anti-money-laundering act and the Sanctions Act see the core UBO data for their due diligence (Art. 22a); others must show a legitimate interest related to fighting money laundering, and the UBO is informed when a request is granted. The entity itself can always see its own UBO data.

Third parties and the register

Art. 25 gives the register effect against third parties: a fact that had to be registered cannot be relied on against someone who did not know it until it has been registered, and an entity cannot rely on an incorrect registration against a third party who was unaware of the error. UBO data are excluded from this effect. In practice: register a director’s resignation immediately, or the company may remain bound by his signature.
