BCA commentary
Regulated private equity
The SICAR is the risk-capital vehicle with a regulator: the CSSF authorises it, its managers and its depositary (Art. 12). That costs time compared with a RAIF, but some investors require it. Its object is narrow: investment in risk capital, meaning money put into entities for their launch, development or listing (Art. 1).
Tax
The tax regime is the reason the SICAR exists. In corporate form it is fully taxable, but income and gains from its risk-capital securities are exempt, as is income on cash held for up to twelve months before investment (Art. 34). The same regime is available to a RAIF that invests exclusively in risk capital. A SICAR formed as a common limited partnership (SCS) is not treated as a commercial undertaking for income tax (Art. 34).

Article 2bisApplication of Part I to all SICARs
The provisions of this Part apply to all SICARs, unless they are derogated from by the specific provisions which, under Part II of this Law, apply to SICARs which are managed by an AIFM authorised under Chapter 2 of the Law of 12 July 2013 on alternative investment fund managers or under Chapter II of Directive 2011/61/EU.

Article 3Company law, notarial deeds, meetings and compartments
SICARs are subject to the general provisions applicable to commercial companies, in so far as this Law does not derogate from them.
Where the articles of association or partnership agreement of a SICAR and any amendment made to them are recorded in a notarial deed, that deed is drawn up in French, German or English, as the appearing parties choose. By way of derogation from the Order of 24 Prairial, Year XI, where that notarial deed is drawn up in English, the obligation to attach to the deed a translation into an official language when it is presented for registration does not apply. Nor does that obligation apply to any other deeds recorded in notarial form, such as notarial deeds recording the minutes of meetings of shareholders or members of a SICAR or recording draft terms of merger concerning a SICAR.
The place where, and the arrangements under which, SICARs make available the annual accounts, as well as the report of the approved statutory auditor (réviseur d’entreprises agréé), the management report and, where applicable, the observations of the supervisory board or any other information that must be made available to investors, are laid down in the articles of association or partnership agreement of the SICAR or, failing that, in the convening notice to the annual general meeting. Each investor may request that these documents be sent to them.
The convening notices to general meetings of investors of a SICAR may provide that the quorum at the general meeting is determined by reference to the securities or partnership interests issued at midnight (Luxembourg time) on the fifth day before the general meeting (the “record date”). The rights of investors to participate in a general meeting and to exercise the voting rights attached to their securities or partnership interests are determined by reference to the securities or partnership interests held by each investor on the record date.
SICARs may comprise multiple compartments, each corresponding to a distinct part of the assets and liabilities of the SICAR.
This possibility and the related arrangements must be expressly provided for in the constitutive documents of the SICAR. The prospectus must describe the investment policy of each compartment.
The securities or partnership interests of SICARs with multiple compartments may be of unequal value, with or without an indication of value.
The rights of investors and creditors relating to a compartment or arising in connection with the establishment, operation or liquidation of a compartment are limited to the assets of that compartment, unless the constitutive documents provide otherwise.
The assets of a compartment are answerable exclusively for the rights of the investors relating to that compartment and for those of the creditors whose claims arose in connection with the establishment, operation or liquidation of that compartment, unless the constitutive documents provide otherwise.
As between investors, each compartment is treated as a separate entity, unless the constitutive documents provide otherwise.
Each compartment of a SICAR may be liquidated separately without such liquidation resulting in the liquidation of another compartment. Only the liquidation of the last compartment of the SICAR results in the liquidation of the SICAR within the meaning of Article 21(1) of this Law. In that case, as from the occurrence of the event giving rise to the liquidation of the SICAR, and on pain of nullity, the issue of securities or partnership interests is prohibited except for the purposes of the liquidation.
The authorisation of a compartment of a SICAR and the maintenance of that authorisation are subject to the condition that all the provisions of laws, regulations or the articles of association concerning its organisation and operation are observed. The withdrawal of the authorisation of a compartment does not entail the withdrawal of the SICAR from the list referred to in Article 13(1).
Article 4Minimum capital and capital equal to net assets
The subscribed share capital of the SICAR, increased, where applicable, by share premiums, or the value of the contributions constituting partnership interests may not be less than 1 million euros. This minimum must be reached within twenty-four months from the authorisation of the company. A Grand-Ducal regulation may set this minimum at a higher amount, which may not exceed 2 million euros.
Partnerships limited by shares, private limited liability companies, public limited companies and cooperative companies organised as public limited companies covered by this Law may provide in their articles of association that the amount of the capital is at all times equal to the value of their net assets. Changes in the share capital then take place by operation of law and without any publication or entry in the Trade and Companies Register (RCS).

Article 7bisOrganisation to limit conflicts of interest
SICARs must be structured and organised in such a way as to minimise the risk that conflicts of interest between the SICAR and, as the case may be, any person contributing to the activities of the SICAR or any person directly or indirectly linked to the SICAR prejudice the interests of investors. In the event of potential conflicts of interest, the SICAR must ensure that the interests of investors are safeguarded.

Chapter II – The depositaryChapitre II: Le dépositaire
Article 8Appointment and eligibility of the depositary
The safekeeping of the assets of a SICAR must be entrusted to a depositary.

An investment firm is eligible to act as depositary only in so far as that investment firm also meets the conditions laid down in Article 19(3) of the Law of 12 July 2013 on alternative investment fund managers.
For SICARs in respect of which no redemption rights may be exercised for a period of five years from the date of the initial investments and which, in accordance with their core investment policy, generally do not invest in assets that must be held in custody in accordance with Article 19(8)(a) of the Law of 12 July 2013 on alternative investment fund managers, or which generally invest in issuers or non-listed companies in order potentially to acquire control over them in accordance with Article 24 of that Law, the depositary may also be an entity governed by Luxembourg law that has the status of professional depositary of assets other than financial instruments within the meaning of Article 26-1 of the amended Law of 5 April 1993 on the financial sector.

Article 10Termination of the depositary’s functions
The functions of the depositary of the SICAR come to an end, as the case may be:
a) in the event of the withdrawal of the depositary at its own initiative or at that of the company, under the conditions laid down in the agreement appointing the depositary. The agreement must provide for a notice period allowing the depositary to be replaced. If no new depositary has been appointed on the expiry of the notice period, the CSSF withdraws the SICAR from the list referred to in Article 13(1). The institution that last acted as depositary must take all the measures necessary to safeguard the interests of the investors properly, including the obligation to keep open or to open all the accounts necessary for the safekeeping of the various assets of the SICAR, until the close of the liquidation operations of the SICAR;
b) where the SICAR or the depositary has been declared bankrupt, admitted to the benefit of a composition with creditors, suspension of payments, controlled management or a similar measure, or put into liquidation;
c) where the supervisory authority withdraws the authorisation of the SICAR or of the depositary;

À défaut de désignation d’un nouveau dépositaire à l’expiration du délai de préavis, la CSSF procède au retrait de la SICAR de la liste prévue à l’article 13, paragraphe 1er. L’établissement qui agissait en dernier en qualité de dépositaire prendra toutes les mesures nécessaires à la bonne conservation des intérêts des investisseurs, y compris l’obligation de maintenir ouverts ou d’ouvrir tous les comptes nécessaires pour la garde des différents actifs de la SICAR et ce jusqu’à la clôture des opérations de liquidation de la SICAR ;
b) lorsque la SICAR ou le dépositaire a été déclaré en faillite, admis au bénéfice du concordat, du sursis de paiement, de la gestion contrôlée ou d’une mesure analogue ou mis en liquidation;
c) lorsque l’autorité de surveillance retire son agrément à la SICAR ou au dépositaire;

In order to carry out their activities, SICARs governed by this Law must be authorised in advance by the CSSF.
A SICAR is authorised only if the CSSF approves its constitutive documents and the choice of depositary.
The managers of the SICAR and of the depositary must have the good repute and experience required to perform their functions. “Managers” means, in the case of partnerships limited by shares, common limited partnerships and special limited partnerships, the managers (gérants), whether or not they are general partners; in the case of public limited companies and cooperative companies organised as public limited companies, the members of the board of directors or of the management board; and in the case of private limited liability companies, the managers (gérants). The appointment of the managers and of any person succeeding them is subject to the approval of the CSSF.
In addition to the conditions of paragraphs 2 and 3, authorisation under paragraph 1 is subject to the identity of the persons responsible for investment portfolio management being communicated to the CSSF. Those persons must have sufficient good repute and experience having regard to the type of SICAR.
The appointment of the persons referred to in the first subparagraph, and of any person succeeding them in their functions, is subject to the approval of the CSSF.

Any replacement of the depositary or of a manager, and any amendment to the constitutive documents of the SICAR, are subject to the approval of the CSSF.
Authorisation is subject to proof that the central administration of the SICAR is situated in Luxembourg.
The granting of authorisation under paragraph 1 entails an obligation for SICARs to notify the CSSF, of their own accord, in writing and in a complete, coherent and comprehensible form, of any change concerning the substantial information on which the CSSF relied in examining the application for authorisation, and of any change concerning the managers referred to in paragraph 3 and the persons responsible for investment portfolio management referred to in paragraph 3bis.
Article 12bisDelegation of functions to third parties
SICARs governed by this Law may, for the purpose of conducting their activities more efficiently, delegate to third parties the exercise, on their behalf, of one or more of their functions, where the following conditions are met:
a) the CSSF is informed in an appropriate manner;
b) the mandate does not hinder the proper exercise of the supervision to which the SICAR is subject and, in particular, does not prevent the SICAR from acting, or from being managed, in the best interests of the investors;
c) where the delegation concerns investment portfolio management, the mandate may be given only to natural or legal persons authorised or registered for the purpose of investment portfolio management and subject to prudential supervision. Where that mandate is given to a natural or legal person from a third country that is subject to prudential supervision, cooperation between the CSSF and the supervisory authority of that country must be ensured;
d) where the conditions of point (c) are not met, the delegation may become effective only if the CSSF approves the choice of the natural or legal person to whom functions are to be delegated. In the latter case, those persons must have sufficient good repute and experience having regard to the type of SICAR concerned;
e) the managers of the SICAR are able to demonstrate that the natural or legal person to whom functions are to be delegated is qualified and capable of performing the functions in question and that sufficient due diligence was exercised in selecting that person;
f) there are measures in place enabling the managers of the SICAR to monitor the delegated activity effectively and at all times;
g) the mandate does not prevent the managers of the SICAR from giving instructions at any time to the natural or legal person to whom functions are delegated, or from withdrawing the mandate with immediate effect in order to protect the interests of the investors;
h) no mandate relating to the core function of investment management is given to the depositary;
i) the prospectus of the SICAR lists the delegated functions.
a) la CSSF est informée de manière adéquate ;
b) le mandat n’entrave pas le bon exercice de la surveillance dont la SICAR fait l’objet, et en particulier, il n‘empêche la SICAR ni d’agir, ni d’être gérée, au mieux des intérêts des investisseurs ;
c) lorsque la délégation se rapporte à la gestion de portefeuille d’investissement, le mandat ne peut être donné qu’à des personnes physiques ou morales agréées ou immatriculées aux fins de la gestion de portefeuille d’investissement et soumises à une surveillance prudentielle. Lorsque ce mandat est donné à une personne physique ou morale d’un pays tiers soumise à une surveillance prudentielle, la coopération entre la CSSF et l’autorité de surveillance de ce pays doit être assurée ;
d) lorsque les conditions de la lettre c) ne sont pas remplies, la délégation ne peut devenir effective que si la CSSF approuve le choix de la personne physique ou morale à laquelle des fonctions seront déléguées. Dans ce dernier cas, ces personnes doivent avoir l’honorabilité et l’expérience suffisante eu égard au type de SICAR concerné ;
e) les dirigeants de la SICAR sont en mesure d’établir que la personne physique ou morale à laquelle des fonctions seront déléguées est qualifiée et capable d’exercer les fonctions en question et qu’une diligence suffisante a été mise en œuvre pour sa sélection ;
f) il existe des mesures permettant aux dirigeants de la SICAR de suivre de manière effective et à tout moment l’activité déléguée ;
g) le mandat n’empêche pas les dirigeants de la SICAR de donner à tout moment des instructions à la personne physique ou morale à laquelle des fonctions sont déléguées, ni de lui retirer le mandat avec effet immédiat afin de protéger l’intérêt des investisseurs ;
h) aucun mandat se rapportant à la fonction principale de gestion des investissements n’est donné au dépositaire ;
Article 13Official list of authorised SICARs
Authorised SICARs are entered by the CSSF on a list. That entry constitutes authorisation and is notified by the CSSF to the SICAR concerned. Applications for the entry of SICARs on the list must be submitted to the CSSF within one month of their incorporation or establishment. That list and any changes made to it are published by the CSSF in the Recueil électronique des sociétés et associations (RESA, the electronic gazette of companies and associations).

Article 14Listing not an endorsement by the CSSF
The fact that a SICAR is entered on the list referred to in Article 13(1) must not, in any case or in any form whatsoever, be described as a positive assessment by the CSSF of the merits or of the economic, financial or legal structure of an investment in the SICAR, of the quality of the securities or partnership interests or of the solvency of the SICAR.
Article 15Professional secrecy and exchange of information by the CSSF
All persons who work or have worked for the CSSF, as well as the approved statutory auditors (réviseurs d’entreprises agréés) or experts instructed by the CSSF, are bound by the professional secrecy referred to in Article 16 of the amended Law of 23 December 1998 establishing a Financial Sector Supervisory Commission. That secrecy means that confidential information which they receive in a professional capacity may not be disclosed to any person or authority whatsoever, except in summary or aggregate form such that no SICAR and no depositary can be identified individually, without prejudice to cases covered by criminal law.
Paragraph 1 does not prevent the CSSF from exchanging information with the supervisory authorities of the other Member States of the European Union within the limits laid down by this Law.
The CSSF must cooperate closely with the supervisory authorities of the other Member States of the European Union for the purpose of carrying out their task of supervising SICARs and other investment companies in risk capital and must, for that purpose only, communicate all the information required.
The supervisory authorities of States party to the Agreement on the European Economic Area other than the Member States of the European Union are treated in the same way as the supervisory authorities of the Member States of the European Union, within the limits laid down by that Agreement and the acts relating to it.
Paragraph 1 does not prevent the CSSF from exchanging information with:
- the authorities of third countries entrusted with the public task of the prudential supervision of investment companies in risk capital,
- the other authorities, bodies and persons referred to in paragraph 5, with the exception of central credit registers, that are established in third countries,
- the authorities of third countries referred to in paragraph 6.
The communication of information by the CSSF permitted by this paragraph is subject to the following conditions:
- the information communicated must be necessary for the performance of the function of the authorities, bodies and persons receiving it,
- the information communicated must be covered by the professional secrecy of the authorities, bodies and persons receiving it, and the professional secrecy of those authorities, bodies and persons must offer guarantees at least equivalent to the professional secrecy to which the CSSF is subject,
- the authorities, bodies and persons receiving information from the CSSF may use it only for the purposes for which it was communicated to them and must be able to ensure that no other use is made of it,
- the authorities, bodies and persons receiving information from the CSSF must grant the same right of information to the CSSF,
- the disclosure by the CSSF of information received from Community authorities competent for the prudential supervision of investment companies in risk capital may take place only with the express agreement of those authorities and, where applicable, solely for the purposes for which those authorities have given their agreement.
For the purposes of this paragraph, “third countries” means States other than those referred to in paragraph 2.

Where the CSSF receives confidential information under paragraphs 2 and 3, it may use that information only in the course of its duties:
- to check that the conditions for taking up the business of SICARs and depositaries are met and to facilitate the monitoring of the conditions for carrying on that business, of the administrative and accounting organisation and of the internal control mechanisms; or
- to impose sanctions; or
- in the context of an administrative appeal against a decision of the CSSF; or
- in the context of court proceedings brought against decisions refusing to grant authorisation or decisions withdrawing authorisation.

Paragraphs 1 to 4 do not prevent:
a) the exchange of information within the European Union between the CSSF and:

b) the transmission within the European Union by the CSSF to the bodies responsible for administering investor compensation schemes or central credit registers of the information necessary for the performance of their function.
The communication of information by the CSSF permitted by this paragraph is subject to the condition that the information is covered by the professional secrecy of the authorities, bodies and persons receiving it, and is permitted only in so far as the professional secrecy of those authorities, bodies and persons offers guarantees at least equivalent to the professional secrecy to which the CSSF is subject. In particular, the authorities receiving information from the CSSF may use it only for the purposes for which it was communicated to them and must be able to ensure that no other use is made of it.
The States party to the Agreement on the European Economic Area other than the Member States of the European Union are treated in the same way as the Member States of the European Union, within the limits laid down by that Agreement and the acts relating to it.
Note. The French text reads “Sont assimilés aux États membres de l’Union Européenne la Communauté les États parties …”; the words “la Communauté” appear to be a remnant of the earlier wording (“États membres de la Communauté”) and have no meaning in the sentence. The translation follows the evident intent, as in the corresponding sentence of paragraph 6.

Chapter IV – Dissolution and liquidationChapitre IV: Dissolution et liquidation
Article 18Effects of withdrawal from the list; supervisory commissioners
The CSSF’s decision to withdraw a SICAR from the list referred to in Article 13 automatically entails, from its notification to the company concerned and with effect as against that company, until the judgment opening the liquidation referred to in Article 19(1), the suspension of all payments by that company and a prohibition, on pain of nullity, on carrying out any acts other than protective acts, except with the authorisation of the supervisory commissioner. The office of supervisory commissioner is held by one or more supervisory commissioners appointed by the judge presiding over the chamber of the District Court sitting in commercial matters, ruling on an application by the CSSF. The application is brought, in accordance with the procedure applicable in summary proceedings, before the court in whose district the SICAR has its registered office. The supervisory commissioners must have sufficient skills and professional experience having regard to the type and investment strategies of the SICARs concerned. The CSSF automatically acts as supervisory commissioner pending the appointment of the supervisory commissioner or commissioners by the court.
(Repealed)
On pain of nullity, the written authorisation of the supervisory commissioners is required for all acts and decisions of the SICAR.
The court may, however, limit the scope of the transactions subject to authorisation.
The commissioners may submit to the deliberation of the company’s bodies any proposals that they consider appropriate. They may attend the deliberations of the administrative, management, executive or supervisory bodies of the SICAR.
The court determines the costs and fees of the supervisory commissioners; it may grant them advances.
The judgment opening the liquidation referred to in Article 19(1) terminates the duties of the supervisory commissioner. Before ruling on the appointment of one or more liquidators, the court receives from the supervisory commissioners a report on the use of the SICAR’s assets. If no judgment pronouncing the dissolution and ordering the liquidation has been given within one year of the notification to the SICAR concerned of the decision to withdraw it from the list, the commissioners report to the court annually. Within one month of being replaced, the supervisory commissioners report to the liquidators appointed by the judgment on the use of the SICAR’s assets and submit to them the accounts and supporting documents.
Where the withdrawal decision is reversed by the appeal body referred to in Article 16(2), the supervisory commissioner is deemed to have resigned.

The approved statutory auditor must report promptly to the CSSF any fact or decision of which the auditor has become aware in the course of auditing the accounting data contained in the annual report of a SICAR or of carrying out another statutory task concerning a SICAR, where that fact or decision is liable to:
- constitute a serious breach of the provisions of this Law or of the regulations adopted for its implementation, or
- affect the continuity of the SICAR’s business, or
- lead to a refusal to certify the accounts or to the expression of qualifications on them.
The approved statutory auditor must also inform the CSSF promptly, in the performance of the tasks referred to in the preceding subparagraph concerning a SICAR, of any fact or decision concerning the SICAR and meeting the criteria listed in the preceding subparagraph of which the auditor has become aware while auditing the accounting data contained in the annual report of, or carrying out another statutory task concerning, another undertaking linked to that SICAR by a control link.
For the purposes of this Article, “control link” means the link that exists between a parent undertaking and a subsidiary in the cases referred to in Article 77 of the amended Law of 17 June 1992 on the annual accounts and consolidated accounts of credit institutions, or a relationship of the same kind between any natural or legal person and an undertaking; any subsidiary undertaking of a subsidiary undertaking is also regarded as a subsidiary of the parent undertaking at the head of those undertakings. A situation in which two or more natural or legal persons are permanently linked to one and the same person by a control link is also regarded as constituting a control link between those persons.
If, in the performance of its task, the approved statutory auditor becomes aware that the information provided to investors or to the CSSF in the reports or other documents of the SICAR does not give a true description of the financial situation and of the assets and liabilities of the SICAR, the auditor must inform the CSSF immediately.
The approved statutory auditor must also provide the CSSF with any information or certifications that the CSSF requires on matters of which the approved statutory auditor has, or should have, knowledge in the course of performing its task. Disclosure in good faith to the CSSF by an approved statutory auditor of facts or decisions referred to in this paragraph does not constitute a breach of professional secrecy or of any contractual restriction on the disclosure of information, and does not give rise to liability of any kind for the approved statutory auditor.
Every SICAR subject to the supervision of the CSSF whose accounts are audited by an approved statutory auditor must, on its own initiative, communicate to the CSSF the reports and written comments issued by the approved statutory auditor in connection with the audit of the annual accounting documents.
The CSSF may lay down rules on the scope of the mandate to audit the annual accounting documents and on the content of the reports and written comments of the approved statutory auditor referred to in the preceding subparagraph, without prejudice to the statutory provisions governing the content of the report of the statutory auditor (contrôleur légal des comptes).
The CSSF may ask an approved statutory auditor to carry out an audit of one or more specific aspects of the business and operation of a SICAR. That audit is carried out at the expense of the SICAR concerned.
