In short

  • Securitisation is any transaction in which a vehicle takes on risks relating to claims, other assets or third parties’ obligations or activities, and finances it by issuing financial instruments or borrowing whose value or yield depends on those risks (Art. 1).
  • The vehicle can be a securitisation company, in almost any company or partnership form, or a contractual securitisation fund managed by a management company (Art. 2, Art. 4).
  • CSSF authorisation is needed only for undertakings that issue to the public on a continuous basis: more than three public issues a year, with denominations below 100,000 euros, not privately placed (Art. 19).
  • Compartments are ring-fenced, and investors’ and creditors’ rights are limited to the assets of their compartment (Art. 5, Art. 62). Non-petition and subordination clauses are valid (Art. 64).
  • An actively managed pool of debt may be securitised only if the instruments are not offered to the public (Art. 61-1).
  • Tax: a securitisation company is subject to corporate tax, but its commitments to investors and creditors are deductible; a securitisation fund is transparent and pays no subscription tax (Art. 89, Art. 50).

Who it affects

  • Arrangers of securitisations, repackagings and credit-linked note programmes.
  • Private credit and real estate sponsors using a compartmented vehicle.
  • Corporate groups financing receivables, and investors in non-performing loans.

BCA commentary

A toolbox, not a regulated fund

Most Luxembourg securitisation vehicles are unregulated: CSSF authorisation applies only to vehicles that issue to the public continuously (Art. 19). What the Law offers is legal certainty: statutory ring-fencing of compartments (Art. 62), enforceable subordination and non-petition clauses (Art. 64), and simple, third-party-effective assignment of claims (Art. 55).

Since the 2022 reform

The vehicle may now finance itself with loans as well as securities (Art. 1), can take more legal forms, including the SCSp and the SAS (Art. 4), and may actively manage a pool of debt, provided the instruments are not offered to the public (Art. 61-1).

Tax

A securitisation company is a fully taxable company, but every commitment to its investors and creditors, including the return on its notes, is deductible (Art. 89), so it usually earns only a small margin. Agreements in the transaction are exempt from registration formalities (Art. 52).

Art. 1(1)#

“Securitisation”, within the meaning of this Law, means the transaction by which a securitisation undertaking acquires or assumes, directly or through another undertaking, the risks relating to claims, to other assets, or to obligations assumed by third parties or inherent in all or part of the activities carried out by third parties, by issuing financial instruments or by contracting, in whole or in part, any form of borrowing, the value or yield of which depends on those risks.

Art. 1(2)#

“Securitisation undertakings”, within the meaning of this Law, are undertakings which carry out the whole of a securitisation transaction and those which participate in such a transaction by assuming all or part of the securitised risks – acquisition undertakings – or by issuing financial instruments or by entering into, in whole or in part, any other form of borrowing, intended to finance it – issuing undertakings – and whose articles of association, management regulations or offering documents provide that they are subject to the provisions of this Law.

Art. 1(3)#

If a securitisation undertaking finances itself in whole or in part by contracting borrowings, any reference to “issues of financial instruments” or “financial instruments issued” or “financial instruments to be issued” is also to be understood as a reference to “entering into the borrowing” or “the borrowing contracted” or “the borrowing to be contracted”.

Art. 19#

Securitisation undertakings which issue financial instruments offered to the public on a continuous basis (“authorised securitisation undertakings”) must be authorised by the Financial Sector Supervisory Commission (hereinafter the “CSSF”) in order to carry on their activities.

Securitisation undertakings which issue on a continuous basis, within the meaning of this Law, are those which carry out more than three issues of financial instruments offered to the public during a financial year. The number of issues corresponds to the total number of issues carried out by all the compartments of the securitisation undertaking during that period.

An issue of financial instruments offered to the public, within the meaning of this Law, is an issue:

1. which is not intended for professional clients within the meaning of Article 1, point 5, of the amended Law of 5 April 1993 on the financial sector;

Article 20Conditions for authorisation and changes requiring approval

Art. 20(1)#

A securitisation undertaking is authorised only if the CSSF approves the articles of association or the management regulations of the securitisation undertaking and, where applicable, authorises its management company. Securitisation companies and management companies of securitisation funds must have adequate organisation and resources for carrying on their activity and for supervision by the CSSF.

Art. 20(2)#

The members of the administrative, management and supervisory bodies of a securitisation company or of a management company of an authorised securitisation undertaking, and their direct or indirect shareholders and members who are in a position to exercise significant influence over the conduct of the business of such a company, must be of good repute and have the experience or the means required to perform their duties. To that end, the identity of those persons, and any replacement of them, must be notified to the CSSF immediately.

Art. 20(3)#

Any change in the control of the securitisation company or of the management company, any replacement of the management company and any amendment to the management regulations or to the articles of association are subject to the prior approval of the CSSF.

Article 21List of authorised securitisation undertakings

Amended by: Law of 25 February 2022

Art. 21(1)#

Art. 21(2)#

Entry and continued entry on the list referred to in the paragraph above are subject to the condition that all the statutory, regulatory and contractual provisions governing the securitisation undertaking, the functioning of its bodies and the distribution, placement or sale of the financial instruments it issues are complied with.

Art. 21(3)#

The fact that a securitisation undertaking is entered on the list referred to in the preceding Article may not in any case or in any form whatsoever be presented as a positive assessment by the CSSF of the quality of the financial instruments issued by that undertaking.

Note. The reference to “the preceding Article” appears defective: the list of authorised securitisation undertakings is the one provided for in paragraph 1 of this Article (Article 21); Article 20 contains no list.

Art. 68(2)#

That instrument binds, without further formality, all investors and creditors who have accepted the fiduciary-representative. The subscription or acquisition of a transferable security of a securitisation undertaking that designates a fiduciary-representative constitutes acceptance of that fiduciary-representative and of its mission.

Article 69Scope of representation and legal actions

Art. 69(1)#

Unless otherwise provided, investors and creditors who have appointed a fiduciary-representative are represented by it in all their relations with the securitisation undertaking and with third parties connected with the securitisation. For as long as they are represented, they may no longer individually exercise the rights the management of which they have entrusted to the fiduciary-representative.

Art. 69(2)#

Within the limits of the powers conferred on it by the investors and the creditors, the fiduciary-representative may bring any action on their behalf and defend their interests, including in court, without having to disclose their identity, the mere statement that it is acting in that capacity being sufficient.

Article 71Acting as fiduciary and the separate fiduciary estate

Art. 71(1)#

The fiduciary-representative may also be granted by investors and creditors the power to act in their interest as fiduciary, in accordance with the legislation on trusts and fiduciary contracts. The rights and assets it acquires for the benefit of the investors and the creditors form a fiduciary estate separate from its own estate and from any other fiduciary estate it may hold.

Art. 71(2)#

In that capacity, the fiduciary-representative may in particular accept, take, hold and enforce any security interests and guarantees and receive any payments intended for the investors and the creditors who have conferred that power on it, as if it were itself the holder of their claims, any payment made into its hands discharging the debtor. Articles 445, 446, 447, second subparagraph, and 448 of the Commercial Code do not apply to such security interests, guarantees or payments.

Article 72Assignment of contractual rights to the fiduciary-representative

Art. 72#

The securitisation undertaking may assign to the fiduciary-representative, on the terms agreed with it, all or part of the rights and actions arising from a contract concluded with a third party. The assignment is enforceable against the counterparty and against all other third parties as soon as it is concluded and may not be challenged on the basis of Articles 445, 446, 447, second subparagraph, and 448 of the Commercial Code.

The counterparty may, however, validly discharge any debts by payment to the assigning undertaking for as long as it has not become aware of the assignment.

Article 73Liability for a substitute appointed by the fiduciary-representative

Art. 73#

A fiduciary-representative who appoints a third party as its substitute to exercise the rights and actions assigned to it is liable for damage caused by that third party only if it was not given the power to appoint a substitute or if it chose a person who was notoriously incompetent or insolvent.

The assigning undertaking and, notwithstanding their representation by the fiduciary-representative, the investors and the creditors may bring an action directly against the person whom the fiduciary-representative appointed as its substitute.

Article 74Court-ordered replacement of governing bodies

Art. 74#

The articles of association or the internal rules of a securitisation undertaking may allow a fiduciary-representative to apply to the court, on serious grounds, for the provisional or permanent replacement of the undertaking’s administrative bodies, of those of the management company, where applicable, and of the management company itself.

Original (French)

Article 75Fiduciary-representative acting as liquidator

The resignation of a fiduciary-representative takes effect only from the moment a new fiduciary-representative has been appointed.
