Article 28Issue, revocation and lapse of the business permit

Amended by: Law of 26 July 2023

Art. 28(1)#

The Minister issues a business permit, on application and after administrative investigation, where the conditions laid down in Articles 4 to 27 are met.

Without prejudice to the first subparagraph, where an undertaking makes a new application following a change of manager, the Minister issues a business permit only if the undertaking:

1° has no social security and tax debts exceeding the thresholds laid down in Article 7bis(1);

2° is up to date with its tax returns;

3° is up to date with the filing and publication obligations arising under the amended Law of 19 December 2022 on the Trade and Companies Register and on the accounting and annual accounts of undertakings and with the registration obligations required by the amended Law of 13 January 2019 establishing a Register of Beneficial Owners.

The provisions of the second subparagraph apply only after the end of the validity of a provisional permit issued under Article 29.

The arrangements for the administrative investigation and the documents to be produced will be laid down by Grand-Ducal regulation.

The business permit is issued solely by online transmission on the State’s dedicated exchange portal. It may be consulted online by the public on that same portal.

A two-dimensional barcode is assigned to each business permit. The two-dimensional barcode must be displayed on the undertaking’s premises and at each point of sale.

A point of sale means a physical commercial site accessible to the public, whether movable or immovable.

Note. Point 3° refers to the amended Law of “19 December 2022”; the Law on the Trade and Companies Register and on the accounting and annual accounts of undertakings is the amended Law of 19 December 2002.
