BCA commentary
An old treaty, kept current by protocol and MLI
The convention follows the 1963 OECD draft, with French features such as the old avoir fiscal arrangements in the dividend article. The 2004 Protocol updated it, and from 2020 the MLI adds the principal purpose test (Art. 1), the anti-fragmentation rule for permanent establishments (Art. 5), a 365-day holding period for the 5% dividend rate (Art. 10) and arbitration (Art. 27).
Two authentic texts
Dutch and French are equally authentic, and they do not always say the same thing. We translate the Dutch and note where the French differs in substance, so that you can see both readings before relying on either.

(i) natuurlijke personen die aan de Nederlandse belasting zijn onderworpen ter zake van het totale bedrag van de dividenden uitgedeeld door het lichaam dat inwoner is van Frankrijk en van het in letter a bedoelde bruto-bedrag dat op die dividenden betrekking heeft;

A person who is a resident of the Netherlands and who receives dividends distributed by a company which is a resident of France may, unless he receives the payment referred to in paragraph 3, claim a refund of the “précompte” relating to those dividends which has, where applicable, been paid by the distributing company, subject to the deduction of the tax referred to in paragraph 2 above.
a) The term “dividends” as used in this Article means income from shares, jouissance shares or jouissance rights, “parts de mine” (mining shares), founders’ shares or other rights, not being debt-claims, participating in profits, as well as income from other corporate rights which is assimilated to income from shares by the taxation laws of the State of which the distributing company is a resident.
b) The payment of the gross amount representing the “avoir fiscal” referred to in paragraph 3 and the gross amounts referred to in paragraph 4 refunded in respect of the “précompte”, which relate to the dividends paid by a company which is a resident of France, are also regarded as dividends paid by that company.
The provisions of paragraphs 1 to 4 do not apply if the recipient of the dividends, being a resident of one of the States, has a permanent establishment in the other State of which the company paying the dividends is a resident, and the holding in respect of which the dividends are paid forms part of the business property of that permanent establishment. In such a case, the provisions of Article 7 apply.
Note. The French text uses an effective-connection test, not a business-property test: “un établissement stable auquel se rattache effectivement la participation génératrice des dividendes” (a permanent establishment with which the holding giving rise to the dividends is effectively connected).
Where a company which is a resident of one of the States derives profits or income from the other State, that other State may not impose any tax on the dividends paid by the company to persons who are not residents of that other State, nor subject the company’s undistributed profits to a tax on undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of profits or income arising in that other State.
Article 11Interest
Interest arising in one of the States and paid to a resident of the other State may be taxed in that other State.
However, such interest may be taxed in the State in which it arises, and according to the laws of that State, but the tax so charged may not exceed 10 per cent of the amount of the interest.
By way of derogation from the provision of the preceding sentence, interest on bonds issued in France before 1 January 1965 may be subjected there to a tax of 12 per cent.
By way of derogation from the provisions of paragraph 2, the interest referred to in paragraph 1 may not be taxed in the State in which it arises if it
a) is paid under a financing agreement or in respect of deferred payment in connection with the sale of industrial, commercial or scientific equipment, or with the construction of installations for industrial, commercial or scientific purposes, or with public works;
b) is paid on a loan of any kind granted by a banking institution;
c) is paid – following a written demand or the institution of legal proceedings – by way of compensation for late payment on a claim for which no interest had been stipulated.
a) wordt betaald krachtens een financieringsovereenkomst of uit hoofde van uitstel van betaling verband houdende met de verkoop van nijverheids- en handelsuitrusting of wetenschappelijke uitrusting of met de constructie van installaties voor nijverheids- en handelsdoeleinden of wetenschappelijke doeleinden dan wel met openbare werken;
b) wordt betaald op een lening van welke aard ook, verstrekt door een bankinstelling;
The term “interest” as used in this Article means income from government securities, bonds or debentures, whether or not secured by mortgage and whether or not carrying a right to participate in profits, and debt-claims of every kind, as well as all other income assimilated to income from money lent by the taxation laws of the State in which the income arises.
The provisions of paragraphs 1, 2 and 3 do not apply if the recipient of the interest, being a resident of one of the States, has a permanent establishment in the other State in which the interest arises, and the debt-claim in respect of which the interest is payable forms part of the business property of that permanent establishment. In such a case, the provisions of Article 7 apply.
Note. As in Article 10(6), the French text uses an effective-connection test: “un établissement stable auquel se rattache effectivement la créance génératrice des intérêts” (a permanent establishment with which the debt-claim giving rise to the interest is effectively connected).
Interest is deemed to arise in one of the States when it is paid by that State itself, by a local authority or by a resident of that State. Where, however, the person paying the interest, whether he is a resident of one of the States or not, has in one of the States a permanent establishment in connection with which the loan on which the interest is paid was contracted, and that interest is borne by that permanent establishment, that interest is deemed to arise in the State in which the permanent establishment is situated.
Where, by reason of a special relationship between the debtor and the creditor or between both of them and some other person, the amount of the interest paid, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the debtor and the creditor in the absence of such relationship, the provisions of this Article apply only to the last-mentioned amount. In that case, the excess part of the payments remains taxable according to the laws of each of the States, due regard being had to the other provisions of this Convention.
Article 12Royalties
Royalties arising in one of the States and paid to a resident of the other State are taxable only in that other State.
The term “royalties” as used in this Article means payments of any kind for the use of, or the right to use, any copyright of literary, artistic or scientific work – including cinematograph films and films, video tapes or sound tapes for television or radio – any patent, trade mark, design or model, plan, secret formula or process, or for the use of, or the right to use, industrial, commercial or scientific equipment, or for information concerning industrial, commercial or scientific experience.
The provision of paragraph 1 does not apply if the recipient of the royalties, being a resident of one of the States, in the other State in which the royalties arise either carries on commercial activities through a permanent establishment or performs professional services through a fixed base, and the right or property in respect of which the royalties are payable forms part of the business property thereof. In such a case, the provisions of Article 7 or of Article 14, as the case may be, apply.
Note. As in Article 10(6), the French text uses an effective-connection test: “que le droit ou le bien générateur des redevances s’y rattache effectivement” (that the right or property giving rise to the royalties is effectively connected with it).
Where, by reason of a special relationship between the debtor and the creditor or between both of them and some other person, the amount of the royalties paid, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the debtor and the creditor in the absence of such relationship, the provisions of this Article apply only to the last-mentioned amount. In that case, the excess part of the payments remains taxable according to the laws of each of the States, due regard being had to the other provisions of this Convention.
Article 13Capital gains

By way of derogation from paragraph 2:
a) gains derived by a resident of one of the States from the alienation of ships and aircraft operated in international traffic and of ships used for inland waterways transport, and of movable property used in the operation of those ships and aircraft, are taxable only in that State;
b) notwithstanding the provisions of point (a), the gains referred to therein may also be taxed in the other State if the place of effective management of the enterprise is situated in that other State.

Notwithstanding paragraph 4, each of the two States retains the right to levy tax, in accordance with its own legislation, on gains from the alienation of shares, jouissance shares or jouissance rights which wholly or partly constitute a substantial interest in a joint-stock company or a limited liability company which is a resident of that State, where those gains are derived by an individual who is a resident of the other State, but subject to the condition that that person
- possesses the nationality of the first-mentioned State without possessing the nationality of the other State
and
- has been a resident of the first-mentioned State for any period during the five years preceding the alienation.

If he has such a fixed base, the income may be taxed in the other State, but only in so far as it is attributable to that fixed base.
Note. The French text requires the fixed base to be regularly available: “à moins que ce résident ne dispose de façon habituelle dans l’autre Etat d’une base fixe”. The Dutch has no equivalent of “de façon habituelle” (regularly).

The term “professional services” includes especially independent scientific, literary, artistic, educational or teaching activities, as well as the independent activities of physicians, lawyers, engineers, architects, dentists and accountants.
Note. The Dutch text reads “De uitkering ‘vrij beroep’”; “uitkering” (payment) is a misprint for “uitdrukking” (term), as the French “L’expression ‘professions libérales’” confirms. Translated as “term”.

Chapter VHOOFDSTUK V
Article 24Elimination of double taxation
It is understood that double taxation is avoided as follows:
A. As regards the Netherlands:
1. The Netherlands may, in determining the tax payable by its residents, include in the basis on which the tax is levied the items of income or capital which, in accordance with the provisions of this Convention, may be taxed in France.
2. However, subject to the application of the provisions on loss relief in the domestic Dutch legislation, the Netherlands allows a reduction of the amount of tax computed in accordance with paragraph 1 equal to such part of that amount of tax as bears the same proportion to that amount of tax as the amount of the items of income or capital which are included in the basis referred to in paragraph 1 and which may be taxed in France under Articles 6, 7, 8(2), 10(6), 11(5), 12(3), 13(1), (2) and (3)(b), 14, 15(1), 19 and 23(1), (2) and (3)(b) of this Convention bears to the amount of the total income or the total capital which forms the basis of taxation in applying that paragraph 1.
3. With regard to the items of income which are included in the basis referred to in paragraph 1 and which may be taxed in France under Articles 10(2), 11(2), 16 and 17, the Netherlands deducts from the tax so computed the lower of the following amounts:
a) an amount equal to the tax levied in France either under Articles 16 and 17 or within the limits of the rates provided for in Articles 10(2) and 11(2);
b) the amount of Netherlands tax which bears the same proportion to the amount of tax computed in accordance with paragraph 1 of this Article as the amount of the said items of income bears to the amount of the total income which forms the basis referred to in that paragraph 1.
B. As regards France:
a) Income other than that referred to in point (b) below is exempt from the French taxes referred to in Article 2(3)(b) where that income may be taxed in the Netherlands under this Convention.
b) With regard to the income referred to in Articles 8, 10, 11, 16 and 17 which has been subjected to Netherlands tax in accordance with the provisions of those Articles, France allows persons who are residents of France and who derive such income a credit equal to the Netherlands tax.
This credit, which may not exceed the amount of the tax levied in France on the income concerned, is set against the taxes referred to in Article 2(3)(b) in whose bases that income is included.
c) Notwithstanding the provisions of points (a) and (b), French tax on the income which may be taxed in France under this Convention may be computed at the rate applicable to the total amount of the income which is taxable in accordance with French legislation.
Note. In point A.2, the Dutch list of Articles includes Article 14; the French list does not: “en vertu des articles 6, 7, 8 paragraphe 2, 10 paragraphe 6, 11 paragraphe 5, 12 paragraphe 3, 13 paragraphes 1, 2 et 3 alinéa b), 15 paragraphe 1, 19, 23 paragraphes 1, 2 et 3 alinéa b)”.

A. Wat betreft Nederland:
a) het bedrag dat gelijk is aan de in Frankrijk hetzij volgens de artikelen 16 en 17, hetzij binnen de begrenzing van de in de artikelen 10, tweede lid, en 11, tweede lid, voorziene tarieven geheven belasting;

Article 27Mutual agreement procedure
Where a resident of one of the States considers that the actions of one or both of the States result or will result for him in taxation not in accordance with this Convention, he may, irrespective of the remedies provided by the domestic legislation of those States, present his case to the competent authority of the State of which he is a resident. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the Convention.
Note. MLI. The first sentence is replaced by the first sentence of Article 16(1) of the MLI: the case may be presented to the competent authority of either State. The time limit is unchanged.

The competent authority must endeavour, if the objection appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the matter by mutual agreement with the competent authority of the other State, with a view to the avoidance of taxation which is not in accordance with the Convention. The agreed solution must be implemented notwithstanding any time limits in the domestic legislation of both States.
The competent authorities of the States must endeavour to resolve by mutual agreement any difficulties or doubts arising as to the application of the Convention. They may in particular consult each other with a view to reaching an arrangement under which:

a) dat voordelen, die aan een onderneming van een van de Staten en aan haar vaste inrichting in de andere Staat opkomen, op gelijke wijze worden toegerekend;
The competent authorities of the States may communicate with each other directly for the purpose of reaching an agreement as referred to in the preceding paragraphs.
Article 28Exchange of information
The competent authorities of the two States must exchange such information of a fiscal nature as they have available in an ordered form and as is necessary for carrying out this Convention and the domestic legislation of the States concerning the taxes covered by the Convention, and for combating tax fraud. Any information so exchanged must be kept secret and may not be disclosed to any persons or authorities other than those concerned with the assessment or collection of the taxes which are the subject of this Convention.

b) to supply particulars which are not obtainable under the legislation or in the normal course of the administration of that or of the other State;
c) to supply information which would disclose any trade, business, industrial or professional secret or any manufacturing or commercial process, or information the disclosure of which would be contrary to public policy.
